The Orange County Sanitaon District (OC San) retained EEC to perform the Technical Evaluaon of Local Limits under Specificaon No. CS-2025-666-BD. On April 28, 2026, OC San terminated the contract for convenience. EEC promptly submited invoices for work performed in accordance with the contract requirements. Those invoices remain unpaid. OC San’s failure to remit payment for work performed is inconsistent with its contractual obligaons. EEC was never informed of any alleged deficiencies in its performance that might result in contract terminaon. EEC was issued an unwarranted noce of non-compliance (NON) early in the project which we disputed in wring without a response from OC San. While the contract may authorize terminaon for convenience, the manner in which that right was exercised—and OC San’s subsequent failure to pay for work already performed—raises serious quesons regarding fairness, transparency, and good-faith contract administraon. EEC respecully requests a meeng with the Board to more fully explain the issues and will request that the Board direct a formal review of OC San’s procurement, contract administraon, and engineering pracces as they relate to this engagement, including whether OC San personnel engaged in unfair or improper business pracces. EEC prefers to address these maters first in a confidenal meeng with the Chairperson and Vice Chairperson, the General Manager, and General Counsel, rather than in open session. Please contact EEC by September 9, 2026, to schedule that discussion. EEC remains prepared to resolve the outstanding payment promptly and to present the supporng record in an appropriate forum.
