ROLL CALL & DECLARATION OF QUORUM:
PUBLIC COMMENTS: If you wish to speak, please complete a Speaker's Form (located at the table
outside of the Board Room) and give it to the Clerk of the Board. Speakers are requested to limit
comments to three minutes.
REPORTS: The Chair and the General Manager may present verbal reports on miscellaneous matters
of general interest to the Directors. These reports are for information only and require no action by the
Directors.
CLAIMS:
DIRECTORS: Pursuant to Government Code Section 84308, you are required to disclose any campaign
contribution greater than $250 received in the past twelve months from any party seeking a contract with
OCSD. This requires that you identify the contributor by name. Further, you may not participate in the
decision making process to award a contract to such party. For reference, you are directed to the
Register of Warrants as to all current contractorsIvendors with OCSD. For the specifics of Government
Code Section 84308, please see your Director's Handbook or call the office of General Counsel.
1. Ratify payment of claims of the District, by roll call vote, as follows:

CONSENT CALENDAR: Consent Calendar Items are considered to be routine and will be enacted,
by the Board of Directors, after one motion, without discussion. Any items withdrawn from the Consent
Calendar for separate discussion will be considered in the regular order of business.
2. Approve minutes for the Regular Board Meeting held on July 24, 2013.
3. A. Rescind June 26, 2013 Board Meeting Minute Order #16 awarding a
Contract to Air Products and Chemicals Inc., for the purchase of liquid
oxygen, Specification No. C-2013-56713D, due to the company's failure to
comply with the insurance and indemnification requirements; and,
B. Ratify contract award to the second lowest responsive and responsible
bidder, Air Liquide, Industrial U.S LP, Specification No. C-2013-567131), for
the period August 1, 2013 through July 31, 2014 with four additional one-
year renewals, for the purchase of liquid oxygen at a unit price of $0.2234
per 100 cubic feet delivered, plus applicable sales tax for an estimated
annual amount of $555,000 subject to price adjustments based upon
energy, labor, maintenance and distribution indices from Southern
California Edison and Bureau of Labor Statistics for subsequent contract
periods; and for services related to routine and emergency maintenance of
OCSD's liquid oxygen storage and vaporization equipment for an
estimated annual amount of $20,000, based upon actual invoice costs
plus 20% and labor cost at established manpower hourly rates adjusted
annually based upon Bureau of Labor Statistics' Employment Cost Index;
and,
C. Ratify Amendment No. 1 to contract with Air Liquide, Industrial U.S. LP,
Specification No. C-2013-567BD to amend contract term.
4. A. Approve an Agreement between the City of Fountain Valley and the
Orange County Sanitation District for the City building permits of thirteen
existing buildings that were constructed at Reclamation Plant No. 1, for a
total cost of$315,945.04; and,
B. Approve the transfer of $145,777.89 from the Replacement,
Rehabilitation, and Refurbishment line 13, page A-2 of the 2013-14
Budget update, to the P1-115 budget to cover the cost for permitting eight
of the thirteen buildings.

CLOSED SESSION:
During the course of conducting the business set forth on this agenda as a regular meeting of the
Board, the Chair may convene the Board in closed session to consider matters of pending real estate
negotiations, pending or potential litigation, or personnel matters, pursuant to Government Code
Sections 54956.8, 54956.9, 54957 or 54957.6, as noted.
Reports relating to (a) purchase and sale of real property; (b) matters of pending or potential litigation;
(c) employment actions or negotiations with employee representatives; or which are exempt from public
disclosure under the California Public Records Act, may be reviewed by the Board during a permitted
closed session and are not available for public inspection. At such time as the Board takes final action

held on July 24, 2013, at 6:30 p.m., in the Administration Building. Director Beamish
delivered the invocation and led the Pledge of Allegiance.

PUBLIC COMMENTS:
Marcus Lee
Mr. Lee expressed concerns over the odor emanating from the Plant into the
community. He asked what steps are being taken to resolve the odor issues and how
are these issues being communicated to the public.
Jim Herberg, General Manager, announced that staff would meet with Mr. Herberg to
address his concerns.
John Anderson, Board Vice-Chair, requested that odor stats be reported on a quarterly
basis.
REPORTS:
Chair Edgar briefly reported on the District's recent press release, and today's event at
the City of Stanton, "Cease the Grease". Director Shawver also reported on the event.
Mr. Herberg announced the two upcoming Board workshops that will focus on the
Strategic Plan. The two dates are: September 11 and October 2. These special
sessions will immediately follow Administration and Operations Committee Meetings.
Mr. Herberg also provided a brief update on the General Manager's Year End Report
and 2013/14 Work Plan.
RATIFICATION OF PAYMENT OF CLAIMS:

District, by roll call vote, as follows:

Specialized Reuse and Recycling to haul Orange County Sanitation
District's biosolids from Reclamation Plant No. 1 and/or Treatment Plant
No. 2 to Orange County Waste and Recycling's Prima Deshecha landfill
(Specification No. S-2013-57913D), for the period July 29, 2013 through
July 28, 2014, at the unit price of $7.49 per ton, coupled with a fuel
surcharge for an estimated annual contract amount not to exceed
$290,000 per year, with four one-year renewal options; and
B. Approve hauling to alternative sites at unit prices of $0.195/ton/mile within
50-100 miles and $0.185/ton/mile within 101-200 miles; and
C. Approve a (10%) unit price contingency.
Director Nguyen abstained.
NON-CONSENT:
3. A. MOVED, SECONDED, AND DULY CARRIED: Receive and file
Addendum to the Collection System Improvement Plan Program
Environmental Impact Report (PEIR); and,
B. Approve Plans and Specifications for Balboa Trunk Sewer Rehabilitation,
Project No. 5-47, on file at the Office of the Clerk of the Board; and,
C. Approve Addendum Nos. 1 and 2 to the plans and specifications; and
D. Award a construction contract to Charles King Company, Inc. for the
Balboa Trunk Sewer Rehabilitation, Project No. 5-47, for a total amount
not to exceed $3,313,100; and,
E. Approve a contingency of$397,572 (12%).
5. Consider and approve one of the following two options with respect to the unpaid
Capital Facility Capacity Charges for 12316 Circula Panorama, Santa Ana in the
amount of$2,165:

Protest issued via email on June 18, 2013 from Katz & Associates
concerning the award to Construction Community Relations; and,
B. Receive and file letter issued via email on June 21, 2013 from
Constructive Community Relations in opposition to the Award Protest from
Katz&Associates; and,
C. Receive and file Orange County Sanitation District's Determination of
Award Protest letter dated June 27, 2013 to Katz & Associates responding
to the protest of award; and,
D. Deny award protest filed by Katz&Associates; and,
E. Approve a Professional Services Agreement with Constructive Community
Relations providing construction outreach services for the Newport Beach
Construction Program, Specification No. PSA-2013-568, for a two-year
period effective August 1, 2013 through July 31, 2015, for an amount not
to exceed $300,000, with three one-year renewal options, not to exceed
$150,000 per renewal year.
STEERING COMMITTEE:
7. MOVED, SECONDED, AND DULY CARRIED: Approve minutes for the Steering
Committee Meeting held on June 26, 2013.
Director Anderson departed the meeting at 6:58 p.m.
Considerable discussion was held by the Board regarding Item 8. Ultimately the Board
agreed to support the item in opposition mode.
8. A. Declare the Orange County Sanitation District's position on the changes to
the Orange County Retirement System (OCERS) Unfunded Actuarial
Accrued Liability (UAAL)Amortization Period; and;
B. Provide direction to the General Manager on measures to be taken in
representing declared Board position.
MOVED, SECONDED, AND DULY CARRIED: The Board voted to declare
OCSD's opposition to the changes to the OCERS Unfunded Actuarial Accrued
Liability amortization Period; and provided the General Manager with direction to
draft a letter to OCERS requesting OCERS' consideration of OCSD's declared
position.

Operations Committee Meeting held on July 3, 2013.

Consultant Services Agreement with AECOM Technical Services, Inc. to
provide construction support services for the Balboa Trunk Sewer
Rehabilitation Project, Project No. 547, for an amount not to exceed
$284,951; and,
B. Approve a contingency of$28,495 (10%).

of $59,661 (3%) to the Professional Design Services Agreement with Black &
Veatch Corporation for CenGen Emissions Control, Project No. J-111, for a total

to Ayala Engineering for Manhole Frame and Cover Replacement,

of $499,970 (0.26%) to the construction contract with J.F. Shea Construction,
Inc. for Headworks Improvements at Plant No. 2, Project No. P2-66, for a total
contingency of$7,230,333 (3.76%).
ADMINISTRATION COMMITTEE:

Administration Committee Meeting held on July 10, 2013.

12, Establishing the Annual Appropriations Limit for Fiscal Year 2013-14, for the

A. Rescind June 26, 2013 Board Meeting Minute Order #16 awarding a Contract to
Air Products and Chemicals Inc., for the purchase of liquid oxygen, Specification
No. C-2013-56713D, due to the company's failure to comply with the insurance
and indemnification requirements; and,
B. Ratify contract award to the second lowest responsive and responsible bidder,
Air Liquide, Industrial U.S LP, Specification No. C-2013-56713D, for the period
August 21, 2013 through August 20, 2014 with four additional one-year renewals,
for the purchase of liquid oxygen at a unit price of $0.2234 per 100 cubic feet
delivered, plus applicable sales tax for an estimated annual amount of $555,000
subject to price adjustments based upon energy, labor, maintenance and
distribution indices from Southern California Edison and Bureau of Labor
Statistics for subsequent contract periods; and for services related to routine and
emergency maintenance of OCSD's liquid oxygen storage and vaporization
equipment for an estimated annual amount of $20,000, based upon actual
invoice costs plus 20% and labor cost at established manpower hourly rates
adjusted annually based upon Bureau of Labor Statistics' Employment Cost
Index; and,
C. Ratify Amendment No. 1 to contract with Air Liquide, Industrial U.S. LP,
Specification No. C-2013-567BD to amend contract term.
SUMMARY
Oxygen is required for the operation of the Plant No. 2 activated sludge secondary
treatment process. Since May 2012, the oxygen needs of this process are met with
delivered liquid oxygen utilizing the newly installed liquid oxygen vaporization system.
This contract is for the supply of the liquid oxygen and for the maintenance activities
related to its associated vaporization system.
OCSD received five (5) bids in response to this competitively bid process, Specification
No. C-2013-56713D. The bids were evaluated in accordance with the OCSD's policies
and procedures. Air Products and Chemicals, Inc. was deemed the lowest responsive,
responsible bidder. However, due to Air Products taking unacceptable exceptions to

the bid specification stipulated insurance and indemnification requirements, Staff
recommends awarding the contract to Air Liquids, U.S LP. for an estimated annual
amount of$555,000.
The original contract amount of $328,320 with Air Products was based on a lower
oxygen usage (1,600,000-100 cubic feet) which has increased (2,300,000-100 cubic
feet) due to more flow being directed to the oxygen activated sludge process to
minimize odor impacts to the neighbors. Based upon the increased usage, Air
Product's contract would have increased from $328,320 to $472,000. The cost for
contracting with Air Liquids is approximately 18% above Air Product's cost.
The contract allows for four additional one-year renewals subject to price adjustments
based upon energy, labor, maintenance and distribution indices from Southern
California Edison and Bureau of Labor Statistics for the liquid oxygen pricing and
Bureau of Labor Statistics' Employment Cost Index for the maintenance activities
related pricing.
PRIOR COMMITTEE/BOARD ACTIONS
June 2013 — Award a contract to the lowest responsive and responsible bidder, Air
Products and Chemicals Inc., Specification No. C-2013-56713D, for the period August 1,
2013 through July 31, 2014 with four additional one-year renewals, for the purchase of
liquid oxygen at a unit price of $0.19 per 100 cubic feet delivered, plus applicable sales
tax for an estimated annual amount of $328,320 subject to price adjustments based
upon energy, labor, maintenance and distribution indices from Southern California
Edison and Bureau of Labor Statistics for subsequent contract periods; and for services
related to routine and emergency maintenance of OCSD's liquid oxygen storage and

CONTRACT
PURCHASE OF LIQUID OXYGEN(LOX)
SPECIFICATION NO. C-2013.567BD
THIS CONTRACT is made and entered into as of the date last signed below, by and between
ORANGE COUNTY SANITATION DISTRICT hereinafter referred to as "OCSD' with main
offices located at 10844 Ellis Avenue, Fountain Valley, California 92708-7018 and AIR LIQUIDE
INDUSTRIAL US LP with main offices located at 9756 Santa Fe Springs Road, Santa Fe
Springs, California 90670 hereinafter referred to as "SUPPLIER'collectively referred to as "the
Parties'.
WITNESSETH
WHEREAS, OCSD requires liquid oxygen (LOX) in its sewage treatment process and has
prepared Specifications (attached hereto and incorporated herein by reference as Exhibit "A")
for the purchase of LOX and for all routine and emergency maintenance activities necessary to
keep OCSD's LOX storage and vaporization equipment in operable and safe condition.
WHEREAS, sealed bids for the Purchase of LOX Specification No. C-2013-567BD were
solicited, received on April 30,2013;and
WHEREAS, OCSD has chosen SUPPLIER to provide LOX in accordance with Purchasing
Resolution No. OCSD07-04; and
NOW, THEREFORE, in consideration of the premises and contracts hereinafter made and
exchanged, SUPPLIER and OCSD agree as follows:
1. LOX Delivery
1.1 LOCATIONS as called for by OCSD: Deliveries will be made to Plant No. 2, 22212
Brookhurst Street, Huntington Beach, California. Deliveries will be received seven days a week.
The current delivery window for both treatment facilities is 0500 to 1800 PT. Under normal
conditions, OCSO will provide a tyro-day notification except in emergency situations whereby a
24-hour notice for delivery is required. Complete orders will be delivered F.O.B. Destination,
and shall include unloading chemical into OCSD's LOX tanks. See Technical Specifications,
Exhibit"A', for additional requirements. OCSD reserves the right to accept LOX deliveries at 24
hours a day, 7 days a week.
1.2 OCSD will pay only for the actual gallons of LOX delivered. Certified weight scale tickets
shall be provided to OCSD for every delivery and shall contain the tare weight, loaded gross
weight, and net weight. Gallons invoiced will be the total net gallons of LOX delivered (loaded
gross weight minus the tare weight). Tare weight shall be determined immediately after each
delivery and prior to cleaning, emptying, or clearing the delivery tank. Loading, hauling and
unloading shall be done at the expense of SUPPLIER.
1.3 A Delivery statement shall accompany all shipments. Each product batch will be tested
by the manufacturer prior to shipment and the certified test results showing the actual percent of
LOX will be forwarded to OCSD with the invoice.
1.4 OCSO will reject delivery if the product quality has deteriorated; the delivered product is
different from that which was described in Exhibit"A".

2. LOX System Maintenance and Repair
LOX Supplier will be responsible for maintaining the safe, reliable operation of OCSD's liquid
oxygen storage and vaporization system, in its entirety, for the duration of the contract as
described in this section. Reimbursement of the costs of maintenance and repair of OCSD's
oxygen supply system will be separate from the unit price quoted for LOX as detailed in Section
1.1. Maintenance costs will be reimbursed on a time and materials basis according to invoices
submitted by LOX Supplier for maintenance activities completed. Rates, as stated in the Rate
Sheet(Exhibit"C") shall remain firm for the duration of the Contract Tenn. The LOX SUPPLIER
will responsible for conducting initial and Quarterly inspections and providing summary
Inspection reports at its own expense.
3. Possession
Ownership and control of all LOX delivered pursuant to this Contract shall remain solely and
exclusively with SUPPLIER, unfit complete transfer of possession by delivery to OCSD at the
designated locations is made from SUPPLIER.
4. Quan6
4.1 OCSD makes no guarantee as to minimum or maximum usage of solution, but it is
estimated that the annual usage will be 1,600,000 ccf/year. The quantity mentioned is an
estimate only. Multiple loads may be required on any given day.
4.2 OCSD will, through the term of this Contract, purchase LOX from SUPPLIER
exclusively, except when OCSD determines SUPPLIER cannot make delivery within the time
specified, with the quality and quantity specified, at Contract price, the level of Service is
inadequate, OCSD unapproved increase in dry ton rate or for any other default or breach of this
Contract. In such event, OCSD may purchase LOX elsewhere and charge SUPPLIER any
difference in the delivered price to OCSD from that provided in this Contract, or altematively,
OCSD may terminate the Contract based on said breach or failure to deliver the specified
product. Quality control tests may be performed by OCSD on the delivered LOX to ensure that
Contract specifications are attained.
5. Pricing and Invoicing
5.1 For LOX deliveries SUPPLIER will invoice monthly for delivered LOX per the Technical
Specifications, Exhibit"A", at the price of$0.2234 per ccf@STP delivered which will remain firm
during the Contract Term. Price shall include all cartage and any applicable taxes per gallon.
The sales tax for the LOX product will be paid by OCSD.
5.2 For LOX System Maintenance and Repair, SUPPLIER will invoice OCSD based upon
actual time— based upon the SUPPLIER'S labor rates (Exhibit "C") and materials at cost plus
20%.
5.3 For LOX, the payment shall be based on the actual product delivered. At a minimum,
the invoice shall include a description of the delivery location, the delivery date, the unit price,
the quantity(ccf @ STP) of product delivered, and any other parameters used to determine the
cost for the shipment.
5.4 OCSD shall pay, Net 30 days, upon receipt and approval by Project Manager, Shabbir
Basrai, or his designee of itemized invoices, submitted in duplicate, in a form acceptable to
OCSD to enable audit of the charges thereon. All invoices must reference the Purchase Order
Number. SUPPLIER shall email the invoices to APStaffloD-ocsd.com referencing the purchase
order number and the specification number C-2013-567BD in the subject line. All cash
discounts shall be taken and computed from the date of completion of tasks or acceptance of
equipment, material, installation and training, or from the date of receipt of invoice, whichever
occurs last.

6. Contract Term
The Services provided under this Contract shall be for one(1)year commencing August 1, 2013
and continuing through July 31, 2014.
7. Renewals
7.1 OCSD may exercise the option to renew the Contract for up to four(4)one-year periods
based upon the criteria set forth in the specifications, Exhibit"A", under the terms and conditions
contained herein. OCSD shall make no obligation to renew nor give reason if it elects not to
renew.
7.2 Renewal may be made through the OCSD Purchase Order Process.
8. Performance
Time is of the essence in the performance of this Contract and the provisions hereof.
9. Force Majeure
Neither parry shall be liable for delays caused by fire,flood, accident, labor trouble, war, acts of
God or government or any other cause beyond its control, but said party shall use reasonable
efforts to minimize the extent of the delay. Work affected by a Force Majeure condition may be
rescheduled by mutual consent or may be eliminated from the Contract.
10. Termination
10.1 OCSD reserves the right to terminate this Contract for its convenience, with or without
cause, in whole or in part, at any time, by written notice from OCSD (delivered by certified mail,
return receipt requested)of intent to terminate. Upon receipt of a termination notice, SUPPLIER
shall immediately discontinue all work under this Contract (unless the notice directs otherwise).
OCSD shall thereafter,within thirty(30)days, pay SUPPLIER for work performed(cost and fee)
to the date of termination. SUPPLIER expressly waives any claim to receive anticipated profits
to be earned during the uncompleted portion of the Contract. Such notice of termination shall
terminate this Contract and release OCSD from any further fee, cost or claim hereunder by
SUPPLIER other than for work performed to the date of termination.
10.2 OCSD reserves the right to terminate this Contract immediately upon OCSD'S
determination that SUPPLIER is not meeting specification requirements for delivery of quantities
needed, the level of service is inadequate, for poor quality of product, for OCSD unapproved
increase in rate, or any other default of the Contract.
10.3 OCSD may also immediately cancel for default of this Contract In whole or in part by
written notice to SUPPLIER:
9.3.1 if SUPPLIER becomes insolvent or files a petition under the Bankruptcy Act;
9.3.2 if SUPPLIER sells its business; or
9.3.3 If SUPPLIER breaches any of the terms of this Contract.
10.4 All OCSD property in the possession or control of SUPPLIER shall be returned by
SUPPLIER to OCSD upon demand,or at termination of this Contract,whichever occurs first.
11. Insurance
SUPPLIER's insurance shall remain in effect as submitted with bid (Exhibit "D'). Failure to
maintain required insurance coverage shall result in termination of this Contract
12. Damage to OCSD's Property
Any OCSD's property damaged by SUPPLIER, any subcontractor, or by the personnel of either
will be subject to repair or replacement by SUPPLIER at no cost to OCSD.

13. Indemni nation and Hold Harmless
SUPPLIER agrees to save, indemnify, defend and hold harmless OCSD against any and all
liability, claims,judgments, cost and demands, including demands arising from injuries or death
of persons and damage to property, arising directly or indirectly out of the negligence or willful
misconduct of SUPPLIER, its employees or agents, in relation to the rendition of Services
pursuant to this Contract, except claims or litigations arising through the sole negligence or
Wilful misconduct of OCSD. SUPPLIER agrees to reimburse OCSD for any expenditure,
including reasonable attorney's fees, OCSD may incur by reason of such matters, and, i1
requested by OCSD,will defend any such suits at the cost and expense of SUPPLIER.
14. OCSD's Safety Standards and Human Resources IHRI Policies
Supplier shall adhere to the Safety and Human Resources Policies in Exhibits "A" and "B"
hereto.
15. R/aht to Review Services. Facilities. and Records
OCSD reserves the right to review any portion of the services performed by SUPPLIER under
this Contract, and SUPPLIER agrees to cooperate to the fullest extent possible. SUPPLIER
shall furnish to OCSD such reports, statistical data, and other information pertaining to
SUPPLIER's services as shall be reasonably required by OCSD to carry out its rights and
responsibilities under its agreements with its bondholders or noteholders and any other
agreement relating to the development of the project(s) and in connection with the issuance of
its official statements and other prospectuses with respect to the offering, sale, and issuance of
its bond and other obligations.
16. Incomorated Documents
16.1 The Specifications, Bid, and Notices from OCSD as well as all Exhibits hereto are
hereby incorporated into and made a part of this Contract as though fully set forth hereat, and
unless modified or changed hereinabove, are controlling for all matters pertaining to the supply
of LOX and the manner of performance thereof.
16.2 In the event of any conflict or inconsistency between the provisions of this Contract and
any of the provisions of the other incorporated documents, the provisions of this Contract shall
in all respects govern and control.
17. Famll odih,with Work
By executing this Contract, SUPPLIER warrants that: 1) it has investigated the work to be
performed; 2)it has investigated the site of the work and is aware of all conditions there; and 3)
it understands the facilities, difficulties and restricfions of the work under this Contract. Should
SUPPLIER discover any latent or unknown conditions materially diffedng from those inherent in
the work or as represented by OCSD, it shall immediately Inform OCSD of this and shall not
proceed,except at SUPPLIER's risk, until written instructions are received from OCSD.
18. Licenses, Permits. Ordinances and Regulations
18.1 SUPPLIER represents and warrants to OCSD that it has obtained all licenses, permits,
qualification and approvals of whatever nature that are legally required to engage in this work.
Any and all fees required by State, County, City and/or municipal laws, codes and/or tariffs that
pertain to work performed under the terms of this Contract will be paid by SUPPLIER.
18.2 The right of OCSD to review or approve drawings, specifications, procedures,
instructions, reports, test results, calculations, schedules, or other data that are developed by
SUPPLIER shall not relieve SUPPLIER of any obligation set forth herein.

19. Applicable Laws and Regulations
19.1 SUPPLIER shall comply with all applicable federal, state, and local laws, rules, and
regulations. SUPPLIER also agrees to indemnify and hold harmless from any and all damages
and liabilities assessed against OCSD as a result of SUPPLIER'S noncompliance therewith.
Any permission required by law to be included herein shall be deemed included as a part of this
Contract whether or not specifically referenced.
19.2 In connection with the execution of this Contract, SUPPLIER shall not discriminate
against employees or an applicant for employment because of race, religion, color, sex or
national origin. SUPPLIER shall take affirmative action to ensure that applicants are employed
and employees are treated during their employment without regard to their race, religion, color,
sex or national origin. Such action shall include, but not be limited to,the following:employment,
upgrading, demotion or transfer, recruitment or recruitment advertising; lay-off or termination;
rate of pay, or other forms of compensation; and selection for training, including apprenticeship.
20. Public Contacts Law
OCSD is subject to the provisions listed in the prevailing wage determination made by the
Director of Industrial Relations pursuant to California Labor Code part 7. Chapter 1, Article 2,
Sections 1770, 1773 and 1773.1. It is agreed that all provisions of law applicable to public
contracts are part of this Contract to the same extent as though set forth herein and will be
complied with by SUPPLIER. SUPPLIER shall not pay less than the prevailing wage.
21. South Coast Air Quality Management District's ISCAQMDI Requirements
It is SUPPLIER's responsibility that all equipment furnished and installed be in accordance with
the latest rules and regulations of the South Coast Air Quality Management District(SCAQMD).
All contract work practices, which may have associated emissions such as sandblasting, open
field spray painting or demolition of asbestos containing components or structures, shall comply
with the appropriate rules and regulations of the SCAQMD.
22. Regulatory Requirements
SUPPLIER shall perform all work under this Contract in strict conformance with applicable
federal, state, and local regulatory requirements including, but not limited to,40 CFR 122, 123,
124,257,258,260, and 261,Tide 22,23,and California Water Codes Division 2.
23. Conflict of Interest and Reporting
SUPPLIER shall at all times avoid conflict of interest or appearance of conflict of interest in
performance of this Contract.
24. SUPPLIER's Relationship to OCSD
SUPPLIER's relationship to OCSO in the performance of this Contract is that of an independent
contractor. The personnel performing services under this Contract shall, at all times, be under
SUPPLIER's exclusive direction and control, and shall be employees of SUPPLIER and not
employees of OCSD. SUPPLIER shall pay all wages, salaries and other amounts due its
employees in connection with this Contract, and shall be responsible for all legal reports and
obligations respecting them, such as social security, income tax withholding, unemployment
compensation,worker's compensation and similar matters.
25. Attorney's Fees
If any action at law or in equity is necessary to enforce or interpret the terms of this Contract,the
prevailing parry shall be entitled to reasonable attorneys fees, costs and necessary
disbursements, in addition to any other relief to which it may be entitled.

26. Govemine Law
This Contract shall be governed by and interpreted under the laws of the Stale of California and
the Parties submit to jurisdiction in Orange County, in the event any action is brought in
connection with this Contract or the performance thereof.
27. Disoutes
27.1 In the event of a dispute as to the construction or interpretation of this Contract, or any
rights or obligations hereunder, the Parties shall first attempt, in good faith, to resolve the
dispute by mediation. The Parties shall mutually select a mediator to facilitate the resolution of
the dispute. If the Parties are unable to agree on a mediator, the mediation shall be conducted
in accordance with the Commercial Mediation Rules of the American Arbitration Agreement,
through the alternate dispute resolution procedures of Judicial Arbitration through Mediation
Services of Orange County ("JAMS'), or any similar organization or entity conducting an
alternate dispute resolution process.
27.2 In the event the Parties are unable to timely resolve the dispute through mediation, the
issues in dispute shall be submitted to arbitration pursuant to California Code of Civil Procedure,
Part 3, Ti le 9, Sections 1280 at seq. For such purpose, an agreed arbitrator shall be selected,
or in the absence of agreement, each party shall select an arbitrator, and those two arbitrators
shall select a third. Discovery may be conducted in connection with the arbitration proceeding
pursuant to California Code of Civil Procedure Section 1283.05. The arbitrator, or three
arbitrators acting as a board, shall take such evidence and make such investigation as deemed
appropriate and shall render a written decision on the matter in question. The arbitrator shall
decide each and every dispute in accordance with the laws of the State of California. The
arbitrator's decision and award shall be subject to review for errors of fact or law in the Superior
Court for the County of Orange,with a right of appeal from any judgment issued therein.
28. Severability
If any section, subsection, or provision of this Contract, or any agreement or instrument
contemplated hereby, or the application of such section, subsection, or provision is held invalid,
the remainder of this Contract or instrument in the application of such section, subsection or
provision to persons or circumstances other than those to which it is held invalid, shall not be
affected thereby, unless the effect of such invalidity shall be to substantially frustrate the
expectations of the Parties.
29. Waiver
The waiver of ether party of any breach or violation of, or default under, any provision of this
Contract,shall not be deemed a continuing waiver by such party of any other provision or of any
subsequent breach or violation of this Contract or default thereunder nor shall t operate as a
waiver of OCSUs to seek remedies available to it for any subsequent breach.
30. Survival
The provisions of this Contract dealing with Payment, Warranty, and Forum for Enforcement,
shall survive termination or expiration of this Contract.
31. Exceptions
OCSD hereby takes exception to the Purity Specifications submitted by SUPPLIER with the bid.
32. Third Pant Rights
Nothing in this Contract shall be construed to give any rights or benefits, to anyone other than
OCSD and SUPPLIER.

33. Limitations upon Subcontractina and Assignment
SUPPLIER shall not delegate any duties nor assign any rights under this Contract without the
prior written consent of OCSD. Any such attempted delegation or assignment shall be void.
34. Authority to Execute
The persons executing this Contract on behalf of the Parties warrant that they are duly
authorized to execute this Contract and that by executing this Contract,the Parties are formally
bound.
35. Entire Aareemenl
This Contract constitutes the entire agreement of the parties and supersedes all prior written or
oral and all contemporaneous oral agreements, understandings, and negotiations between the
parties with respect to the subject matter hereof. This Contract may be modified or changed
only by written instrument signed by the party charged to be bound thereby.

36. Notices
All notices under this Contract must be in writing. Written notice shall be sent by registered or
certified mail, postage prepaid, return receipt requested, or by any other overnight delivery
service which delivers to the noticed destination and provides proof of delivery to the sender.

THIS AMENDMENT TO THE AGREEMENT is made and entered into, to be effective August 21,
2013 by and between Orange County Sanitation District hereinafter referred to as "OCSD" with main
offices located at 10844 Ellis Avenue, Fountain Valley, California 92708-7018 and AIR LIQUIDE
INDUSTRIAL US LP with main offices located at 9756 Santa Fe Springs Road, Santa Fe Springs,
California 90670 (hereinafter referred to as " Consultant") collectively referred to as the "Parties".
WHEREAS, OCSD and Consultant executed, delivered and entered into the Agreement between
OCSD and Consultant, the effective date of which is August 1, 2013 ("the Agreement"); and
WHEREAS, the Parties wish to amend the Agreement to make certain modifications which shall be
called Amendment No. 1 ("Amendment"); and
WHEREAS, the Parties to the Agreement desire that this Amendment be incorporated into the
Agreement and become a part thereof from the beginning; and
WHEREAS, the Parties desire that the Agreement as modified by this Amendment shall constitute
the sole and entire Agreement among the Parties;
NOW, THEREFORE, in consideration of these premises and the mutual covenants contained
herein, the Parties agree to amend the Agreement to:
1. Modify Section 6. Contract Term to state, "The Services provided under this Contract shall be for
the period of one (1) year, commencing August 21, 2013 and continuing through August 20,
2014:; and
2. Include the approval by ratification of the OCSD Board of Directors.
Except as expressly amended above,the Agreement will remain unchanged and in full force
and effect.

DISTRICT PLANT NO. 1
GENERAL MANAGER'S RECOMMENDATION
A. Approve an Agreement between the City of Fountain Valley and the Orange
County Sanitation District for the City building permits of thirteen existing
buildings that were constructed at Reclamation Plant No. 1, for a total cost of
$315,945.04.
B. Approve the transfer of $145,777.89 from the Replacement, Rehabilitation, and
Refurbishment line 13, page A-2 of the 2013-14 Budget update, to the P1-115
budget to cover the cost for permitting eight of the thirteen buildings.
SUMMARY
Many of the Orange County Sanitation District (Sanitation District) buildings and
structures located at its Reclamation Plant No. 1 (Plant No. 1) in the City of Fountain
Valley (City)were built without building permits.
As a result, in 1992, the Sanitation District and the City entered into an Agreement
which required the Sanitation District to submit a specific plan that established which
buildings and structures at Plant No. 1 would be subject to the City's planning and
building laws, and as such, required to obtain building permits. In 1993, the Sanitation
District approved the Fountain Valley Specific Plan, which was then subsequently
approved and adopted by the City in 1994.
In 2008, the Sanitation District entered into another Agreement with the City, which
provided for the issuance of building permits for four existing buildings that the
Sanitation District constructed without building permits. The four buildings included the
Control Center Building, Laboratory Building, and Maintenance Buildings 5 & 6. To
satisfy the building permit requirement, the Sanitation District paid the City $356,835 in
lieu of a 3% impact fee normally charged by the City associated with the issuance of a
building permit.
This proposed 2013 Agreement between the Sanitation District and the City will now
provide for the issuance of permits for the remaining buildings at Plant No. 1, which
were constructed without building permits. This includes Maintenance Buildings 1, 27 3,

4, and 7, Shop A and B Buildings, and Warehouse and Storage Buildings. These
buildings must be permitted for the ongoing P1-115 - Title 24 Access Compliance and
Building Rehabilitation project to move forward. In addition, the Administration Building,
Human Resources Building, Purchasing Building, Building 8, and Fleet Services
Building, which are all subject to future rehabilitation and/or replacement, are part of this
Agreement. If all buildings under the terms of the Agreement are modified, the total
payment to the City will be $315,945.04.
PRIOR COMMITTEE/BOARD ACTIONS
May 2012 - Approved an Amendment to the Professional Design Services Agreement
with The Austin Company for a planning study and additional design services for the
Title 24 Access Compliance and Building Rehabilitation Project, Project No. P1-115,
and a contingency increase of $550,000 (25%) to the Professional Design Services
Agreement with The Austin Company for the Title 24 Access Compliance and Building
Rehabilitation Project, Project No. P1-115, for a total contingency of$770,000 (35%).
July 2011 - Approved a Professional Design Services Agreement with The Austin
Company to provide professional design services for Title 24 Access Compliance and
Building Rehabilitation Project, Project No. P1-115, for an amount not to exceed
$2,200,000; and approved a contingency of$220,000 (10%).
February 2011 - Approved Amendment No. 1 to the Agreement with City of Fountain
Valley for Permitting of Interim Improvements of the Orange County Sanitation District,
providing for updated completion schedule and project list, in a form approved by
General Counsel.
April 2010 - Approved an Agreement with the City of Fountain Valley for Permitting
Improvements of the Orange County Sanitation District within the City of Fountain
Valley, in a form approved by General Counsel.
October 2008 - Approved an Agreement with the City of Fountain Valley regarding the
issuances of building permits for four buildings constructed without building permits.
April 1994 - Approved an Agreement with the City of Fountain Valley which required the
Sanitation District to submit a specific plan and established which buildings and
structures would be subject to the City's planning and building laws.
ADDITIONAL INFORMATION
In 1993, the Sanitation District adopted Fountain Valley Specific Plan, which provides
guidance for the continued use and future development of the Sanitation District at Plant
No. 1. It establishes comprehensive guidance for the continued use and the proposed
plan for future development of Plant No. 1. In 1994, this was approved and adopted by
the City.
For both the 2008 and 2013 Agreements between the Sanitation District and the City,
the City would recognize the Sanitation District listed buildings that were constructed
without a building permit and allow the Sanitation District to modify these buildings in

compliance with today's building codes. The Sanitation District would in exchange pay
the City an amount equal to 3% of the construction cost of the buildings identified in the
Agreement.
The Sanitation District would also indemnify, defend, and hold the City harmless for any
and all liability arising from the failure to secure permits for the existing buildings noted
in the Agreement. If the Sanitation District elects to demolish and/or replace the
Administration Building, Human Resources Building, Purchasing Building, Building 8 or
Fleet Services, then this 3% fee would not apply to that specific building.
CEQA
This is not a project. CEQA does not apply.
BUDGET/DELEGATION OF AUTHORITY COMPLIANCE
This request complies with authority levels of the Sanitation District's Delegation of
Authority. This item has been budgeted. (Line item: 13, Page A-2). Project
contingency funds will not be used for this Amendment. Additional budget
authorizations will be requested for the other five buildings at such time payment under
the terms of the Agreement is necessary.

WITHIN THE CITY OF FOUNTAIN VALLEY
This AGREEMENT is made and effective as of July 16,2013, ("Effective Date")by and
between the City of Fountain Valley (hereinafter "City) and the Orange County Sanitation
District(hereinafter"District')with reference to the fallowing facts:
Recitals
WHEREAS,the District,successor in interest to the County Sanitation District Nos., 1,2,
3,5,6,7, 11, 13,and 14,is a duly organized County Sanitation District existing pursuant to the
County Sanitation District Act, California Health and Safety Code section 4700,at seq.,
providing for the ownership,operation,and maintenance of wastewater collection,treatment,and
disposal facilities within Orange County,California;and
WHEREAS,City is a municipal corporation duly organized and validly existing under
the laws of the State of California with the power to cant'on its business as it is now being
conducted under the statutes of the State of California and the Charter of the City;and
WHEREAS,the District constructed certain buildings located within the City without
obtaining building permits from City;and
WHEREAS,a dispute arose between the City and the District,whereby City asserted that
the District was required to comply with certain use permits and other requirements of the City's
zoning ordinance,and District contended that the District was not governed by or was otherwise
exempt from the City's zoning ordinance;and
WHEREAS,thereafter,without waiving any legal rights, City and District entered into a
1992 Agreement entitled "Agreement for Specific Plan of Site Use and Development Between
City of Fountain Valley and County Sanitation Districts Nos. 1,2,3,5,6,7, 11, 13,and 14 of
Orange County,California,Regarding Sanitation Districts'Reclamation Plant No. 1" ("1992
Agreement")to resolve the dispute regarding legal rights and responsibilities of each party
without extensive litigation;and
WHEREAS,the 1992 Agreement set forth a requirement that the District submit a
Specific Plan and established which buildings and structures would be subject to City zoning and _
building ordinances;and
WHREREAS,in 2008,the City and District entered into an agreement entitled
"Agreement Regarding Permitting for Administration Buildings of the Orange County Sanitation
District within The City of Fountain Valley," for the issuance of building permits for the
District's Control Center Building,the Laboratory Building,and Maintenance Buildings 5&6,
which were all previously constructed buildings;and

WHEREAS, District is considering the future disposition of its Administration Building,
Human Resources Building,Building 8, the Fleet Services Building,and the buildings identified
in Appendix A,attached hereto and incorporated herein(collectively, "OCSD Buildings"), which
were constructed without a building permit and were not incorporated in the 2008 Agreement;
and
WHEREAS,District desires that City issue building permits for the modification of the
existing OCSD Buildings if OCSD elects to modify rather than replace the OCSD Buildings;and
WHEREAS,at the time said OCSD Buildings were constructed, City would have
imposed a fee for unmitigated impacts on the City in the sum of 3%of the cost of construction;
and
WHEREAS, District did not pay such fees at the time these OCSD Buildings were
constructed; and
WHEREAS,without waiving any legal rights and consistent with the requirements of
Section 6 of the 1992 Agreement,District desires to obtain building permits for the modification
of one or more of these existing OCSD Buildings and is willing to pay the amounts set forth
herein in lieu of the 3%impact fee to cover the cost that would have been charged by the City for
the previously constructed buildings as modified; and
WHEREAS, City is willing to issue building permits for the modification of the existing
OCSD Buildings identified herein if District is willing to provide certain indemnification as to
the previously constructed buildings as hereinafter set forth.
NOW, THEREFORE,the Parties agree as follows:
1. The Recitals set forth above are true and correct and are hereinafter incorporated
into this Agreement.
2. District shall pay an amount approximating 3%of the"Construction Costs". For
purposes of this Agreement"Construction Costs"shall be the cost calculated on the Effective
Date of this Agreement to construct the buildings described herein as modified,which amount
shall constitute the sole fee the City will charge to cover the City's claim for past amounts due
related to or arising from OCSD's construction of the buildings without a permit(referred to
--hereinafter r as "Pa Clauns'jThelotal amourif-dw�tri'the City shall be calcu—lid baste on the
amount associated with the modification of one or more of the buildings identified below. In the
event OCSD elects to demolish and/or replace a particular building, this fee shall not apply to
that particular building or buildings.
A. The District intends to modify the buildings listed in Appendix A and shall pay the
sum of$ 145,777.89,which constitutes an amount approximating 3%of District
construction cost for all the buildings listed in Appendix A. Said sum shall be the

sole fee or charge the City shall assess for the Past Claims concerning the buildings
listed in Appendix A.
B. If the District chooses to modify the Administration Building,District shall pay the
sum of$ 130,065.40,which constitutes an amount approximating 3%of District
construction cost for the Administration Building. Said sum shall be the sole fee or
charge the City shall assess for the Past Claims concerning the Administration
Building,
C. If the District chooses to modify the Human Resources Building,District shall pay
the sum of$ 14,348.26,which constitutes an amount approximating 3%of District
construction cost for the Human Resources Building. Said sum shall be the sole fee
or charge the City shall assess for the Past Claims concerning the Human Resources
Building.
D. if the District chooses to modify Building 8 and the Fleet Services Building,District
shall pay the sum of$ 19,064.95,which constitutes an amount approximating 3%of
District construction cost for Building 8 and the Fleet Services Building. Said sum
shall be the sole fee or charge the City shall assess for the Past Claims concerning
Building 8 and the Fleet Services Building.
E. If the District chooses to modify the Purchasing Building,District shall pay the sum
of$2,268.02,which constitutes an amount approximating 3%of District construction
cost for the Purchasing Building. Said sum shall be the sole fee or charge the City
shall assess for the Past Claims concerning the Human Resources Building.
F. Building H shall be exempt from payment of the Past Claims as it was constructed
prior to the incorporation of the City and will be demolished by the District.
3. City agrees to review District plans and to issue building permits for the
modification of the existing OCSD Buildings if the proposed modification meets City code
requirements,provided that District complies with Section 4 below.
4. District shall indemnify,defend and hold City harmless from any and all liability
arising from City's failure to require that deconstmctive testing and/or building permits be
required for the previous construction or from any liability arising from City's approval of this
Agreement.
5. In addition to the fees for Past Claims,District hereby agrees to pay fees and
charges adopted by the City Council,which are effective on the date of this Agreement,
applicable to modifications of existing buildings and/or construction permits and/or demolition
permits.

6. The Parties agree and acknowledge that this Agreement is entered into in
furtherance of and pursuant to the obligations contained in the 1992 Agreement as a compromise
to a zoning dispute between the parties and that the fact that either party has agreed to this
Agreement shall not be admissible as evidence pursuant to Evidence Code section 1152 of the
validity of any legal position asserted.
7. Nature of Settlement Amounts Paid. The parties do not admit fault or liability in
this Agreement.Nevertheless, they have agreed to buy their peace by entering into this
Agreement. The settlement amounts to be paid have been calculated as sums that should have
been paid under the laws as they existed at the time but based on construction costs on the
Effective Date of this Agreement.Nothing in this Agreement shall be construed or interpreted to
be a characterization of these sums of money as any type of fee or charge for which there may be
laws restricting the purposes for which the fees or charges can be collected for, or which restrict
the use of those funds, or which limit how long those funds may be retained, or which provide
for refunds if those funds are not used within certain time limits. Sums paid pursuant to this
Agreement are simply amounts paid in settlement of a bona fide dispute, and the sums identified
herein shall not change even if modifications to any one or more of the buildings are delayed.

OF THE ORANGE COUNTY SANITATION DISTRICT
WITHIN THE CITY OF FOUNTAIN VALLEY
This AGREEMENT is made and effective as of April 28, 2010,by and between the City
of Fountain Valley (hereinafter "City) and the Orange County Sanitation District (hereinafter
"District")with reference to the following facts:
Recitals
WHEREAS,District is preparing a project to satisfy the City of Fountain Valley that all
facilities subject to the City's construction codes are in compliance therewith, as well as with
other laws pertaining to access for the disabled,including,but not limited to,the Americans with
Disabilities Act,("City Compliance Project");and
WHEREAS, the City Compliance Project is estimated to commence construction by
July 1,2011,and be completed by June 30,2018;and
WHEREAS,that City Compliance Project plan is attached hereto as Exhibit"A";and
WHEREAS,District requires improvements to certain Plant 1 facilities in the interim, as
described in Exhibit"B"hereto("Interim Improvements");and
WHEREAS, City is willing to issue building permits for the Interim Improvements if
District is willing to provide certain indemnification as hereinafter set forth;
NOW,THEREFORE,the parties agree as follows:
1. City agrees to review District plans and to issue building permits, as necessary,for each
Interim Improvement if it meets City code requirements, provided that District implements the
City Compliance Project and wmplies with Section 3 below.
2. Notwithstanding the District's good faith attempt to list all specific projects constituting
Interim haprovements in Exhibit `B", City and District agree that should a new, different, or
overlooked project not listed in Exhibit"B"be necessitated,developed or discovered,which is of
a similar scope and/or intensity as the other projects listed in Exhibit "B", the City Manager or
his designee and the and District's General Manager or his designee shall cooperate in goad faith,
in a timely way, to supplement Exhibit "B" to incorporate such project(s). By executing this
agreement the CityCouncil of the City of Fountain Valley and the Board of Directors of the
Orange County Sanitation District, and each of them, do authorize their City Manager and
General Manager, respectively, to make such changes to Exhibit `B" without prior approval of
the City Council or the District Board,as the case may be.
3. District shall indemnify the City and its officers, agents and employees from any and all
claims or liability,arising from City's issuance of building permits for the Interim Improvements.
If a claim alleges that the City should not have issued permits as a result of the operation or
requirements of Chapter I1B of Part 2 of Title 24 of the California Code of Regulations, or the

Americans with Disabilities Act or similar law, pertaining to accessibility to public facilities,

This AGREEMENT is made and effective as ofa0.4 2008,
by and between the City of Fountain Valley(hereinafter"City)`e m flawarr nge County Sanitation
District(hereinafter"Distdcfo with reference to the following facts:
Recitals
WHEREAS,certain buildings described in Attachment A were built without building
permits;cad
WHEREAS,thereafter,City end District entered into a 1992 Agreement that incorporated
the provisions of Government Code section 53091 and established which buildings and structures
would be subjcet to City zoning and building ordinances;and
WHEREAS,District now desires that City issue building permits for new construction
that is a modification of the buildings that were constructed without a building permit;and
WHEREAS,when said buildings were constructed,City imposed a fee for unmitigated
impacts on the City in the sour of 3%of the coat of construction;and
WHEREAS,District desires to obtain building permits for the new construction and is
willing to pay the 3%impact fee for the previously constructed buildings;and
WHEREAS,City is willing to issue building permits for the new construction if District
is willing to provide certain indemnification sa to the previously conatructed buildings as
hereinafter set firth;
NOW,THEREFORE,the parties agree sa follows:
1. District shall pay the sum of$356,835,which constitutes an amount approximating 3%of
District construction costs for the previously constructed buildings. Said sum sball be the sole
fee or charge that City shall assert for the previously constructed buildings.
2. City agrees to review District plans and to issue building permits for new construction if
it meets City code requirements,provided that District complies with Section 3 below,
3. District shall indemnify,defend and hold City harmless from any and all liability arising
from City's failure to require that deconstructive testing and/or building permits be required for
the previous construction a from my liability arising from City'a approval of this agreement
4. District shall pay all currently imposed fees for new construction.

1.0 SPECIFIC PLAN SUMMARY
PURPOSE AND INTENT
The County Sanitation Districts of Orange County Specific Plan establishes comprehensive
guidance for the continued use and the proposed planned furore development of the approximate
108 acre-site, owned by the Districts in the City of Fountain Valley, California. The Specific
Plan will carry out the agreed upon land use site plan by combining the master plan of land use
for the site, establishing policies and administrative procedures and development regulations for
implementation of the specific land tees of the site and will replace the current property zoning
standards, including any applicable requirements for obtaining a Conditional Use Permit This
Specific Plan, adopted by resolution after completion of studies by the City and Districts, is
consistent with the City of Fountain Valley General Plan, and resolves the disagreements
between the City and Districts relating to their respective rights for the use of the site.

2.1 INTRODUCTION
2A PROJECT LOCATION
The project atta-is located in the central portion of Orange County, within the City of Fountain
Valley. More specifically, the project is located on the south side of Ellis Avenue, west of the
Santa Ana River.
2.2 EXISTING SITE CHARACTERISTICS
The 108-acre project area, for more than 60 years, has been partially developed and
continuously used as a wastewater treatment facility by the County Sanitation Districts of
Orange County and its predecessor agency.
All existing improvements and land are owned and operated by the County Sanitation Districts
of Orange County.
2.3 CALIFORNIA ENVIRONMENTAL QUALITY ACT COMPLIANCE
This Specific Plan has been prepared in compliance with the provisions of the California
Environmental Quality Act (CEQA). The County Sanitation Districts of Orange County
i prepared an Environmental Impact Report in conjunction with the preparation of the 1989
Collection,Treatment and Disposal Facilities Master Plan(hereafter the'2020 Plan'). The E R
for the 2020 Plan was prepared in accord with Federal, State and local environmental laws and
regulations responding to the existing and proposed development. The applicability of the I3R
will include future development, developed in conformance with the County Sanitation Districts
of Orange County Specific Plan. Future development which is consistent with the Specific Plan
will require no further environmental documentation.

2.4 AUT'HORM AND SCOPE
The County Sanitation Districts of Orange County Specific Plan has been prepared pursuant to
the provisions of the California Government Code, Title 7, Division 1, Chapter 3, Article 8,
Sections 65450 through 65457. The California Government Code authorizes cities to adopt
specific plans by resolution or by ordinance. Hearings are required by both the Planning
Commission and the City Council after which the Specific Plan must be adopted by the City
Council to be in effect

This Specific Plan will serve as the zoning provisions for the subject property in lieu of other
general zoning ordinance provisions for the subject property. Proposed development plans,
agreements and any other developmental plans must be consistent with the Specific Plan.

2.5 PRO= OSTECf7VES
In preparing this Specific Plan, consideranon has been given to existing facilities, potential
expansion and/or replacement of existing facilities,construction of additional facilities proposed
in both the immediate and long-term future . This Specific Plan will serve as a planning tool
to implement the physical development of the project area by providing mechanisms to ensure
consistency with the City's General Plan and this Specific Plan. Recognizing these goals, the
following project objectives have been established.
To continue to meG the needs of the community and region by providing for appropriate facility
expansion, new wastewater treatment and reclamation programs and services.
To plan and locate new land uses related to wastewater treatment, to assure compatibility with
other existing wastewater treatment facilities on site and surrounding rues and neighborhoods.
To provide for future permitted uses which respond to anticipated needs of the Districts.
To assure that adequate supporting infrastructure exists to service future reeds of the City and
the Districts.
To implement the goals, objectives and policies of the City of Fountain Valley General Plan.
To implement the goals, objectives and policies of the Districts' '2020 Plan'.
To mum that the proposed use will be consistent with the General Plan of the City and the �
'2020 Plan of the Districts and that the proposed uses will have minimal adverse effect on

3.2 PROHIBITED USES
Incineration of wastewater by-products with municipal solid waste not originating with the
wastewater «utment process, Co mbustion, Solid Waste handling, to wit: garbage, trash or
other similar solid waste not originating with the wastewater treatment process or any trse that
is not specifically authorized by provisions of the '2020 Plan".
3.3 DESIGN REVIEW
In accordance with the adopted purposes of the City's zoning ordinance relating to development
review—namely, that the design and general appearance of structures and buildings ate in
keeping with the intent of achieving high quality, the following provisions shall apply to the
buildings and structures in the Specific Plan.
1. All str == that can be viewed from the adjacent sheets or properties shall be
submitted to the PlanningBuilding Director for Design Review. This review shall include the
review of the design features of all exterior elevations of structures, lighting and any signing
which is designed to be viewed or read from the adjacent streets or propenies.
2. All Parling Plans (including lighting)and traffic circulation plans(both m-site and off-
site) shall be subject to Design Review by the City's Planning/Building and Public Works
Directors. City's review of parking plan shall be limited to ensuring that there is adequate on
site parking.
3. All Landscaping Plans (including irrigation) fm areas that an be viewed from the
adjacent streets or properties shall be subject to Design Review by the City's Planning/Building
and Public Works Directors.
A. Arterial Sam Landscaping
To ante a unifying element surrounding the project area, the existing landscaping shall
be maintained adjacent to Ellis Avenue and Ward Street The existing landscaping may s
be clanged by District with the prim approval of City's PlanningBuilding and Public
Works Directors.
B. Landscaping Materials
Landscaping plantings shall be of trrrf or other appropriate ground cover .
C. Irrigation
Irrigation system shall use reclaimed water to irrigate all landscaping wherever feasible.
4. Block Walls
The existing deomative block/masmuy walls shall be maintained adjacent to the
landscaping on Ellis Avenue and Garfield Street A decorative block masonry

extension of the existing wall shall be constructed adjacent to the Garfield Avenue right-
of-way line to screen the project. Construction shall be required at the time of
construction of the Garfield Avenue street improvements, including the extension across
the Santa Ana River if approved in the future by the County of Orange. Block wall plans
shall be subject to design review and approval by the Planning/Building and Public
Works Directors. Wall plans shall include location, height, materials and color.
5. Parking
The Districts shall provide on-site parking to meet the needs of the Districts' employees,
as well as visitors. The on-site parking plan shall be subject to review by the City's
Planning/Building and Public Works Directors.
6. Hazardous Materials Plan
The Districts shall prepare and submit a hazardous materials plan to the City of Fountain
Valley Fire Department for its review and approval. The Districts' hazardous materials
plan shall be incorporated into the City's Hazardous Materials Plan for the total City.
7. Exterior Storage Plan
All exterior storage areas of materials and equipment associated with the treatment of
wastewater, visible from the arterial streets shall be enclosed by a screen wall screening
the storage area from the arterial streets. Districts shall submit an exterior storage plan
i indicating the locations, type of storage, and method of screening of materials and
equipment from the arterial streets for review and approval by the Planning/Building
Director.
3.4 BUILDING AND FIRE DEPARTMENT PERMITS
The Districts shall submit for review and approval all construction plans for all non-wastewater
treatment facilities on the site. The Districts shall pay processing fees, plan check fees, building
permit fees and inspection fees for the facilities at the time of submittal and shall secure required
inspections for the non-wastewater treatment facilities. Districts may use state licensed engineers
or inspectors in lieu of City inspectors, subject to City approval. Non-wastewater treatment
facilities shall include, but not be limited to:

4.0 SITE DEVELOPMENT
4.1 INTRODUCIION
The County Sanitation Districts of Orange County Specific Plan has been formulated in
accordance with the Fountain Valley Genem-I Plan. This Specific Plan will-sene as the
primary guidance document for the implementation of the Specific Plan. Whenever provisions
contained in this document conflict with the regulations of the Fountain Valley Municipal Code,
the provisions contained herein shall take ptocedence. The Municipal Code shall apply to this
development when standards are not provided within this document. All newly-constructed non-
wastewater treatment facilities within the boundaries of the County Sanitation Districts of
Orange County Specific Plan shall comply with all the provisions of the most recently adopted
editions of the Uniform Building Code, Uniform Plumbing Code, Uniform Mechanical Code,
National Electrical Code and the Uniform Fire Code.
4.2 GENERAL NOTES
1. Domestic (potable) water service to and within the Specific Plan area shall be furnished
by the City of Fountain Valley.
2. Subdivision of property within the Specific Plan area shall be in accordance with the
State Subdivision Map Ate.
3. All facHities or operations potentially generating noxious fumes, toxic substances,
flammable materials, radioactive materials, and infectious waste will comply with all
federal, sate, and local regulations and standards including the Hazardous Materials
Plan adopted by the City of Fountain Valley, provided it is not in conflict with Federal
or State law.
4. All fire hydrants and access shall be approved by the Fountain Valley Fire Department.S. All new buildings shall comply with all applicable State and Federal laws.
4.3 PLAN CONSISTENCY
Finding: That the City of Fountain Valley hereby finds that the proposed Sanitation Districts'
Specific Plan is consistent with the Fountain Valley General Plan, and Redevelopment Plan for
Industrial Area of the Redevelopment Project. -

Facts: The proposed Sanitation Districts' Specific Plan is located adjacent to the boundaries of
the Industrial Area of the City of Fountain Valley's Redevelopment Plan. The Redevelopment
Plan conforms to the City of Fountain Valley General Plan which designates the subject property _
as 'industrial' subject to a Specific Plan. -
The Sanitation Districts' Specific Plan provides for Gte implementation of the Districts' 1959 —
Collection,Treatment and Disposal Facilities Master Plan through the year 2020. The Districts
and City acknowledge that technological and regulatory changes, as well as service needs and
demands, are likely to ooctrr prior to complete implementation of the Master Plan in the year
2020. In such event, the Master Plan will requite changes which shall then muse an amendment
to the Specific Plan to be revised, as provided in Section 5.0 below.
The Sanitation Districts'Specific Plan is specifically consistent with the Redevelopment Plan and
the General Plan, and it provides a precise mechanism for the implementation of the '2020
Matter Plan' on Collection, Treatment and Disposal Facilities, as adopted by the County
Sanitation Districts of Orange County in February of 1989.
The Specific Plan provides for and approves existing landscaping and walls along the arterial
streets on the perimeter of the Districts' property, so as to provide a buffer with other
surrounding land uses.
The County Sanitation Districts of Orange County's 2020 Plan on 'Collection, Treatment and
Disposal Facilities Master Plan' was subject to a noticed public hearing as required by State and
Federal laws. The Plan and its environmental documents were processed in the manner as
required by State and Federal regultaim and the Board for the County Sanitation Districts of
Orange County. After noticed public hearings, and consultation with affected organizations
govcmmennl agencies and individuals,the Board of Directors for the County Sanitation Districts
of Orange County approved the'2020 Plan and its related documents. These documents consist
of County Sanitation Districts of Orange County MASTER PLAN 1989 REPORTS VOLUMES
1 THROUGH 9 and the ENVIRONMENTAL DOCUMENTS.
The County Sanitation Districts of Orange County Master Plan and environmental documents
are made a pan of this Specific Plan by reference. In the event the '2020 Plan', is amended
by the Districts with the concur ence of the City of Fountain Valley, the amended plan shall be
incorporated and made a part of this Specific Plan by reference.

5.0 SPECIFIC PLAN AMENDMENT
The Specific Plan may be amended from time to time upon request from the County Sanitation
Districts of Orange County or if initiated by the City of Fountain Valley. In the latter event,
the amendment will be processed in accordance with the terms anO conditions of the
Memorandum of Understanding by and between City and Districts,dared August 12, 1992. T}ee
City of Fountain Valley uMerstands that the wastewater treatment methods and standards, as
well as environmental and public health regulations, that are required by Federal and State
agencies may change from time to time and that the City of Fountain Valley will not
unreasonably withhold approvals for said amendments.
5.1 AMENDMENT PROCEDURES
In accordance with the California Government Code Sections 65453 to 65454, Specific Plans
shall be prepared, adopted and amended in the same manner as General Plans, except that
Specific Plans may be adopted by resolution or ordinance.
Amendments to the Specific Plan may require preparation of a supplemental, or subsequent
development or addendum to the existing environmental impact report as may be required by
the Federal and State environmental laws.

6.1 DEFINITIONS
A: '2020 Plan'
The Master Plan for treatment facilities for the Coun_ry Sanitation Districts of Orange
County desabed as the '1989 Collection, Treatment and Disposal Facilities Master
Plan', consisting of Volumes I through 9, which are on file with the City of Fountain
Valley Planning Department
B. 2020 Environmental Impact Report
The environmental documents prepared in accordance with the California Environmental
Quality Act pertaining to the environmental impacts of the County Sanitation Districts
of Orange County's '1989 Collection,Treatment and Disposal Facilities Master Plan'.
C. Co-Combustion
The rapid chemical combination of oxygen with the combustible elements of two or more
fuels. The combination of the combustible elements and compounds of a fuel with all
the oxygen require a temperature high enough to ignite the constituents, mixing or
turbulence and sufficient time for complete combustion. There are no co-combustion
facilities at Districts' Reclar„ation Plant No. 1.
D. Co-Generation
The sequential utilization of energy from the same source to produce electric power and - -
a lower level of thermal a=U, such u process heat Co-Ganeation Facilities presently
exist at Districts' Reclarrg`on Plant No. I in the form of engine generator sets
generating electric power from the wastewater treatment process by-products, such as
biologically produced rnetharx gas.
E. Districts
Any individual or combination of individual County Sanitation Districts Nos. 1, 2, 3, 5, v.
6, 7, 11, 13 or 14 of Orange County.
F. Indneration
The process of reducing a volume of solid refuse or waste materials through compacting,
pulverizing and/or shredding the materials and then feeding the material, combined with
another highly comils-, k fuel, through a dosed combustion dumber. Thee are no
incinerator facilities at District's Reclamation Plant No. 1.
G. Infsastructue
Basic framework of sweets, on-site traffic circulation system, water system and drainage
system allowing for the operation of a Gcility for the treatment of wastewater.

WHEREAS, the Sanitation Districts of Orange County has petitioned the City of
Fountain Valley to establish a Specific Plan on the appr=dmately 108 acre site located on
the south side of Ellis Avenue adjacent to the Santa Ana River.
WHEREAS, the Fountain Valley Planning Commission, on March 9, 1994,
conducted a public hearing regarding this matter and adopted Resolution No. 94-13
recommending approval of a Speck Plan for the County Sanitation Districts' of Orange
County, and
WHEREAS, a public hearing was conducted by the City Council on April 19, 1994,
atwhich time interested persons had an opportunity to testify in support or opposition to the
proposal.
NOW, THEREFORE, BE IT RESOLVED AS FOLLOWS:

The County Sanitation District of Orange County, as lead agency as defined by CEQA
regulations, prepared and certified an Environmental Impact Report in conjunction with
preparation of the 1989 Collection, Treatment and Disposal Facilities Master Plan (known

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY
OF FOUNTAIN VALLEY REZONING APPROXIMATELY
108 ACRES LOCATED ON THE SOUTH SIDE OF ELLIS

WHEREAS, The Sanitation Districts of Orange County initiated the zone change
of SP 'Specific Plan" of approximately 108 acres located on the south side of Ellis Avenue
adjacent to the Santa Ana River.
WHEREAS, the Fountain Valley Planning Commission on March 9, 1994, held a
public hearing regarding the proposed zone change and adopted Resolution No. 94-12
recommending that the subject property be rezoned to SP "Specific Plan" to permit the
establishment of a Specific Plan on the Sanitation Districts Plant #2.
WHEREAS, the proposed rezoning will be in the best interest of the public and will
be consistent with the City's revised General Plan; and
WHEREAS, the City Council held a duly noticed public bearing to consider the
initiated zone change.
NOW, THEREFORE, the City Council of the City of Fountain valley does hereby
ordain as follows:
Section 1:
The County Sanitation District of Orange County, as lead agency as defined by
CEQA regulations, prepared and certified an Environmental Impact Report in
conjunction with preparation of the 1989 Collection, Treatment and Disposal
Facilities Master Plan (known the 2020 Master Plan). The FIR for the 2020 Master
Plan was prepared in accord with Federal, State and local environmental laws and
regulations responding to the existing and proposed development The City of
Fountain Valley was designated as a Responsible Agency in 1989.
This Specific Plan has been prepared in compliance with the provisions of the
California Environmental Quality Act A Negative Declaration has been prepared

A JOINT RESOLUTION OF THE BOARDS OF DIRECTORS OF

11, 13 AND 14 OF ORANGE COUNTY, CALIFORNIA, APPROVING
FOUNTAIN VALLEY SPECIFIC PLAN FOR SITE USE AND

WHEREAS, the County Sanitation Districts of Orange County,
California have owned and operated since 1923, for the benefit of
the residents and businesses in 24 communities, a regional
wastewater treatment plant to provide treatment and reuse or
disposal of wastewater at its Reclamation Plant No. 1 in the City
of Fountain Valley; and,
WHEREAS, said Districts' operation of Reclamation Plant
No. 1 is regulated by Federal and State agencies pursuant to the
provisions of both federal and California law; and,
WHEREAS, said Districts have developed and adopted their
collection treatment and disposal facilities Master Plan dated
February 1989, which said Master Plan specifically includes all
facilities at Reclamation Plant No. 1; and,
WHEREAS, City has asserted a right and made demand upon
Districts to submit an application for zoning conditional use
permit and receive approval of City prior to commencement of
construction of any facilities at Plant No. 1; and,
WHEREAS, said Districts have asserted to City that it is
exempt from the requirement of compliance with local planning and
zoning ordinances of the City; and,
WHEREAS, a dispute therefore arose between City and
Districts; and,
WHEREAS, in order to resolve said dispute, the City and the
Districts, on August 12, 1992, entered into an agreement
providing for utilizatilon of a Specific Plan of Site Use and
Development regarding Sanitation Districts' Reclamation Plant
No. 1; and,
WHEREAS, the City and the District have now agreed to the
terms and provisions of a Specific Plan in the document dated
July 12, 1993.
NOW, THEREFORE, the Boards of Directors of County Sanitation
Districts Nos. 1, 2, 3, 5, 6, 7, 11, 13 and 14 of Orange County,
California,
DO HEREBY RESOLVE, DETERMINE AND ORDER:
Section 1. That the Fountain Valley Specific Plan for Site
Use and Development at Reclamation Plant No. 1 dated September 8,
1993, between the City of Fountain Valley and County Sanitation
Districts NOS. 1, 2, 3, 5, 6, 7, 11, 13 and 14 of Orange County,

1.0 SPECIFIC PLAN SUMMARY
PURPOSE AND INTENT
The County Sanitation Districts of Orange County Specific Plan establishes comprehensive
guidance for the continued use and the proposed planned future development of the approximate
108 acre-site, owned by the Districts in the City of Fountain Valley, California. The Specific
Plan will carry out the agreed upon land use site plan by combining the master plan of land use
for the site, establishing policies and administrative procedures and development regulations for
implementation of the specific land uses of the site and will replace the current property zoning
standards, including any applicable requirements for obtaining a Conditional Use Permit. This
Specific Plan, adopted by resolution after completion of studies by the City and Districts, is
consistent with the City of Fountain Valley General Plan, and resolves the disagreements
between the City and Districts relating to their respective rights for the use of the site.

2.1 INTRODUCTION
2.1 PROJECT LOCATION
The project area is located in the central portion of Orange County, within the City of Fountain
Valley. More specifically, the project is located on the south side of Ellis Avenue, west of the
Santa Ana River.
2.2 EXISTING SITE CHARACTERISTICS
The 108-acre project area, for more than 60 years, has been partially developed and
continuously used as a wastewater treatment facility by the County Sanitation Districts of
Orange County and its predecessor agency.
All existing improvements and land are owned and operated by the County Sanitation Districts
of Orange County.
2.3 CALIFORNIA ENVIRONMENTAL QUALITY ACT COMPLIANCE
This Specific Pion has been prepared in compliance with the provisions of the California
Environmental Quality Act (CEQA). The County Sanitation Districts of Orange County
prepared an Environmental Impact Report in conjunction with the preparation of the 1989
Collection,Treatment and Disposal Facilities Master Plan (hereafter the"2020 Plan"). The EIR
for the 2020 Plan was prepared in accord with Federal, State and local environmental laws and
regulations responding to the existing and proposed development. The applicability of the EIR
will include future development, developed in conformance with the County Sanitation Districts
of Orange County Specific Plan. Future development which is consistent with the Specific Plan
will require no further environmental documentation.
2.4 AUTHORITY AND SCOPE
The County Sanitation Districts of Orange County Specific Plan has been prepared pursuant to
the provisions of the California Government Code, Title 7, Division 1, Chapter 3, Article 8,
Sections 65450 through 65457. The California Government Code authorizes cities to adopt
specific plans by resolution or by ordinance. Hearings are required by both the Planning
Commission and the City Council after which the Specific Plan must be adopted by the City
Council to be in effect.

This Specific Plan will serve as the zoning provisions for the subject property in lieu of other
general zoning ordinance provisions for the subject property. Proposed development plans,
agreements and any other developmental plans must be consistent with the Specific Plan.
Projects which are found consistent with the Specific Plan will be deemed consistent with the
City's General Plan.
2.5 PROJECT OBJECTIVES
In preparing this Specific Plan, consideration has been given to existing facilities, potential
expansion and/or replacement of existing facilities, construction of additional facilities proposed
in both the immediate and long-term future . This Specific Plan will serve as a planning tool
to implement the physical development of the project area by providing mechanisms to ensure
consistency with the City's General Plan and this Specific Plan. Recognizing these goals, the
following project objectives have been established.
To continue to meet the needs of the community and region by providing for appropriate facility
expansion, new wastewater treatment and reclamation programs and services.
To plan and locate new land uses related to wastewater treatment, to assure compatibility with
other existing wastewater treatment facilities on site and surrounding uses and neighborhoods.
To provide for future permitted uses which respond to anticipated needs of the Districts.
To assure that adequate supporting infrastructure exists to service future needs of the City and
the Districts.
To implement the goals, objectives and policies of the City of Fountain Valley General Plan.
To implement the goals, objectives and policies of the Districts' "2020 Plan".
To assure that the proposed use will be consistent with the General Plan of the City and the
"2020 Plan of the Districts and that the proposed uses will have minimal adverse effect on

3.2 PROHIBITED USES
Incineration of wastewater by-products with municipal solid waste not originating with the
wastewater treatment process, Co-combustion, Solid Waste handling, to wit: garbage, trash or
other similar solid waste not originating with the wastewater treatment process or any use that
is not specifically authorized by provisions of the "2020 Plan".
3.3 DESIGN REVIEW
In accordance with the adopted purposes of the City's zoning ordinance relating to development
review--namely, that the design and general appearance of structures and buildings are in
keeping with the intent of achieving high quality, the following provisions shall apply to the
buildings and structures in the Specific Plan.
1. All structures that can be viewed from the adjacent streets or properties shall be
submitted to the Planning/Building Director for Design Review. This review shall include the
review of the design features of all exterior elevations of structures, lighting and any signing
which is designed to be viewed or read from the adjacent streets or properties.
2. All Parking Plans (including lighting) and traffic circulation plans (both on-site and off-
site) shall be subject to Design Review by the City's Planning/Building and Public Works
Directors. City's review of parking plan shall be limited to ensuring that there is adequate on
site parking.
3. All landscaping Plans (including irrigation) for areas that can be viewed from the
adjacent streets or properties shall be subject to Design Review by the City's Planning/Building
and Public Works Directors.
A. Arterial Street landscaping
To create a unifying element surrounding the project area, the existing landscaping shall
be maintained adjacent to Ellis Avenue and Ward Street. The existing landscaping may
be changed by District with the prior approval of City's Planning/Building and Public
Works Directors.
B. Landscaping Materials
Landscaping plantings shall be of turf or other appropriate ground cover .
C. Irrigation
Irrigation system shall use reclaimed water to irrigate all landscaping wherever feasible.
4. Block Walls
The existing decorative block/masonry walls shall be maintained adjacent to the
landscaping on Ellis Avenue and Garfield Street. A decorative block/masonry

' extension of the existing wall shall be constructed adjacent to the Garfield Avenue right-
of-way line to screen the project. Construction shall be required at the time of
construction of the Garfield Avenue street improvements, including the extension across
the Santa Ana River. Block wall plans shall be subject to design review and approval
by the Planning/Building and Public Works Directors. Wall plans shall include location,
height, materials and color.
5. Parking
The Districts shall provide on site parking to meet the needs of the Districts' employees,
as well as visitors. The on site parking plan shall be subject to review by the City's
Planning/Building and Public Works Directors.
6. Hazardous Materials Plan
The Districts shall prepare and submit a hazardous materials plan to the City of Fountain
Valley Fire Department for its review and approval. The Districts' hazardous materials
plan shall be incorporated into the City's Hazardous Materials Plan for the total City.
7. Exterior Storage Plan
All exterior storage areas of materials and equipment associated with the treatment of
wastewater, visible from the arterial streets shall be enclosed by a screen wall screening
the storage area from the arterial streets. Districts shall submit an exterior storage plan
indicating the locations, type of storage, and method of screening of materials and
equipment from the arterial streets for review and approval by the Planning/Building
Director.
3.4 BUILDING AND FIRE DEPARTMENT PERMITS
The Districts shall submit for review and approval all construction plans for all non-wastewater
treatment facilities on the site. The Districts shall pay processing fees, plan check fees,
building permit fees and inspection fees for the facilities at the time of submittal and shall
secure required inspections for the non-wastewater treatment facilities. Districts may use state
licensed engineers or inspectors in lieu of City inspectors, subject to City approval. Non-
wastewater treatment facilities shall include, but not be limited to:

Wastewater treatment facilities shall not be subject to City's building and zoning ordinances,
except as expressly provided herein. Such facilities shall include, but not be limited to digesters,
clarifiers, scrubber and settling ponds.

4.0 SITE DEVELOPMENT
4.1 INTRODUCTION
The County Sanitation Districts of Orange County Specific Plan has been formulated in
accordance with the Fountain Valley General Plan. This Specific Plan will serve as the .
primary guidance document for the implementation of the Specific Plan. Wherever provisions
contained in this document conflict with the regulations of the Fountain Valley Municipal Code,
the provisions contained herein shall take precedence. The Municipal Code shall apply to this
development when standards arc not provided within this document. All newly-constructed non-
wastewater treatment facilities within the boundaries of the County Sanitation Districts of
Orange County Specific Plan shall comply with all the provisions of the most recently adopted
editions of the Uniform Building Code, Uniform Plumbing Code, Uniform Mechanical Code,
National Electrical Code and the Uniform Fire Code.
4.2 GENERAL NOTES
1. Domestic (potable) water service to and within the Specific Plan area shall be furnished
by the City of Fountain Valley.
2. Subdivision of property within the Specific Plan area shall be in accordance with the
State Subdivision Map Act.
3. All facilities or operations potentially generating noxious fumes, toxic substances,
flammable materials, radioactive materials, and infectious waste will comply with all
federal, state, and local regulations and standards including the Hazardous Materials
Plan adopted by the City of Fountain Valley, provided it is not in conflict with Federal
or State law.
4. All fire hydrants and access shall be approved by the Fountain Valley Fire Department.
5. All new buildings shall comply with all applicable State and Federal laws.
4.3 PLAN CONSISTENCY
Finding: That the City of Fountain Valley hereby finds that the proposed Sanitation Districts'
Specific Plan is consistent with the Fountain Valley General Plan, and Redevelopment Plan for
Industrial Area of the Redevelopment Project.

Facts: The proposed Sanitation Districts' Specific Plan is located adjacent to the boundaries of
the Industrial Area of the City of Fountain Valley's Redevelopment Plan. The Redevelopment
Plan conforms to the City of Fountain Valley General Plan which designates the subject property
as "industrial" subject to a Specific Plan.
The Sanitation Districts' Specific Plan provides for the implementation of the Districts' 1989
Collection, Treatment and Disposal Facilities Master Plan through the year 2020. The Districts
and City acknowledge that technological and regulatory changes, as well as service needs and
demands, are likely to occur prior to complete implementation of the Master Plan in the year
2020. In such event, the Master Plan will require changes which shall then cause an amendment
to the Specific Plan to be revised, as provided in Section 5.0 below.
The Sanitation Districts' Specific Plan is specifically consistent with the Redevelopment Plan and
the General Plan, and it provides a precise mechanism for the implementation of the "2020
Master Plan" on Collection, Treatment and Disposal Facilities, as adopted by the County
Sanitation Districts of Orange County in February of 1989.
The Specific Plan provides for and approves existing landscaping and walls along the arterial
streets on the perimeter of the Districts' property, so as to provide a buffer with other
surrounding land uses.
The County Sanitation Districts of Orange County's 2020 Plan on "Collection, Treatment and
Disposal Facilities Master Plan" was subject to a noticed public hearing as required by State and
Federal laws. The Plan and its environmental documents were processed in the manner as
required by State and Federal regulations and the Board for the County Sanitation Districts of
Orange County. After noticed public hearings, and consultation with affected organizations
governmental agencies and individuals, the Board of Directors for the County Sanitation Districts
of Orange County approved the "2020 Plan and its related documents. These documents consist
of County Sanitation Districts of Orange County MASTER PLAN 1989 REPORTS VOLUMES
1 THROUGH 9 and the ENVIRONMENTAL DOCUMENTS.
The County Sanitation Districts of Orange County Master Plan and environmental documents
are made a part of this Specific Plan by reference. In the event the "2020 Plan", is amended
by the Districts with the concurrence of the City of Fountain Valley, the amended plan shall be
incorporated and made a part of this Specific Plan by reference.

5.0 SPECIFIC PLAN AMENDMENT
The Specific Plan may be amended from time to time upon request from the County Sanitation
Districts of Orange County or if initiated by the City of Fountain Valley. In the latter event,
the amendment will be processed in accordance with the terms and conditions of the
Memorandum of Understanding by and between City and Districts, dated August 12, 1992, The
City of Fountain Vallev understands that the wastewater treatment methods and standards. as
well as environmental and public health regulations, that are required by Federal and State
agencies may change from time to time and that the City of Fountain Valley will not
unreasonably withhold approvals for said amendments.
5.1 AMENDMENT PROCEDURES
In accordance with the California Government Code Sections 65453 to 65454, Specific Plans
shall be prepared, adopted and amended in the same manner as General Plans. except that
Specific Plans may be adopted by resolution or ordinance.
Amendments to the Specific Plan may require preparation of a supplemental or addendum to the
existing environmental impact report as may be required by the Federal and State environmental
laws.

6.0 APPENDIX
6.1 DEFINITIONS
A. '2020 Plan"
The Master Plan for treatment facilities for the County Sanitation Districts of Orange
County described as the "1989 Collection, Treatment and Disposal Facilities Master
Plan", consisting of Volumes 1 through 9, which are on file with the City of Fountain
Valley Planning Department.
B. 2020 Environmental Impact Report
The environmental documents prepared in accordance with the California Environmental
Quality Act pertaining to the environmental impacts of the County Sanitation Districts
of Orange County's "1989 Collection, Treatment and Disposal Facilities Master Plan".
C. Co-Combustion
The rapid chemical combination of oxygen with the combustible elements of two or more
fuels. The combination of the combustible elements and compounds of a fuel with all
the oxygen require a temperature high enough to ignite the constituents, mixing or
turbulence and sufficient time for complete combustion. There are no co-combustion
facilities at Districts' Reclamation Plant No. 1.
D. Co-Generation
The sequential utilization of energy from the same source to produce electric power and
a lower level of thermal energy, such as process heat. Co-Generation Facilities presently
exist at Districts' Reclamation Plant No. 1 in the form of engine generator sets
generating electric power from the wastewater treatment process by-products, such as
biologically produced methane gas.

The process of reducing a volume of solid refuse or waste materials through compacting,
pulverizing and/or shredding the materials and then feeding the material, combined with
another highly combustible fuel, through a closed combustion chamber. There are no
incinerator facilities at District's Reclamation Plant No. 1.
G. Infrastructure
Basic framework of streets, on-site traffic circulation system, water system and drainage
system allowing for the operation of a facility for the treatment of wastewater.

H. Wastewater
Both domestic wastewater and industrial wastewater, as defined in the Districts'
Wastewater Discharge Regulations Ordinances, Section 102(25), (36) and (93).
1. Treatment Facility
An arrangement of equipment, devices and structures for treating wastewater, industrial
wastes and their residuals. This term is sometimes used synonymously with waste
treatment plant, sewage treatment plant or wastewater treatment works.

AN AGREEMENT FOR A SPECIFIC PLAN OF SITE USE AND

AN APPLICATION THEREFORE

WHEREAS, the County Sanitation Districts of Orange County, California have
owned and operated since 1923 a regional wastewater treatment plant to provide
treatment and reuse or disposal of wastewater at its Reclamation Plant No. 1 in
the City of Fountain Valley; and,
WHEREAS, said Districts' operation of Reclamation Plant No. 1 is regulated
by the provisions of both federal and California law; and,
WHEREAS, said Districts have developed and adopted their collection
treatment and disposal facilities Master Plan dated February 1989, which said
Master Plan specifically includes all facilities at Reclamation Plant No. 1;
and,
WHEREAS, City has asserted a right and made demand upon Districts to
submit an application for zoning permit approval prior to commencement of
construction of any facilities at Plant No. 1; and,
WHEREAS, said Districts have advised City that it is exempt from the
requirement of compliance with local planning and zoning ordinances of the City;
and,
WHEREAS, a dispute has therefore arisen between City and Districts; and,
WHEREAS, the parties hereto have determined that it is in the best
Interest of each party to resolve this dispute regarding the legal rights and
responsibilities of each party without expensive litigation by setting forth the
agreement and understanding of the parties in a written agreement.
NOW, THEREFORE, the Boards of Directors of County Sanitation Districts
Nos. 1, 2, 3, 5, 6, 7, 119 13, and 14 of Orange County, California,
DO HEREBY RESOLVE, DETERMINE AND ORDER:
Section 1. That the certain Agreement dated August 12, 1992, for Specific
Plan of Site Use and Development Between City of Fountain Valley and County
Sanitation Districts Nos. 1, 29 3, 5, 69 7, 11, 13 and 14 of Orange County,
California, Regarding Sanitation Districts' Reclamation Plant No. 1, is hereby
approved.
Section 2. That the Chairman and Secretary of District No. 1, acting for
Itself and on behalf of Districts Nos. 2, 3, 5, 6, 7, 11, 13 and 14, are hereby
authorized and directed to execute said Agreement in form approved by the
General Counsel.
Section 3. That the General Manager, or his designee, is hereby
authorized to prepare the requisite application for the Specific Plan and submit
to the City of Fountain Valley in accordance with the terms of the above
referenced agreement, upon receipt of said agreement fully approved and executed
by the City of Fountain Valley and the Districts.

COMMITTEE CHAIR REPORT:
Chair Edgar reported on today's "Cease the Grease' event in the City of Stanton.
Chair Edgar also discussed the need to develop the District's legislative and public
outreach programs.
GENERAL MANAGER REPORT:
General Manager, Jim Herberg, reported that he is working on preparing the
General Manager's Work Plan; a final version will be forthcoming in the next few
weeks. Mr. Herberg also announced the plan to hold two Board workshops that
will focus on the new Strategic Plan. The Steering Committee agreed to move
forward with the two meetings, scheduled to be held on September 11 and
October 2, after the Administration and Operations Committee meetings.
Lorenzo Tyner, Director of Finance and Administrative Services, briefly reported
on "Low Flow Rate Alternative". Mr. Tyner provided information regarding end-user
fees and how discounts would impact the District rates in the future.
CONSENT CALENDAR:
1. MOVED, SECONDED, AND DULY CARRIED: Approve Minutes of the
June 26, 2013 Steering Committee Meeting.
2. MOVED, SECONDED, AND DULY CARRIED: Approve the placement of a
Memorial Plaque at Plant No. 2, Headworks "D" facilities, in recognition of
Pamela Koester for her contributions to the Orange County Sanitation
District.
ACTION ITEMS:
Mr. Herberg gave a brief overview of the nomination process for the Honor Walk
Brick Recipients. Board Member, Jim Ferryman, spoke on behalf of Mr. Collins'
nomination.

The Steering Committee held discussion regarding Item 4. Mr. Herberg and Mr.
Tyner addressed questions from the Committee and provided additional

A. Declare the Orange County Sanitation District's position on the
changes to the Orange County Retirement System (OCERS)
Unfunded Actuarial Accrued Liability (UAAL) Amortization Period;
and,
B. Provide direction to the General Manager on measures to be taken
in representing declared Board position.
MOVED, SECONDED, AND DULY CARRIED: Steering Committee
approved to recommend to the Board of Directors to declare that the
Orange County Sanitation District opposes any changes at this time.
Director Anderson abstained.

2. Legislative Update
Heather Stratman, Senior Director for Townsend Public Affairs, provided a
legislative update to the Committee. Ms. Stratman will be working with the
General Manager and staff on the District's legislative program.

Activated-sludge process — A secondary biological wastewater treatment process where bacteria
reproduce at a high rate with the introduction of excess air or oxygen, and consume dissolved
nutrients in the wastewater.
Biochemical Oxygen Demand (BOD)—The amount of oxygen used when organic matter undergoes
decomposition by microorganisms. Testing for BOD is done to assess the amount of organic matter in
water.
Biosolids — Biosolids are nutrient rich organic and highly treated solid materials produced by the
wastewater treatment process. This high-quality product can be recycled as a soil amendment on
farm land or further processed as an earth-like product for commercial and home gardens to improve
and maintain fertile soil and stimulate plant growth.
Capital Improvement Program (CIP) — Projects for repair, rehabilitation, and replacement of assets.
Also includes treatment improvements, additional capacity, and projects for the support facilities.
Coliform bacteria—A group of bacteria found in the intestines of humans and other animals, but also
occasionally found elsewhere used as indicators of sewage pollution. E. coli are the most common
bacteria in wastewater.
Collections system — In wastewater, it is the system of typically underground pipes that receive and
convey sanitary wastewater or storm water.
Certificate of Participation (COP) — A type of financing where an investor purchases a share of the
lease revenues of a program rather than the bond being secured by those revenues.
Contaminants of Potential Concern (CPC) — Pharmaceuticals, hormones, and other organic
wastewater contaminants.
Dilution to Threshold (DR) — the dilution at which the majority of the people detect the odor
becomes the D(f for that air sample.
Greenhouse gases — In the order of relative abundance water vapor, carbon dioxide, methane,
nitrous oxide, and ozone gases that are considered the cause of global warming ("greenhouse
effect').
Groundwater Replenishment (GWR) System — A joint water reclamation project that proactively
responds to Southern California's current and future water needs. This joint project between the
Orange County Water District and the Orange County Sanitation District provides 70 million gallons a
day of drinking quality water to replenish the local groundwater supply.
Levels of Service (LOS)—Goals to support environmental and public expectations for performance.
NOMA— N-Nitrosodimethylamine is an N-nitrosoamine suspected cancer-causing agent. It has been
found in the Groundwater Replenishment System process and is eliminated using hydrogen peroxide
with extra ultra-violet treatment.
National Biosolids Partnership (NBP) — An alliance of the National Association of Clean Water
Agencies (NACWA) and Water Environment Federation (WEF), with advisory support from the U.S.
Environmental Protection Agency (EPA). NBP is committed to developing and advancing
environmentally sound and sustainable biosolids management practices that go beyond regulatory
compliance and promote public participation in order to enhance the credibility of local agency
biosolids programs and improved communications that lead to public acceptance.
Plume—A visible or measurable concentration of discharge from a stationary source or fixed facility.
Publicly-owned Treatment Works (POTW)— Municipal wastewater treatment plant.
Santa Ana River Interceptor (SARI) Line — A regional brine line designed to convey 30 million
gallons per day (MGD) of non-reclaimable wastewater from the upper Santa Ana River basin to the
ocean for disposal, after treatment.
Sanitary sewer — Separate sewer systems specifically for the carrying of domestic and industrial
wastewater. Combined sewers carry both wastewater and urban run-off.
South Coast Air Quality Management District (SCAQMD) — Regional regulatory agency that
develops plans and regulations designed to achieve public health standards by reducing emissions
from business and industry.
Secondary treatment — Biological wastewater treatment, particularly the activated-sludge process,
where bacteria and other microorganisms consume dissolved nutrients in wastewater.
Sludge—Untreated solid material created by the treatment of wastewater.
Total suspended solids (TSS)—The amount of solids floating and in suspension in wastewater.
Trickling filter — A biological secondary treatment process in which bacteria and other
microorganisms, growing as slime on the surface of rocks or plastic media, consume nutrients in
wastewater as it trickles over them.
Urban runoff — Water from city streets and domestic properties that carry pollutants into the storm
drains, rivers, lakes, and oceans.
Wastewater—Any water that enters the sanitary sewer.
Watershed —A land area from which water drains to a particular water body. OCSD's service area is
in the Santa Ana River Watershed.
