REPORTS: The Chair and the General Manager may present verbal reports on miscellaneous matters
of general interest to the Directors. These reports are for information only and require no action by the
Directors.
CLAIMS:
DIRECTORS: Pursuant to Government Code Section 84308, you are required to disclose any campaign
contribution greater than $250 received in the past twelve months from any party seeking a contract with
OCSD. This requires that you identify the contributor by name. Further, you may not participate in the
decision making process to award a contract to such party. For reference, you are directed to the
Register of Warrants as to all current contractors vendors with OCSD. For the specifics of Government
Code Section 84308, please see your Director's Handbook or call the office of General Counsel.
2. Ratify payment of claims of the District, by roll call vote, as follows:

Totals $9,525,558.70 $7,131,861.58
CONSENT CALENDAR: Consent Calendar Items are considered to be routine and will be enacted,
by the Board of Directors, after one motion, without discussion. Any items withdrawn from the Consent
Calendar for separate discussion will be considered in the regular order of business.
3. Approve minutes for the Regular Board Meeting held on December 18, 2013.
4. Adopt Resolution No. OCSD 14-01 a resolution Establishing the Policies and
Procedures for the Approval of Plans, Design, and Specifications for Public
Works Projects.
5. A. Approve Steve Filarsky, Filarsky & Watt LLP, to provide labor relations
consulting services and to be the chief negotiator on behalf of OCSD for
the upcoming OCEA and Local 501 MOU negotiations; and
B. Authorize the General Manager to negotiate and enter into a consulting
services agreement with Filarsky & Watt LLP for labor relations consulting
services for a term of six months, at an hourly rate of $290 per hour, at a
maximum cost of$29,000, in a form approved by General Counsel.

6. Approve minutes for the Steering Committee Meeting held on December 18,
2013.

7. Receive and file the minutes of the January 13, 2014 meeting of the Legislative
and Public Affairs Special Committee.

CLOSED SESSION:
During the course of conducting the business set forth on this agenda as a regular meeting of the
Board, the Chair may convene the Board in closed session to consider matters of pending real estate
negotiations, pending or potential litigation, or personnel matters, pursuant to Government Code
Sections 54956.8, 54956.9, 54957 or 54957.6, as noted.
Reports relating to (a) purchase and sale of real property; (b) matters of pending or potential litigation;
(c) employment actions or negotiations with employee representatives;or which are exempt from public
disclosure under the California Public Records Act, may be reviewed by the Board during a permitted
closed session and are not available for public inspection. At such time as the Board takes final action
on any of these subjects, the minutes will reflect all required disclosures of information.

any party to a contract involving the Orange County Sanitation District. Further, you

A regular meeting of the Board of Directors of the Orange County Sanitation District was
held on December 18, 2013, at 6:38 p.m., in the Administration Building. Board Chair
Edgar delivered the invocation and Director Withers led the Pledge of Allegiance.

PUBLIC COMMENTS:

REPORTS:
Ed Torres, Director of Operations and Maintenance, presented a service award to
Emilio Ariston, Lead Mechanic, for his 25 Years of Service with OCSD.
Chair Edgar welcomed Director Gene Hernandez from the City of Yorba Linda. Director
Hernandez will now be the active director as former Vice-Chair of the Board, John
Anderson, resigned at the last Board meeting. Director Hernandez will be serving on
the Administration Committee as well.
Mr. Herberg announced the Sanitation District's 2014 Calendar to commemorate the
District's 60t" Year Anniversary. The calendar will be distributed at tonight's Board
Meeting along with a Fog Residential Outreach Program Kit. The Kit is designed to
encourage residents to properly dispose of greases and oils, instead of pouring them
down the drain.
Mr. Herberg reported he and Nick Kanetis have met with SAWPA administration and
continue to focus on communication between the two organizations. Future meetings
on policy, remedial plan, etc. are pending come January 2014.
Lastly, he announced the Administration Offices will be closed next week on December
24th and 25th to observe the holidays.
ELECTION:
1. Consider nominations and conduct an election for the position of Vice Chair of
the Board of Directors in accordance with Resolution No. OCSD-10-06.
Brad Hogin facilitated the election for the new Vice-Chair of the Board of
Directors. A nomination was received by Director Nielsen. He nominated
Director Beamish for Vice-Chair, Director Seboum seconded the motion. No
other nominations were received.
The Vice-Chair election went as follows:

to Service Contract/Purchase Order #104901-OB with Pure Air Filtration,
LLC for Plant 2 Trickling Filters Carbon Change Out [replacement],
Specification No. S-2013-580 for an additional $474,800 for the purchase
of up to (4) four additional replacements (including carbon media,

GENERAL MANAGER'S RECOMMENDATION
Adopt Resolution No. OCSD 14-01 a resolution Establishing the Policies and
Procedures for the Approval of Plans, Design, and Specifications for Public Works
Projects.
SUMMARY
Under state law, public agencies are under certain circumstances immune from liability
based on a claim that a public project's design caused an accident (Government Code
section 830.6.). This type of immunity is commonly referred to as "design immunity."
Design immunity covers claims for personal injury, property damage, and other types of
damages (Ibid).
In order to establish design immunity, a public agency must show three things: (1) the
accident in question was caused by the project's plan or design (rather than, for
example, negligent construction); (2)the agency approved the plan or design in an
exercise of discretion; and (3) the agency's approval was based on substantial evidence
showing that the plan or design is reasonable. (Cornette v. Department of Transp.
(2001)26 CalAth 63, 69.)
Under current practice, the Orange County Sanitation District's (Sanitation District)
Board of Directors approves the plans, design, and specifications for a construction
project at the time it awards the construction contract. The proposed resolution would
delegate authority to approve plans, design, and specifications to the Director of
Engineering. This delegation would allow the Sanitation District to establish design
immunity for projects that are not approved by the Board, such as projects approved by
a Standing Committee or the General Manager.

Government Code Section 4004, requires the Sanitation District's Engineer to prepare
plans and specifications for projects prior to the commencement of the work, and states
as follows:
"Prior to the commencement of the public work, the engineer shall
prepare and file in his office either full, complete and accurate plans
and specifications or a work authorization approved by the engineer
describing the work to be performed, and an estimate of the cost
thereof, except where other and adequate provision is made by law
requiring the preparation and filing of such plans, specifications and
estimates of cost by some other officer or in some other office:'

Adoption of the Resolution is not a "project" subject to CEQA because it constitutes
general policy and procedure making that will not result in any physical impact on the

RESOLUTION NO. OCSD 14-01
A RESOLUTION OF THE BOARD OF DIRECTORS OF THE
ORANGE COUNTY SANITATION DISTRICT ESTABLISHING THE
POLICIES AND PROCEDURES FOR THE APPROVAL OF PLANS,
DESIGN, AND SPECIFICATIONS FOR PUBLIC WORKS PROJECTS.
WHEREAS, the Orange County Sanitation District ("Sanitation District') is a duly
organized County Sanitation District existing pursuant to the County Sanitation District
Act, California Health and Safety Code section 4700, at seq., providing for the
ownership, operation, and maintenance of wastewater collection, treatment, and
disposal facilities within Orange County, California; and
WHEREAS, the Board of Directors wishes to delegate the authority to approve
plans, design, and specifications for public works projects to the Director of Engineering
in the interest of efficient administration.
NOW, THEREFORE, the Board of Directors of the Orange County Sanitation
District DOES HEREBY RESOLVE, DETERMINE AND ORDER:
Section 1: Delegation. The Board of Directors delegates to the Director of
Engineering, as a Professional Registered Engineer, the authority to approve the plans,
design, and specifications for construction of new or modified Sanitation District
facilities, and the repair of existing facilities.
Section 2: Repeal. In the event of any conflict or inconsistency between the
provisions of this Resolution and any provisions of any prior resolutions, policies, rules
and guidelines, the provisions of this Resolution shall in all respects govern and control.
Section 3: Effective Date. This Resolution shall take effect immediately upon
its adoption.

GENERAL MANAGER'S RECOMMENDATION
A. Approve Steve Filarsky, Filarsky & Watt LLP, to provide labor relations consulting
services and to be the chief negotiator on behalf of OCSD for the upcoming
OCEA and Local 501 MOU negotiations; and
B. Authorize the General Manager to negotiate and enter into a consulting services
agreement with Filarsky & Watt LLP for labor relations consulting services for a
term of six months, at an hourly rate of $290 per hour, at a maximum cost of
$29,000, in a form approved by General Counsel.
SUMMARY
The labor agreements (MOUs) between OCSD and the employees in the Orange
County Employees Association (OCEA) and International Union of Operating Engineers
- Local 501 (Local 501) bargaining units expire on June 30, 2014. Negotiations for
renewal of these MOUs are anticipated to begin in February 2014.
The OCSD Board of Directors has expressed a desire to utilize labor relations
consulting services to perform chief negotiator duties during the upcoming OCEA and
Local 501 negotiations.
In November 2013, the Steering Committee authorized staff to provide the
Administration Committee with labor consulting services firms for consideration. In
December 2013, the Administration Committee voted to establish an ad hoc
subcommittee for the purpose of selecting the labor relations consulting service firm
from the list of firms provided by staff. The ad hoc subcommittee was formed, and
included Brad Reese (Chairman of the Administration Committee), Tyler Diep (Midway
City Sanitary District), and Peter Kim (City of La Palma).

On January 8, 2014, the ad hoc committee met and interviewed representatives from
four local labor relations consulting law firms:

• Rutan & Tucker- Bill Shaeffer
• Filarsky & Watt- Steve Filarsky
• Atkinson, Andelson, Loya, Ruud & Romo - Jay Trinnaman and John Rajcic
Upon the conclusion of the presentations and interviews, the ad hoc subcommittee
discussed and considered each of the candidates based on their knowledge, skills,
abilities, style, and negotiating philosophy. Ultimately, the ad hoc subcommittee
determined Steve Filarsky of Filarsky & Watt to be the best suited to OCSD's needs,
based on Mr. Filarsky's style and experience.
If approved by the Board, OCSD will enter into an agreement with Mr. Filarsky for his
services for a six (6) month term, at a rate of $290 per hour, with work hours scheduled
by staff as needed based on the negotiation schedule.
Strategy and general direction regarding negotiation goals has yet to be determined by
the OCSD Board of Directors and is not scheduled to be discussed as part of this
agenda item. Confidential discussion and direction for OCEA and Local 501
negotiations is anticipated to occur during closed session at the February 2014 Board
meeting.

Mr. Filarsky has the unique distinction of prevailing, unanimously, in both the California
State Supreme Court (Filarsky v. Superior Court (2002) 28 Cal.0 419, 49 P.3d 194, 121
Cal.Rptr.2d 844) and the United States Supreme Court (Filarsky v. Delia (2012) 132 S.Ct.
1657).
TRAINING:
Mr. Filarsky has conducted workshops for employee discipline, performance evaluation,
grievance handling, and negotiations for the League of California Cities, California Public
Employer Labor Relations Association, California Joint Powers Insurance Authority and
many individual clients.
MR. FILARSKY'S BACKGROUND:
Mr. Filarsky received his Bachelor of Arts degree in Political Science/Public
Administration, graduating Magna Cum Lauds, from Loyola University of Los Angeles. He
received his Juris Doctor degree from Loyola University School of Law, graduating with
honors, in December 1979. Mr. Filarsky was admitted to the California State Bar in May
1980.
Before becoming an attorney, Mr. Filarsky was responsible for the labor relations program
of the City of Garden Grove for three and one-half years. Prior to that, he was employed by
the City of Manhattan Beach.

GENERAL MANAGER REPORT:
Mr. Herberg announced the Sanitation District's 2014 Calendar to commemorate
the District's 60' Year Anniversary. The calendar will be distributed at tonight's
Board Meeting along with a Fog Residential Outreach Program Kit. The Kit is
designed to encourage residents to properly dispose of greases and oils, instead
of pouring them down the drain.
Mr. Herberg also announced that he and Nick Kanetis have met with SAWPA
administration and continue to focus on communication between the two
organizations. Future meetings on policy, remedial plan, etc. are pending come
January 2014.

REPORTS:
Washington D.C. Trip Report
General Manager, Jim Herberg, reported on the recent trip to Washington D.C. He
and the Chair held several congressional meetings that focused on the following
points: opportunities available to expand recycling beyond water replenishment
system; SARI Line; and power regeneration at OCSD.
Eric Sapirstein, ENS Resources, provided additional input on the meetings that
were held. A written report by Mr. Sapirstein summarizing the Washington DC Trip
was distributed to the Committee.
Chair Edgar reported that the meetings allowed them to present new ideas for the
Sanitation District; and, that they look forward to returning to Washington D.C. with
comprehensive plans on these ideas.
OCSD 60rh Anniversary California Legislative Floor Recognition, Sacramento
Heather Stratman, Townsend Public Affairs, gave a brief update on the reception
that would be held upon the District's bill passing. It would be a very brief
reception to be held in Sacramento some time during the month of March — with a
date and time to be determined in the near future. It was determined by the
Committee that Chair Edgar, Vice-Chair Beamish, and Director Nielsen would
attend the event in Sacramento.
Mr. Herberg also announced the OCSD VIP Breakfast that was being planned as
part of the Sanitation District's 601h Anniversary events. Faviola Miranda, Sr.
Public Affairs Specialist, gave pertinent information about the event. It was
determined that some of the invitations would be extended to past board members
and past general managers. Also discussed was the distribution of OCSD flash
drives or DVD with information about the District's 60 years of service.
Chair Edgar also reported on the following: communications between staff and the
lobbyists; more outreach and public information on the District's efforts to move
towards 100% water reclamation; discussing staff-lobbyists goals and objectives
beyond June; and, that tomorrow a meeting on SAWPA's remedial plan would take
place.

would be presented by February 24; and, she announced that the County's

that she will continue to provide periodic updates to the General Manager.
3. Federal Legislative Affairs
Mr. Sapirstein reported on the following from Federal Legislative Affairs: a
final budget for 2014 should be released by Friday; update on Build
America bonds; and, recommended that the Committee consider returning
to Washington DC in February as a follow up to the recent meetings.

Director Withers asked about the feasibility of an enhanced legislative report to be
included in the General Manager's Monthly Update.

SUMMARY
The Orange County Sanitation District (OCSD) is proud to announce that our Biosolids
Management Program has earned re-certification by the National Biosolids Partnership
(NBP). The NBP is operated by the Water Environment Federation, in collaboration with
the National Association of Clean Water Agencies and local and regional biosolids
management organizations across the U.S. and Canada with support from the U.S.
Environmental Protection Agency. OCSD was the first agency in the nation to be
certified and is now celebrating 10-years of this respected certification program. OCSD
is one of 26 platinum certified agencies that collectively are responsible for managing
about 10% of the nation's biosolids.
The NBP re-certification comes as a result of OCSD's commitment to continual
improvement and managing our biosolids in the most effective and sustainable
approaches that go beyond regulatory requirements. By maintaining our certification,
OCSD's Board can be confident that we are increasing our biosolids program's
sustainability through positive outcomes in environmental performance, regulatory
compliance, relationships with interested parties, and quality management practices.

ADDITIONAL INFORMATION
In the late 1990s, OCSD and wastewater treatment agencies across the nation saw a
growing regulatory trend of many counties banning the use of biosolids as a soil
amendment to fertilize farmlands. In response, these biosolids leaders looked at the
underlying causes of these bans and were determined to find a better way of doing
business— one that goes above and beyond the basic regulatory requirements, strives

for best management practices, and ensures the sustainability of beneficial use of
biosolids. These efforts led to the establishment of the NBP and its rigorous biosolids
management certification program.
This certification represents our agency's commitment to maintain a sustainable,
fiscally-responsible, and publicly-supported biosolids program that ensures the best use
of biosolids, while protecting public health and the environment.
The certification has systematically improved our biosolids management program by
establishing a systematic process to ensure continued program improvements.
According to our third party auditor, we now have one of the best contractor oversight
programs in the country, utilizing strict oversight requirements to ensure that our
contractors are compliant with all contractual and regulatory obligations, responsive to
the public and interested parties, and are using the best management practices possible
to ensure the long-term, low-cost beneficial use of biosolids.
As we approach the near future, OCSD's certified biosolids management program is
prepared for the planned termination of the Irvine Ranch Water District's solids line and
the operations of the planned centrifuges by 2017 that are projected to reduce our daily
biosolids production by one-third. OCSD will continue to maintain its biosolids
management system as an operational standard and will continue to make
improvements to the program to meet the challenges of today and tomorrow.

County Sanitation District on ten years of certification of its biosolids environmental
management system.
As part of its environmental management system, OCSD has set a number of examples of
useful management practices and of public transparency. These include the sharing of
monitoring data and biosolids reports in a timely manner and easily accessible format on its
website and through list serves, a practice we hope to see adopted by sanitation agencies
throughout Region 9. Management practices also include rapid notification to EPA of spills or
other operational problems and how these are being handled even when not required to do so
from a regulatory standpoint,regular inspections of biosolids contractors, and maintaining a
diversified set of use and disposal options.
We hope that OCSD's biosolids management system will provide guidance for many
other sanitation agencies and municipalities as they develop their biosolids environmental
management systems.

Activated-sludge process — A secondary biological wastewater treatment process where bacteria
reproduce at a high rate with the introduction of excess air or oxygen, and consume dissolved
nutrients in the wastewater.
Biochemical Oxygen Demand (BOD)—The amount of oxygen used when organic matter undergoes
decomposition by microorganisms. Testing for BOD is done to assess the amount of organic matter in
water.
Biosolids — Biosolids are nutrient rich organic and highly treated solid materials produced by the
wastewater treatment process. This high-quality product can be recycled as a soil amendment on
farm land or further processed as an earth-like product for commercial and home gardens to improve
and maintain fertile soil and stimulate plant growth.
Capital Improvement Program (CIP) — Projects for repair, rehabilitation, and replacement of assets.
Also includes treatment improvements, additional capacity, and projects for the support facilities.
Coliform bacteria—A group of bacteria found in the intestines of humans and other animals, but also
occasionally found elsewhere used as indicators of sewage pollution. E. coli are the most common
bacteria in wastewater.
Collections system — In wastewater, it is the system of typically underground pipes that receive and
convey sanitary wastewater or storm water.
Certificate of Participation (COP) — A type of financing where an investor purchases a share of the
lease revenues of a program rather than the bond being secured by those revenues.
Contaminants of Potential Concern (CPC) — Pharmaceuticals, hormones, and other organic
wastewater contaminants.
Dilution to Threshold (DR) — the dilution at which the majority of the people detect the odor
becomes the D(f for that air sample.
Greenhouse gases — In the order of relative abundance water vapor, carbon dioxide, methane,
nitrous oxide, and ozone gases that are considered the cause of global warming ("greenhouse
effect').
Groundwater Replenishment (GWR) System — A joint water reclamation project that proactively
responds to Southern California's current and future water needs. This joint project between the
Orange County Water District and the Orange County Sanitation District provides 70 million gallons a
day of drinking quality water to replenish the local groundwater supply.
Levels of Service (LOS)—Goals to support environmental and public expectations for performance.
NOMA— N-Nitrosodimethylamine is an N-nitrosoamine suspected cancer-causing agent. It has been
found in the Groundwater Replenishment System process and is eliminated using hydrogen peroxide
with extra ultra-violet treatment.
National Biosolids Partnership (NBP) — An alliance of the National Association of Clean Water
Agencies (NACWA) and Water Environment Federation (WEF), with advisory support from the U.S.
Environmental Protection Agency (EPA). NBP is committed to developing and advancing
environmentally sound and sustainable biosolids management practices that go beyond regulatory
compliance and promote public participation in order to enhance the credibility of local agency
biosolids programs and improved communications that lead to public acceptance.
Plume—A visible or measurable concentration of discharge from a stationary source or fixed facility.
Publicly-owned Treatment Works (POTW)— Municipal wastewater treatment plant.
Santa Ana River Interceptor (SARI) Line — A regional brine line designed to convey 30 million

Sanitary sewer — Separate sewer systems specifically for the carrying of domestic and industrial
wastewater. Combined sewers carry both wastewater and urban run-off.
South Coast Air Quality Management District (SCAQMD) — Regional regulatory agency that
develops plans and regulations designed to achieve public health standards by reducing emissions
from business and industry.
Secondary treatment — Biological wastewater treatment, particularly the activated-sludge process,
where bacteria and other microorganisms consume dissolved nutrients in wastewater.
Sludge—Untreated solid material created by the treatment of wastewater.
Total suspended solids (TSS)—The amount of solids floating and in suspension in wastewater.
Trickling filter — A biological secondary treatment process in which bacteria and other
microorganisms, growing as slime on the surface of rocks or plastic media, consume nutrients in
wastewater as it trickles over them.
Urban runoff — Water from city streets and domestic properties that carry pollutants into the storm
drains, rivers, lakes, and oceans.
Wastewater—Any water that enters the sanitary sewer.
Watershed —A land area from which water drains to a particular water body. OCSD's service area is
in the Santa Ana River Watershed.
