Committee held March 27, 2019.

RECOMMENDATION: Recommend to the Board of Directors to:
A. Adopt Resolution No. OCSD 19-XX entitled, "A Resolution of the Board of
Directors of Orange Sanitation District Amending the Proposition 84 Integrated

Regional Water Management Program 2015 Implementation Grant Funding
Contract for Newhope-Placentia Trunk Sewer Replacement Project 2-72, and
Repealing Resolution No. OCSD 16-20"; and

Sanitation District and the Santa Ana Watershed Project Authority (SAWPA)
to allow the Newhope-Placentia Trunk Replacement, Project No. 2-72, to
receive Proposition 84 related grant funds up to $1,000,000.

4. STRATEGIC PLAN DEVELOPMENT PROCESS AND TIMELINE

Staff will provide an overview of the process and development of the upcoming
Strategic Plan, which will look beyond the next five years and focus on broad policy
statements with focused policy goals associated with each policy statement.

A regular meeting of the Steering Committee of the Orange County Sanitation
District was called to order by Board Chairman David Shawver on Wednesday,
March 27, 2019 at 5:01 p.m. in the Administration Building of the Orange County
Sanitation District.

REPORTS:
Chair Shawver announced that Director Donald Wagner was sworn in today as
Orange County Supervisor and would therefore no longer be able to serve as the
appointed member from the city of Irvine.
Chair Shawver announced the following Committee appointments:

Chair Shawver stated that he intends to keep the Board apprised of OCSD's public
outreach and legislative efforts by providing this information in various ways beginning
with the inclusion of the Legislative and Public Affairs Committee monthly reports as
a receive and file item included in the Board meeting packets. He also stated that
proposed positions on newly introduced bills will be introduced and discussed at the
upcoming Legislative and Public Affairs Committee.
Chair Shawver also stated that he has requested staff incorporate information and
major decision points regarding OCSD's future building in the General Manager's
monthly report.
Chair Shawver reminded the Board Members that April 1 is the last day to file an
Annual Statement of Economic Interests - Form 700.
General Manager Jim Herberg notified the Directors of a recent CAL OSHA Process
Safety Management inspection and subsequent minor violations which were
remedied the same day.

SUBJECT: SELECTION OF 2019 HONOR WALK RECIPIENTS
GENERAL MANAGER'S RECOMMENDATION
Approve nominated former employees Chris Cervellone and Ingrid Hellebrand as Honor
Walk brick recipients for the year 2019.
BACKGROUND
The Steering Committee is being asked to consider and act on the nominations for the
2019 Honor Walk.
RELEVANT STANDARDS
• Maintain positive employer-employee relations
PROBLEM
If the nominees are not approved, the Honor Walk process cannot move forward.
PROPOSED SOLUTION
Approve the nominations for the selected employees.
TIMING CONCERNS
All nominees must be approved in orderto move forward with the Honor Walk celebration,
which is taking place on May 22, 2019 at 4 p.m.
RAMIFICATIONS OF NOT TAKING ACTION
The Honor Walk will not take place.
PRIOR COMMITTEE/BOARD ACTIONS
June 2008 - Board adopted Resolution No. OCSD 08-08 establishing a policy for naming
facilities and placing of monuments and other memorials.

ADDITIONAL INFORMATION
In 2008, the Board adopted a resolution that provided a framework for recognizing past
Board Members and retired staff for their outstanding contributions. One of the results of
this resolution and the discussions that followed was the creation of the Honor Walk in
front of the Administration Building at Plant No. 1 in 2009 with the first honoree recognized
in 2010.
Honorees can be past Board Members or retired staff who made significant contributions
to the Orange County Sanitation District (Sanitation District) and the people it serves.
The policy and procedures developed by the Steering Committee stipulate that the
General Manager makes recommendations to the Steering Committee for retired staff
nominees and the Steering Committee will deliberate and decide on past Board Members.
The criteria adopted by the Board of Directors for selecting an Honor Walk recipients:
• Have a long-standing affiliation with the Sanitation District.
• Enhanced the quality of operations and/or leadership directly contributing to the
well-being of the Sanitation District and people served by the agency.
RETIRED STAFF NOMINEES
Four employees were nominated for the Honor Walk this year. An employee committee
representing different divisions and various years of service reviewed the four candidates.
Based on the review of the nominees, the employee committee recommended two out of
the four employees to the Executive Management Team (EMT). Based on each
employee's significant, unique, and outstanding contributions to the Sanitation District,
the EMT unanimously accepted the following two recommendations.
The Employee Nominees are: Chris Cervellone 1984-2017 (33 years)
Ingrid Hellebrand 1990-2016 (26 years)
Copies of the nomination forms for these two employee nominees are included.
The Honor Walk ceremony will be held on May 22, 2019 at 4:00 p.m.

Chris Cervellone was completely devoted to the District, its mission and in performing an
exemplary job every day for over 32 years. His drive and energy were boundless as was his
initiative and positive attitude. As an Engineering Supervisor in Construction Management he
fearlessly took on solving the toughest problems to keep the construction moving and get the
projects finished. He pushed his staff and pushed the contractors to be accountable and he
stood up for what was right. Even though he was tough, everyone that engaged with Chris
was eventually won over by his sense of humor, his passion and his spirit. Many of his
toughest challengers became his biggest supporters over his career because they knew Chris
was honorable.
Chris was at his best however, when the District was at its worst. When emergencies arose,
when sewage was in the streets and you needed a superhero—you called Chris. Chris always
quickly showed up to take charge and did whatever was needed to get it done. He would be
the beacon everyone would follow to solve the problem. No matter what the issue, no matter
what the hour, Chris was on the job taking care of the problem. Chris' passion for deep sea
diving carried over into his effectiveness in emergencies. His diving expertise allowed him to
be effective at getting into the confined spaces in the plant and in the pipelines to see the
problems first-hand. He would go into the facilities to find out what is wrong and recommend
solutions. His firsthand experience gave credibility to his solutions and everyone involved with
the situation,from the General Manger all the way down to an installation subcontractor
trusted Chris' opinion.
Chris also has a passion for engineering and always played the role of the engineer's
engineer. When a vendor or a consultant recommends a product or construction method that
may be unfamiliar, Chris' response would be "show me". He's been involved with countless
experiments installing a product and then testing them to see if it works. He's glued bricks
together, applied sealants and coatings to fake walls, sealed many cracks and even installed
concrete piles in a middle of a field and dug them up to verify their integrity. At each step Chris
is there reviewing the results before he gives it his stamp of approval. He did a multi-year
experiment on various types of handrail to test the corrosion resistance by hanging them near
the secondary clarifiers at Plant 2. He became the de-facto concrete and coatings expert, but
not from something learned in a book, from real world applications and experience. Chris
always had the passion and the energy to drive these tests to conclusion and it led to some
innovative products and designs we still use today.
Chris' biggest legacy however will probably be in the people he mentored along the way.
Many of the current leadership of the Engineering Dept, were at once students of the Chris
Cervellone School of Construction Management and it was an intensive class. He would
spend countless hours following you like a shadow and bleeding red ink over everything you
wrote. But after a while he backed off and assisted from the sidelines and eventually, he'd
move on the next challenge. Initially you thought you were just being moromanaged, but in
the long run you were grateful that someone cared enough to spend that amount of time to
share what they know. it's that generosity that stays with you as a lasting impression of Chris.
Even in retirement, Chris is still leading tours regularly for the agency and volunteering his time
to educate others.
Talk to Chris for any length of time and you will hear lots of stories. The reason he has so
many stories are that he put himself out there volunteering to fix difficult problems time after
time
and year after year. Whether it's a facility emergency or a difficult contractor claim, Chris is
your man because he gets it done.There is probably no one that has saved the Districts more
money, solved more problems, or helped more people than Chris Cervellone and there is no
one more deserving of our honor.

Chris Cervellone spent most of his working career at OCSD to support our ongoing CIP program. He
came to work each day with the same energy Monday through Friday, no matter how critical the
situation was, he always worked hard to bring everyone together. His ability to communicate with the
public,management,our consultants and OCSD stake holders continues even after he retired.Chris
continues to support OCSD by volunteering to lead public site walks and assist with future project design
reviews. His integrity and honesty continue even after he retired, due to the lasting impression he left
on the hundreds of staff he worked with over the last 36 years.Chris always understood what was
happening in the field, not to micro manage but to support his staff during the sometimes-difficult
situations that happens with construction. I remember all the times, he would enter 12T short outfali
pipe during the 24/7 shutdown,decisions had to be made on the spot(no problem).
Chris has always had OCSD's best interest,when making decisions and mentoring his peers and staff
over the last 36 years. Last week I sat next to him during a design review for a future project two(6)
hour days, happy to assist always with a smile.
I remember calling Chris,during a difficult situation that needed an answer quickly. He stated, he was
sitting in the dentist chair and still answered his phone,gave a quick fix over the phone and continued
kith his appointment.
OCSD Leadership Traits: Communication, Integrity,Honesty, Interpersonal skills, conflict management,
team leadership,teaching/mentoring, decision making, planning, prioritizing an issue, problem solving,
goals,vision and objectives. Chris enjoyed working under pressure during stressful situations to bring
everyone together to make a sound and competent decision.
Thank you for considering Chris Cervellone as an'Honor Walk Nominee"to prove to everyone around
him, his hard work and dedication will never go unnoticed.Chris has proven that you can retire from
OCSD and still support our ongoing mission to make the environment a better place.

I met Chris Cervellone back in 2003 when I worked as an Assistant Resident Engineer on the 1-2-4
Bushard Trunk Line Project.After several years of having Chris as my indirect Supervisor, I joined OCSD
back in 2009 where Chris became officially my Supervisor at OCSD. Making the transition to OCSD was
something that I didn't have to think twice,and in part it was due to Chris.
Chris Cervellone has always been a problem solver and he still enjoys mentoring Staff. Even after being
retired from OCSD for about 2 years, he is always available to answer any questions, provide technical
construction advice,or even come to a construction site or meeting and help MD.
One of the biggest contributions from Chris to OCSD is sharing his passion for Construction,take
ownership and lead the construction project as the Resident Engineer. Chris was a person, that also
loved Emergencies and believe he misses that part now that he is enjoying retirement. It appeared that
he was eager and waiting for an emergency to occur at any time, he will jump on it, dedicate long hours
with minimal or no sleep until the emergency was resolved.
Chris also loved participating in heated negotiations with Contractors, he will prepare prior to the
negotiation, perform a full research of the issue,prepare a plan and engage the Contractor In a
professional manner to successfully reach an agreement. He cared about doing what was right,being
fair and protect the taxpayer's interest.
Chris was also a great mentor. He will have the patience to provide advice for any specific situation,and
provide suggestions as the same time that will lead by example when needed.

constructed under Ellis Avenue that started right outside the Admin Building.

policy was very refreshing and appreciated. Anytime you needed to get

• Chris was the best at giving tours of our facilities. He'd had a hand in
almost all of our current facilities. There wasn't any thing that he could
get stumped on when doing these tours. He was always able to not only
make the tours educational, he also made them enjoyable by regaling
you with anecdotal stories of their creation and/or rehabilitation.
• Exceptional at his job
• Being with the District for over 36 years,you tend to become a mentor
without thinking about it. The knowledge he acquired throughout his
time he was always willing to pass along to those that wanted to know.
He always promoted the satisfaction of continuously growing not only in
your capacity as an individual but also in that of your career.
• How the nominee has made an exceptional contribution to OCSD or people served by
OCSD.
• Chris was always the go to go for any delegate/high profile tours. Besides the
knowledge he acquired in his time here, he was also known as the go to guy for
answers. He was routinely requested to chime in on the various projects that
were to be created or rehabilitated. His knowledge and expertise were
appreciated from all (and frequently called upon by most).
This is the kind of boss you don't find everyday. Even though I only got to work for him for a
few short years,the lessons imparted,the kindness given, and the morale that was promoted
by this man will never be lost on me. I'm sure,there are others that feel the same way.
I was lucky enough to be hired by Chris over 13 years ago. During my time working for him, he
always made our group feel like a second family. One special thing to note is that every year,
on my hiring anniversary, he would always send me a note congratulating me or wishing me
well. Always with an encouraging word or phrase about my person or my work.
He is the example of great leadership.

Specialist in the General Manager's Office,Public Affairs Division from June 1990 through May 2011, and as
Senior Staff Analyst in the Facilities Support Services Department from May 2011 until retiring in February
2016 after 25 years of service.
Ingrid worked artistically and conscientiously designing public education collateral materials,and tenaciously
spearheadingldWeloping and managing OCSD's community education and outreach programs including the
general tour,specialty AP class science lab tour and wastewater Sewer Science curriculum, producing the
wastewater 101 video,creating graphics and POP for Award-winning Fats,Oil and Grease(FOG)and What to
Flush outreach programs, and outreach for the Groundwater Replenishment System Program,
Not only would she find public outreach events for OCSD to support,she would design and make materials for
the booth,coach staff on messaging and,she would get out there and talk to coworkers and make
relationships,get the management support and volunteers needed to staff the booth and recruit tourguides—
a not easy,very time consuming job. She worked on internal communication efforts too, like the employee
newsletter,and started the lunchtime Chatrooms,getting employees to talk about programs their divisions
were working on to inform others.She also recognized staff and thanked them every year at a VIP luncheon
that she coordinated and hosted. All the while enhancing her own skills as a public speaker through
Toastmaster so that she could also give tours,staff and speak at outreach events,and teach OCSD curriculum.
Ingrid received the 2001 SARBS Public Education Award, 2011 Ambassador Award,and m 2012 received the
OCSD"Volunteer Hall of Fame"Award for her many years of service and dedication to the Orange County
Sanitation Districts outreach and education programs.
Even while working in a different capacity as an analyst for the FSS Department, Ingrid made that group and
OCSD shine by securing funding for fleet services training through the State of California's Alternative and
Renewable Fuel and Vehicle Technology Program Grant,and successfully applied for Government Fleet awards
for OCSD's Fleet Services for 2012-2014.
Ingrid Hellebrand has characterized her representation of the Orange County Sanitation District, Its staff,
member agencies and service area community with a generous commitment of her time, professional dignity,
pride,enthusiasm,and genuine caring spirit.
She had the unique position to work directly with staff in all divisions,executive management, Board
members, OCSD consultants and vendors,and the general public. When she retired, Ingrid thanked the many
people she learned so much from. "Operators,source control inspectors,scientists, biologists,engineers,
collections, rebuild and fleet shop crew and so many more.Through their work,they also got people to think
before they flush,"she said.
Thank you for considering Ingrid as an Honor Walk Nominee as a token of gratitude and appreciation for her
outstanding support to OCSD and public service to the citizens of Orange County, and her meritorious efforts

Ingrid was a rare bread,always willing and more than able to 'put it all on the line' to accomplish her
goal, one of which was including all divisions in updates on the outreach (and internal)communication
and programs as well as educating other divisions on what other groups are accomplishing in ourrourit
effort
Ingrid was 'all in' on communicating our(Operations) contribution to the CICSD Mission,the water
environment and the overall health and well being of Orange County residents,
Operations staff recognized Ingrid's dedication and commitmeritto educate both internally and the
general public on what we do,why we do it and in many cases how we do it
Ingrid made certain that no division was left out of the loop, bringing the spotlight to all groups and
helping them feel "included' in the bigger picture that made up OCSD's various initiatives. There was
always so much going on it was easy to feel left out, about then, Ingrid would show up and "shine a
light' on what was happening District wide.
Another great trait Ingrid displayed was her ability to convince many of our folks to volunteer for various
internal and external functions,some of which seemed highly unlikely to ever get involved in outreach
efforts but somehow Ingrid would convince them to try it

Repealing Resolution No. OCSD 16-20"; and
B. Approve Amendment No. 1 to the Contract between the Orange County Sanitation
District and the Santa Ana Watershed Project Authority (SAWPA) to allow the
Newhope-Placentia Trunk Replacement, Project No. 2-72, to receive Proposition
84 related grant funds up to $1,000,000.
BACKGROUND
Contract No. 2-72A, Newhope-Placentia Trunk Sewer Replacement, Segment A,
includes the Newhope-Placentia Trunk in Yorba Linda Boulevard from Campus Drive to
State College Boulevard, and on State College Boulevard from Yorba Linda Boulevard,
to just south of the 91 Freeway. This portion of the project is currently under construction
within the City of Fullerton (City). The second portion, Contract No. 2-72B, continues
south to Orangewood Avenue at Anaheim Stadium and is currently in the preliminary
design phase. The additional capacity provided by the project will allow flows currently
going to Plant No. 2 to be diverted to Plant No. 1 for reclamation.
Through the 2015 Proposition 84 Integrated Regional Water Management
Implementation Grant, the State of California will provide funding from the Safe Drinking
Water, Water Quality and Supply, Flood Control, River and Coastal Protection Bond Act
of 2006 to assist in financing projects related to water resources. SAWPA is the Local
Project Sponsor for this program on behalf of the California Department of Water
Resources.
Staff applied for a grant in fall 2015. SAWPA notified staff in late 2015 that a $1,000,000
grant was approved for the project. Since then, staff has been coordinating with SAWPA
to satisfy State requirements. Once finalized, SAWPA will act as an agent of the State.
RELEVANT STANDARDS

PROBLEM
An amendment to the existing agreement with SAW PA is required based on the California
Department of Water Resources amending the reporting requirements from 10 years to
three years. With the revisions required, the opportunity was taken to also update the
project's approved budget, along with the technical specs that are in place for this project
(e.g., pipe size of 66 inches to 54 inches).
PROPOSED SOLUTION
Approving this amendment will allow the Orange County Sanitation District (Sanitation
District) to stay in compliance with the grant requirements.
RAMIFICATIONS OF NOT TAKING ACTION
Amended agreement will remain unsigned and terms of grant not finalized.

PROJECT 2-72; AND REPEALING RESOLUTION NO. OCSD 16-20
WHEREAS, in May of 2015, the Orange County Sanitation District applied for a
Proposition 84 Integrated Regional Water Management Implementation Grant
(Administered by the California Department of Water Resources (DWR)) to help fund the
$104,890,000 Newhope-Placentia Trunk Sewer Replacement Project 2-72; and
WHEREAS, the DWR and Santa Ana Watershed Project Authority (SAWPA)
entered into a 2015 Proposition 84 Integrated Regional Water Management
Implementation Grant Agreement, providing that SAWPA would serve as the
administrator and program manager for grant funds related to the Santa Ana Watershed;
and
WHEREAS, SAWPA intends to disburse a portion of the $64,267,686 in grant
funds for the Orange County Sanitation District's (Sub-Grantee) Newhope-Placentia
Trunk Sewer Replacement Project 2-72 by way of the attached Agreement (Attachment
"A"); and
WHEREAS, in August 2016, the Orange County Sanitation District was notified
that it is eligible for a Proposition 84 Integrated Regional Water Management
Implementation Grant in an amount not to exceed $1,000,000. As a condition for
receiving the grant, the Orange County Sanitation District must enter into an Agreement
with SAWPA and comply with all the requirements detailed therein; and
WHEREAS, the Board of Directors is willing to accept the Proposition 84 Integrated
Regional Water Management Implementation Grant and agrees to comply with all the
terms and conditions of the Grant Agreement; and
WHEREAS, the Grant Agreement is being updated to reflect the revised project
budget from $104.91M to $112.OM, update project technical specifications, and change
the post-performance reporting period from ten years to three.
NOW, THEREFORE, the Board of Directors of Orange County Sanitation District
DOES HEREBY RESOLVE, DETERMINE, AND ORDER:
Section 1: That the Orange County Sanitation District accepts the Proposition
84 Integrated Regional Water Management Implementation Grant.

Section 2: That the Proposition 84 Integrated Regional Water Management
Implementation Grant will be used for partial funding of the Newhope-Placentia Trunk

2015 IMPLEMENTATION GRANT FUNDING CONTRACT

AND
ORANGE COUNTY SANITATION DISTRICT
This is Amendment No. 1 to the Proposition 84 Integrated Regional Water Management Program
("IRWMP")2015 Solicitation Implementation Grant Funding Contract made between Santa Ana Watershed
Project Authority("SAWPA")and Orange County Sanitation District(the"Sub-Grantee")executed by
SAWPA on November 21,2016, and by Sub-Grantee on December 7,2016. SAWPA and the Sub-Grantee
may be individually referred to as"Party",and collectively referred to as the "Parties".
WHEREAS, Exhibit A of the Department of Water Resources Grant Agreement No. 4600011515 has been
amended to clarify the work that will be done,update the permit deliverables,update the size of pipe to be
used, and rehabilitate the pipe rather than increasing the pipe size; and
WHEREAS, Exhibit B of the Department of Water Resources Grant Agreement No. 4600011515 has been
amended to revise the total project cost from $104.9M to$112.OM, increase the required funding match to
$32.OM, and increase the additional cost share to$79.OM.
'THEREFORE,based on the foregoing incorporated recitals and in consideration of the mutual covenants
and conditions set forth in the Grant Funding Contract and this Amendment,the Parties hereby agree to
modify the following sections to their Grant Funding Contract:
SECTION1. PROJECTDESCRIPTION AND SUB-GRANTEE DELIVERABLES
The Project will increase the size of the existing Newhope-Placentia Trunk Sewer by installing
approximately 34,800 linear feet(LF)of pipe on State College Boulevard from the Yorba Linda Pump
Station(Yorba Linda Boulevard and State College Boulevard in the City of Fullerton,California)to
Orangewood Avenue(Orangewood Avenue and State College Boulevard in the City of Anaheim,California;
South of Los Angeles Angels of Anaheim Baseball Stadium).The Project will also modify the Rolhng Hills
Sub-trunk Sewer by installing approximately 3,500 LF of pipe north of the Yorba Linda Pump Station in the
City of Fullerton.
The Sub-Grantee's Project deliverables include: -
• The installation of a total of approximately 38,300 LF of pipe will provide the required capacity for
current and future sewer flows.The pipeline diameter for the Project will range from approximately
30 inches at the upstream end,up to 54 inches at the downstream end.
• Through implementation of the Project,approximately eight(8)million gallons per day(MGD)of
the sewer flows from the Newhope-Placentia"Truck Sewer currently going to the Santa Ana
Regional Interceptor(`°SARI')will be diverted to the Sub-Grantee's Plant No. I (`PI")in the City
of Fountain Valley for treatment before being sent to the Groundwater Replenishment System
("GWRS").From G W RS,the 8 MGD is stored in the Orange County Groundwater Basin(`Basin")
by the Sub-Grantee's partner Orange County Water District, where the water will be pumped by
various water suppliers and used to protect the Basin from seawater intrusion.
• Approximately six(6)MGD,equivalent to 6,300 acre feet per year(AFY),of the eight(8)MGD
will reduce salt loading by 4,170 tons/year,which is equivalent to reducing the Total Dissolved
Solids levels in the 6,300 AT of Basin water by 457 mg/L per year if the Project water was used in

place of the other main source of Basin recharge water, imported water, because the GWRS water
has a lower salt content.The 6 MGD will also provide the multiple benefit of new water supply to
water users through Basin pumping and the 2 MGD will protect the Basin by pumping it into the
seawater protection barrier managed by the Sub-Grantee's partner Orange County Water District.
• The Project Monitoring Plan as described in Paragraph 21 of the Grant Agreement. The Project
Monitoring Plan must be approved by SAWPA and DWR before the Sub-Grantee implements any
sampling or monitoring activities. The Sub-Grantee will report on the benefits of the Project based on
the Project Monitoring Plan using a final Project Completion Report mid Post Performance
Reports described in Section IS and Section 20 of the original Contract.
• All other deliverables described in the Grant Agreement such as the delivembles listed m Paragraph
15 of the Grant Agreement
SECTION 3. ESTIMATED ELIGIBLE PROJECT COSTS GRANT AMOUNT
The estimated reasonable cost of the Project at the time of SAWPA's and DWR's approval of Amendment
No. I to the Grant Agreement is One Hundred Twelve Million dollars($112,000,000)for implementation
of the Project_Subject to all of the terms,provisions,and conditions of this Contract,and subject to the
availability of the grant funds, SAWPA shall disburse such grant funds in a sum not to exceed One Million
dollars IS 1,000,000). However, SA WPA's actual grant disbursements to the Sub-Grantee under this
Contract shall not exceed payments received from the DWR. All grant disbursements will be
reimbursements. Per Exhibit D of the Grant Agreement,the DWR shall withhold retention.
If the Sub-Grantee proceeds to construction of the Project, the final grant amount will be determined in
accordance with the provisions of this Contract. If the Sub-Grantee fails or refuses to proceed with or
complete the construction of the Project, SAWPA may consider such failure or refusal to be a material
violation and breach of this Contract. SAWPA shall have all rights and remedies as are otherwise available
to it for breach of this Contract by the Sub-Grantee.
If actual Project costs exceed the Project's estimated reasonable cost, SAWPA shall have no obligation to
provide grant funds for such exceedence.
Eligible Project costs include the reasonable costs of studies, engineering, design,land and easement
acquisition, legal fees,preparation of environmental documentation,environmental mitigations, monitoring,
and construction.
Reasonable administrative expenses may be included as eligible Project costs or cost share and will depend
on the complexity of the Project preparation,planning,coordination,construction,acquisitions,
implementation,and maintenance.Reasonable administrative expenses are the necessary costs incidentally
but directly related to the Project including the portion of overhead and administrative expenses that are
directly related to the Project.
Costs not eligible for reimbursement or eligible to be counted as cost share are described in Paragraph ten
(10)of the Grant Agreement.
Work performed after January 1,2011,is eligible to be counted as cost share.Work performed after
January 17,2014, is eligible for grant reimbursement.

SECTION 20. POST-PERFORMANCE REPORTS
Post-Performance Reports as described in Exhibit G of the Grant Agreement shall be submitted to
SAWPA within seventy-five(75)calendar days after the first operational year of the Project has elapsed.
This record keeping and reporting process shall be repeated annually for a total of three(3),years after the
completed Project begins operation.The format of the Post Performance Report is outlined in both the
Project Completion Report Section 19(f)and in Exhibit G of the Grant Agreement.The Parties to this
Contract understand and agree that this covenant shall survive the expiration or termination of this Contract
while not to exceed the Post-Performance Reporting period.

the sewer flows from the Newhope-Placeutfa Truck Sewer currently going to the Santa Are
Regional interceptor('SARI-) will be diverted to the Sub-Granters Plant No. I ('Pl,) in the City
of Fountain Palley for treeunent before being sent to the Groundwater Replenishment System
("GWRS). From GWRS, the 8 MGD is stored in the Orange County Groundwater Basin(-Basin)
by the Sub-Grantees painter Orange County Water District, where the water will be pumped by
various water suppliers and used to protect the Basin from se,water intrusion.

THIS GRANT AGREEMENT is entered Into by and between the Department of Water Resources of the State of
California, herein referred to as fine"State"or "DW R"and the Santa Ana Watershed Project Authority, a public
agency in the Counties of Los Angeles, Orange, Riverside, and Son Bernardino, State of California, duly
organized, existing, and acting pursuant to the laws thereof,herein referred to as the"Grantee",which parties
do hereby agree as follows'
1. PURPOSE State shall provide funding from the Safe Drinking Water, Water Quality and Supply, Flood
Control, River and Coastal Protection Bond Act of 2006 to Grantee to assist in financing projects associated
with the One Water One Watershed 2.0 Plan pursuant to Chapter 8 (commencing with §79560) of Division
26.5 of the California Water Code (CWC), hereinafter collectively referred to as"IRW'M Program,'
2, TERM OF GRANT AGREEMENT The form of this Grant Agreement begins on the date this Grant Agreement is
executed by Stare,and terminates on December 31, 2021,or when all of the Parties' obligations under this
Grant Agreement are fully satisfied,whichever occurs earlier. Execution date is the date the State signs this
Grant Agreement,
3. GRANT AMOUNT The maximum amount payable by the State under this Grant Agreement shall not exceed
$64,267,686.
4. GRANTEF�QST SHARE Grantee agrees to fund the difference between the Total Project Cost and the
Grant Amount (amount specified in Paragraph 3), Grantee Cost Share consists of Funding Match and
Additional Cost Share,as documented in Exhibit B (Budget). Additional Cost Share will not be reviewed by
the State for Invoicing purposes, however,the Grantee is required to maintain all financial records
associated with the project in accordance with Exhibit I (Stale Audit Document Requirements and Funding
Match Guidelines for Grantees).
5. FINDING MATCH. Grantee is required to provide a Funding Match (non-State funds) of not less than 25
percent of the Grand Total of all the total project costs unless a Disadvantaged Community project waiver
is granted.Grantee agrees to provide a Funding Match for the amount as documented in Exhibit B
(Budget),and may include expenses directly related to Exhibit A (Work Plan) after January 1,2011.
6. GRANTEE'S RESPONSIBILITY Grantee and its representatives shall:
a) Faithfully and expeditiously perform or cause to be performed all project work as described in Exhibit A
(Work Plan) and in accordance with Exhibit B (Budget) and Exhibit C (Schedule}.

Grant Agreement,including all incorporated documents,and to fulfill all assurances,declarations,
representations, and statements made by Grantee in the application,documents, amendments, and

c) Comply with all applicable California Taws and regulations.

7. LOCAL PROJECT$PQN2gR'S RESPONSIBILITY Grantee shall assign Local Project Sponsors to act on behalf of
Grantee for the purposes of individual project management,oversight, compliance, and operations and
maintenance. Local Project Sponsors shall be assigned in accordance with the participating agencies
identified in the 2015 One Water Watershed Program grant application. Exhibit F identifies Local Project
Sponsors.Local Project Sponsors shall also act on behalf of Grantee in the fulfillment of Grantee
respssmroldrssx where specifically specified in this Grant Agreement.
8. BASICONDITTQNS State shall have no obligation to disburse money for projects under this Grant
Agreement until Grantee has satisfied the following conditions (if applicable):

a) Grantee and Local Project Sponsors demonstrate the availability of sufficient funds to complete each
project by submitting the most recent 3 years of audited financial statements and submitting all
Audited Financial Statement Summary for each Local Project Sponsor.

or other mitigation. Grantee must also demonstrate that it has complied With all applicable
requirements of the National Environmental Policy Act by submitting copies of any environmental

Y DISBURSEMENT OF FUNDS.State will disburse to Grantee the amount approved,subject to the availability of
funds through normal State processes. Notwithstanding any other provision of this Grant Agreement, no
disbursement shall be required at any time or in any manner which is in violation of, Win conflict win,
federal or state laws, rules, or regulations, of which may require any rebates to the federal government,or
any loss of tax-free status on state bonds, pursuant to any federal statute or regulation.
10 ELIGIBLE PROJECT COST, Grantee shall apply State funds received only to Eligible Project Costs in
accordance with applicable provisions of the low and Exhibit B.Eligible project costs include the
reasonable costs of dudess, engineering, design,land and easement acquisition, legal fees,preparation of
environmental documentation environmental mitigations, monitoring, and project construction.
Reasonable administrative expenses may be included as Total Project Costs and vall depend on The
complexity of the project preparation, planning,coordination, construction.acquisitions, and

Costs that are nor eligible for reimbursement include, but are not limited to the following items

costs for reimbursement before the debt is incurred, and the purposes for which the debt is incurred
are otherwise eligible costs However, this will only be allowed as Grantee Cost Share (i.e., Funding
Match).
1) Overhead not directly related to project costs,
1, METHOD OF PAYMENT.
a) Reimbursement-Submit a copy of invoice for costs incurred and supporting documentation to the
DWR Project Manager via Grant Review and Tracking System (GRsmTE). Additionally, the original
invoice form with signature and date (in ink) of Grantee's Project Representative, as indicated on page
11 of this Grant Agreement, must be sent to the DWR Project Manager far approval. Invoices submitted
via GROHTE shall include the following information:
I) Costs incurred for work performed in implementing the projects) during the period identified in the
particular invoice.
2) Costs incurred for any interests in real property (land or easements) that Have been necisconly
acquired for the project(s) during the period identified in the particular invoice for the
implementation of a project
3) Invoices shall be submitted on terms provided by State and shall meet the following format
requirements:
I) Invoices must contain mrs date of the invoice, the time period covered by the invoice, and the
total amount due,
it) Invoices must be itemized based on the categories (i,e- tasks) specified in Exhibit g The amount
claimed for saloneowargesoconsultaint fees must include a calculation formula (i.e,, hours or
days worked times the hourly or daily tote = the total amount claimed),
III) Sufficient evidence (e.g.receipts, copies of checks,time sheets) as determined by the Slate

for separately in the progress reports,
iv) DWR Project Manager will notify Grantee, in a timely mother, when, upon review of an invoice

(30) calendar days of the date of receipt of such notice, submit additional documentation to

13, WITHHOLDING OF DISBURSEMENTS BY STATE It State determines that a project is not being implementedw
accordance with the provisions of this Grant Agreement, or that Grantee has failed in any other respect to
comply With the provisions of this Grant Agreement,and it Grantee does not remedy any such failure to
State's satisfaction,State may withhold from Grantee all at any portion of the State funding and take any
other action that it deems necessary to protect its interests,Where a portion of the State funding has been
disbursed to the Grantee and Stale notifies Grantee of its decision not to release funds that have been
withheld pursuant to Paragraph 14, 11he portion that has been disbursed shall thereafter be repaid
immediately with interest of the California general obligation bond interest rate at the time the State notifies
the Grantee, as directed by State. Stale may consider Grantee's refusal to repay the requested disbursed

or other construction documents by State is solely for the purpose of proper administration of funds by State
and shall not be deemed to relieve of restrict responsibilities of Grantee under this Grant Agreement.
18. LABOR COMPLIANCE Grantee, agrees to comply With all applicable California Labor Code requirements
and Standard Condition D.28 in Exhibit D.Grantee must, independently or through a third party, adopt and
enforce a Department of Industrial Relations-certified Labor Compliance Program h_CP) meeting the
requirements of Labor Code §1771.5 for projects funded by:
a) Proposition 84 (Safe Drinking Water, Water Quality and Supply, Flood Control, River and Coastal
Protection Bond Act of 2006; Public Resources Code §75075 et seg.) or
b) Any other funding source requiring an LCP.
At the State's request, Grantee must promptly submit written evidence of Grantee's compliance with the
LCP requirements.
lq- SUBMISSION OF REPORTS. The submittal and approval of all reports is a requirement for the successful
completion of this Grant Agreement. Reports shall meet grourrolly,accepted professional standards for
technical reporting and shall be proofread lot content, numerical accuracy, spelling,and grammar prior to
submittal to State.If requested, Grantee shall promptly provide any additional Information deemed
necessary by State for the approval of reports Reports shall be presented in the formats described in the

shall be submitted to State within ninety (90) calendar days after the first operational year of a project
has elapsed.This record keeping and reporting process shall be repeated annually for a total of 10

20. OPERATION AND MAINTENANCE OF PROJECT. For the useful life of construction and Implementation
projects and in consideration of the funding forme by State, Grantee agrees to ensure or cause to be
performed the commencement and continued operation of each project, and shall ensure or cause each
project to be operated in an efficient and economical manner, shall ensure all repairs,renewals, and
replacements necessary to the efficient operation of the some are provided; and shall ensure or cause the
some to be. maintained in as good and efficient condition as upon its construction,ordinary and
reasonable wear and depreciation excepted. The State shall not be liable for any cost of such
maintenance management, or operation.Grantee or their successors may,with the written approval of

Agreement, 'useful life" means period during which an asset, property, or activity is expected to be usable

integration of data into Statewide monitoring efforts including where applicable, the Surface Water
Ambient Monitoring Program coured out by the State Water Resources Control Board, See Exhibit H

State monitoring and data reporting requirements.
23, NQTELSEIKINLO€ $tATP. Grantee Shall promptly notify State,in writing, of the following items

until written notice of the proposed change has been provided to Slate and State has given written
approval for such change Substantial changes generally include changes to the work plan, schedule

The Watershed Protection Program consists of the following three components:
(1)San Jacinto River,Stage 4, Phase 1:will install an approximately 2.5 mile long and approximately 10-12 feet high river
levee in western Riverside County will provide all-weather access into and out of the San Jacinto Valley in western
Riverside County and remove approximately 967 acres and approximately 445 structures from the San Jacinto River 100-
year floodplain- This component will also increase the hydraulic capacity under the existing State Street Bridge, and
protect the State Street Bridge from damage during high flow events.
(2) Bautista Optimization Pond: will expand upon the existing recharge facilities, which include a series of 6 recharge
ponds constructed adjacent to Bautista Channel, by constructing six new basins and their corresponding inlet and outlet
facilities within an approximate 16-acre site with an approximate benefit of 1,200 acre feet per year-
(3) Beaumont RUDE Line 16: will install an approximately 6,800 foot reinforced concrete water conveyance pipeline that
will connect recharge ponds owned and operated by the Beaumont-Cherry Valley Water District to areas that collect
stormwater from a tributary area of approximately SAD acres.

Task 5 Feasibility Studies
The five SAWPA member agencies will develop a Master Plan for the SARCCUP Conjunctive Use Program to take
advantage of approximately 7 million AF of available groundwater storage in the Santa Ana River Watershed to capture
available excess supplies during wet years. The Master Plan, which will be funded entirely by the SAWPA member
agencies, is intended to assist in identifying operational constraints in the SARCCUP Conjunctive Use Program and the
needs to overcome these in current or potential future phases. The Master Plan will utilize a decision support model
{model}and take into consideration the watershed's hydrology, planned and existing facilities,and groundwater put and
take scenarios in order to better define agreements and needs for future expansion. The SAWPA member agencies
divided the Master Plan development into two-steps with the first step being the development of the model. This
model, which can be updated by the staff from the SAWPA member agencies, will enable the agencies to optimize the
proposed SARCCUP Conjunctive Use Program facilities with the overarching goals to simulate the anticipated operations
of the facilities,quantify the benefits,quantify the costs and help identify future phases of the SARCCUP Conjunctive Use
Program.
The five SAWPA member agencies will develop the necessary institutional agreements for the SARCCUP Conjunctive Use
Program in order to store and convey through such methods as direct pumping or in lieu transfers of approximately
160,000 RE to different wholesale water agencies in the Santa Ana River Watershed over a ten year period. The
agreements will reflect the result of evaluating alternative cost allocation methods and their impacts in order to define a
price per At for the water that is utilized for the SARCCUP Conjunctive Use Program.
EMWD will prepare a preliminary design report for the SARCCUP Conjunctive Use Program to allow implementation in
the San Jacinto Basin in EMWD's service area. The results from this study will be used for California Environmental
Quality Act (CEQA)documentation and for final design.
Within WMWD's general service area, WMWD, in partnership with EVMWQ will complete a well siting study/report for
the Aquifer Storage Recovery (ASR} wells in the Elsinore Basin. The results from this study will be used for CEQA
documentation and for final ASR design for the SARCCUP Conjunctive Use Program Implementation in the Elsinore Basin.

IEUA will arrange with the retail water agencies in its service area and the Chino Basin Watermaster to recharge the
groundwater basin through wet-water recharge and in-lieu recharge.Distribution of the DYY supply would be by
exchange, Baseline Feeder supply from the SBBA to Chino Basin,groundwater pumping and/or reclaimed water to
OCWD, and interconnections to WMWD.
Task 8.1.1 Baseline Feeder Extension
IEUA will complete preliminary and final design on the Baseline Feeder which will be extended from its current
termination near Cactus Avenue in Rialto approximately 6.5 miles to San Sevaine Creek near the border of Rancho
Cucamonga and Fontana. IEUA will design the length,dimension,alignment, and appurtenances of the extension so the
extension has an approximate 60 cubic feet per second lets)capacity and be similar to the existing nominal 48-inch
diameter feeder;possibly up to 60-inch diameter. Preliminary design work will include the following supporting work:
geotechnical investigation,topographic survey,and basis of design report (BCD). Using the BCD and supporting
documents, IEUA will produce 100% (Final) design, plans and specifications.
Task 8.1.2 Municipal Interties on Baseline Feeder Extension
IEUA will complete preliminary and final design on the extension alignment to provide recharge water discharge to San
Sevaine Channel and ioterties for connection to Fontana Water County and Cucamonga Valley Water District. IEUA will
design capacities so the facilities can perform at an expected flow of about 10-15 cfs each, which will depend on
evaluation of the connecting systems,and the final design analysis.Preliminary design work will include the following
supporting work:geotechnical investigation,topographic survey,and basis of BCD. Using the ROD and supporting

the Baseline Feeder extension by constructing a diversion gate into the flood control channel water at the existing
diversion on San Sevaine Creek. IEUA will design the new structure so the facilities can likely duplicate the existing 4-foot
sluice gate, piping, and controls. IEUA will design the new diversion to increase the existing capacity for imported water
diversion up to 15 cis allowing for final capacities to be determined during the final design stages. Preliminary design
work will include the following supporting work:geotechnical investigation,topographic survey,and ROD. Using the

Task 8.1.5 Turnout on Devil Canyon-Azusa Pipeline into San Antonio Creek

to service multiple purposes such as diverting water into San Antonio Creek for recharge at downstream recharge sites
in Chino Basin and/or Orange County, as well as providing a point of connection for the Water Facilities Authority to

Task 8.1.6 Production Wells in Chmof IEUA South Zone
IEUA will complete the screening and evaluation of existing inactive production/agricultural wells in the southern
pressure zone of IEUA's recycled water distribution system for rehabilitation. if no suitable existing wells are identified,
IEUA will develop new welts). IEUA will complete the design of plumbing the wells)to take groundwater into the
recycled water system to replace recycled water delivered to OCWD. Well{s)will have a target capacity of
approximately 1,000 gallons per minute. If additional wells are designed,they may also have an approximately 1,000
gallons per minute capacity. Existing wells will have old pumping equipment removed,as needed. New pumping
equipment and appurtenances will be analyzed during the planning phase taking into account regulations- Additionally,
downhole rehabilitation and possible lining may be required to achieve desired production rates and may be analyzed
based on possible geotechnical work. The plumbing of wells into the IEUA recycled water distribution system will be
designed. Preliminary design work will include the following supporting work:geotechnical investigation,topographic
survey,and ROD Using the DOD and supporting documents,IEUA will produce 100% (Final)design, plans and

Task 8.2 SARCCUP Conjunctive Use Program Implementation in the San Jacinto Basin
EMWD will complete preliminary and final design on facilities to augment San Jacinto Upper Pressure Sub-basin by
approximately 19,500 AFY.
EMWD will design development of an estimated 39-acre recharge basin, Mountain Avenue West. EMWD will complete
the design of the recharge ponds to range in depth from about 10 to 15 feet, berms so they range from approximately 3
to 6 feet above existing ground, and perimeter fencing to include approximately two to three access gates. EMWD will
design the pipelines to Include approximately one to three 20 to 30 inch laterals from the existing 33 inch diameter raw
water pipeline to the recharge ponds,and are at a length of about 700 feet. EMWD will plan for flow and pressure
control facilities with a meter section which can be used to regulate the flow of water into the ponds. EMWD will design
the described facilities by completing preliminary design work(will include the following supporting work:geotechnical
investigation,topographic survey, and DOD). Using the ROD and supporting documents, EMWD will produce 100%
(Final)design,plans and specifications.
EMWD will design the amenities for a walking/jogging path with conservation-focused informational signage along the
perimeter of the recharge site. EMWD will design the landscaping to include drought tolerant plants and drip irrigation.

Basin. Each well will be estimated to operate at an average flow rate of approximately 1,000 gallons per minute(GPM)
Each well will need a distribution pipeline to connect to the nearby water distribution system. The depth of the two ASP

agencies are aware of the SARCCUP Project and execute the contracts (i.e. outreach and ordboarding), the retail water
agencies make progress toward completing the tasks an their individual contracts once executed, and the retail water
agencies meet the conditions of the Grant Agreement Outreach workshops in Santa Ana River Watershed (total of up
to 2 workshops)will be held targeting the watershed's retail water agencies'elected officials and staff.These workshops
will review the tools available to the retail water agencies for adopting conservation-based rates. Conservation-based
rate structures will be implemented by approximately five water agencies. Funding will be provided to approximately
five retail agencies, through the contracts approved by the Committee, for items needed to adopt conservation-based
rate structures such as: an implementation of a rate study, billing support needs, acquisition of weather data,
Proposition 218 notices, etc. A policy will be developed by the Committee that specifies the reimbursement process for

STANDARD CONDITIONS
D.1) ACCOUNTING AND DEPOSIT OF FUNDING DISBURSEMENT:
0) Separate Accounting of Funding Disbursements and Interest Records: Grantee shall account for the
money disbursed pursuant to this Grant Agreement separately from all other Grantee funds.
Grantee shall maintain audit and accounting procedures that are in accordance with generally
accepted accounting principles and practices, consistently applied.Grantee shall keen complete
and accurate records of all receipts, disbursements, and interest earned on expenditures of such
funds. Grantee shall require its contractors or subcontractors to maintain books, records,and other
documents pertinent to their work in accordance with generally accepted accounting principles
and practices. Records are subject to inspection by State at any and all reasonable times,

State and to all cost-sharing partners for their support when prompting the Projects or using any data
and/or information developed under this Grant Agreement During construction of each project,

financed under the Safe Drinking Water, Water Quality and Supply, Flood Control, River and Coastal
Protection Bond Act of 2006, administered by State of California, Department of Water Resources,

D.3) AIR OR WATER POLLUTION VIOLATION: Under State laws, the Grantee shall nor be: (1) in violation of any
order or resolution not subject to review promulgated by the State Air Resources Board of an air
pollution control district (2) subject to cease and desist order not subject to review issued pursuant to
§13301 of the Water Code for violation of waste discharge requirements or discharge prohibitions, or (3)
finally determined to be in violation of provisions of federal low relating to air or water pollution,
DA) AMENDMENT:This Grant Agreement may be amended at any time by mutual agreement of the Parties,
except insofar as any proposed amendments are in any way contrary to applicable low. Requests by
the Grantee for amendments must be in writing stating the amendment request and the reason for the
request. Stale shall have no obligation to agree to on amendment.
D.S) AMERICANS WITH DISABILITIES ACT. By signing this Grant Agreement, Grantee assures State that it
complies with the Americans with Disabilities Act (ADA) of 1940, (42 il 12 101 et sed.),which
prohibits discrimination on the basis of disability, as well as all applicable regulations and guidelines
issued pursuant to the ADA.
D.6) APPROVAL This Agreement if of no force or effect until signed by all patties to the agreement Grantee
may not submit invoices or receive payment until oil required signatures have been obtained

Certified Public Accountant. Failure or refusal by Grantee to comply with this provision Shall be
considered a breach of this Grant Agreement,and State may elect to pursue any remedies provided in
Paragraph 14 or take any other action it deems necessary to protect its interests
Pursuant to Government Code §8546.7 the Goontee shall be subject to the examination and audit by
the State for a period of three years after final payment under this Grant Agreement with respect to all
matters connected with this Grant Agreement, including but not limited to the cost of administering this
Grant Agreement. All records of Grantee or its contractor or subcontractors shall be preserved for this
purpose for at least three (3) years after project completion or final billing, whichever comes later.
D.8) BUDGET CONTINGENCY: It the Budget Act of the current year covered under this Grant Agreement does
not appropriate sufficient funds for the Proposition 84 Implementation Grant Program, this Grant
Agreement shall be of no force and effect.This provision Shall be construed as a condition precedent to
the obligation of State to make any payments under This Grant Agreement. In this event, State shall
have no liability to pay any funds whatsoever to Grantee or to furnish any other considerations under
this Grant Agreement and Grantee shall not be obsigared to perform any provisions of this Grant
Agreement, Nothing in this Giant Agreement shall be construed to provide Grantee with a right at
priority for payment over any other Grantee. If funding for any fiscal year after the current year covered
by this Grant Agreement is reduced at deleted by the Budget Act for purposes of this program, State
shall have the option to either cancel this Giant Agreement with no liability occurring to State, or offer a
Grout Agreement amendment to Grantee to reflect the reduced amount.
D.1) CALIFORNIA , As required in Water Code §79038(b), Grantee shall examine the
feasibility or using the California Conservation Corps or community conservation corps to accomplish
the habitat restoration, enhancement and protection activities listed in the Exhibit A, Work Plan, and
shot use the services at one of these organizations whenever feasible
D.10) CEQA: Activities funded under this Grant Agreement,regardless of funding source, must be in
compliance with the California Environmental Quality Act (CEOA) (Public Resources Code §21000 of

11) CHILD SUPPORT COMPLIANCE ACT: For any Grant Agreement in excess of$100,000, the Grantee
acknowledges in accordance with Public Contract Code §7110, that:
a) The Grantee recognizes the importance of child and family Support obligations and shall fully
comply with all applicable state and frederol laws relating to child and family support enforcement
including, but not limited to, disclosure of information and compliance with earnings assignment
orders as provided in Chapter 8 (commencing with §5200) of Part 5 of Division 9 of the Family Code,
and
of The Grantee, to the best airs knowledge is fully complying with the earnings assignment orders of all
employees and is providing the names of all new employees to the New Hire Registry maintained by
the California Employment Development Department
D.12) CLAW DISPUTE: Any claim that the Grantee may have regarding performance of this agreement
Including, but not limited to, claims for additional compensation or extension of time, shall be submitted
to the Stale's Project Manager, within thirty (30) calendar days of the Grantee's knowledge of the
claim State and Grantee shall then attempt to negotiate a resolution of such claim and process an
amendment to this Agreement to implement the terms of any such resolution.
D13) COMPETITIVE BIDDING AND PROCUREMENT$: Grantee shall comply with all applicable laws and
regulations regarding securing competitive bids and undertaking competitive negotiations in Grantee's
contracts with other entities for acquisition of goods and services and construction of public works with
funds provided by Slate under this Grant Agreement,

D,14) COMPUTEk SOFTWARE Grantee certifies that it has appropriate systems and controls in place to Pleats
that state funds will not be used in the performance of this Grant Agreement for the acquisition
operation, or maintenance of computer software in violation of copyright laws.
D.15) CONFLICT OF INTEREST: All participants are subject to State and Federal conflict of interest laws. Failure
to comply with these laws including business and financial disclosure provisions,will result in the
application being rejected and any subsequent contract being declared void. Other legal action may
also be taken. Applicable squibs include, but are not limited to,Government Code, §1090 and Public
Contract Code, §10410 and §10411, for Slate conflict of interest requirements.
a) Current State Employees: No State officer or employee stall engage in any employment, activity, or
enterprise from which the officer or employee receives Compensation or has a financial interest and
which is sponsored or funded by any State agency, unless the employment, activity, or enterprise is
required as a condition of regular State employment, No State officer or employee shall contract on
his or her own behalf as an independent contractor with any State agency to provide goods or
services.
b) Former State Employees, For the Iwo-year period from the date he or she left State employment, no
former State officer or employee may enter into a contract in which he or she engaged in any of
the negotiations,transactions planning, arrangements, at any part of the decision-making process
relevant to the contract while employed in any capacity by any State agency. For the twelve-
month period from the dole he or she left State employment no former State officer or employee
may enter into a contract with any Slate agency if he or she was employed by that State agency in
a policy-mmang position in the some general subject area as the proposed contract within the

D.16) Grantee agrees to expeditiously provide throughout
the term of this Grant Agreement, such reports, data information, and certifications as may be
reasonably required by State.
D17) DISPOSITION Of EQUIPMENT: Grantee shall provide to State, not less than 30 calendar days prior to
submission of the final invoice, an itemized inventory of equipment purchased with funds provided by
State. The inventory shall include all items with a current estimated fair market value of more than
$5,000 00 per item py(ihirt 60 calendar days of receipt of such inventory Stole shall provide Grantee with
a list of the items on the inventory that State will take title to. All other items shall become the property of
Grantee Slate shall arrange for delivery from Grantee of items that it takes title to.Cost of
transportation, if any, shall be borne by State.
DAS) DRUG-FREE-WQRtPLACE-qERTI-FICQ CERTIFICATION Certification of Compliance:By signing This Grant Agreement Grantee its contractors or subcontractors hereby certify,under penalty of perjury under the laws of
State of California, compliance with the requirements of the Drug-Free Workplace Act of 1990
(Government Code §S350 rat seq.) and have or will provide a drug-free workplace by taking the
following actions:
a) Publish a statement notifying employees, contractors, and subcontractors that unlawful
manufacture-distribution, dispensation priaessior, or use of a controlled substance is prohibited
and specifying actions to be taken against annoloyeso, cont,actors, or subcontractors for violations
as required by Government Code §8355(a)(1),

so Penalties that may be imposed upon employees, contractors, and subcontractors for drug
abuse violations.
c) Provide,as required by Government Code §8355(a)(3), that every employee, contractor, and/or
subcontractor who works under this Grant Agreement:
if Will receive a copy of Grantee's drug free policy statement, and
ill Will agree to abide by terms of Grantee's condition of employment, contract or subcontract
D,19) FINA4INSPECTIONS AND CERTIFICATION OF REGISTERED PROFESSIONAL Upon completion of the Project,
Grantee shall provide for a final inspection and certification by the appropriate registered professional
(California Registered Civil Engineer or Geologist) that the Project has been completed in accordance
with submitted final plans and specifications and any modifications thereto and in accordance with this
Grant Agreement, Grantee shall notify the State's Project Manager of the inspection date at least 14
calendar days prior to the inspection in older to provide State the opportunity to participate inthe
inspection.
D.20) GRANTEE COMMITMENTS' Grantee accepts and agrees to comply with all terms, provisions,conditions
and commitments of this Grant Agreement, including all incorporated documents, and to fulfill all
assurances, declarations, representations, and statements made by the Grantee in the application,
documents amendments, and Communications filed in Support of its request for funding.
D.21) GRANTEE NAME CHANGE: Approval of the State's Program Manager is required to change the
Grantee's name as listed on this Grant Agreement, Upon receipt of legal documentation of the name
change the State will process an amendment Payment at invoices presented with a new name cannot
be paid prior to approval of said amendment.
D.22) GOVERNING lakIlln This Grant Agreement is governed by and shall be interpreted in accordance with
the lows of the State of California
D.23) INDEMNIFICATION: Grantee shall indemnify and hold and save the State. its officers, ogents,and
employees, free and harmless from any and all liabilities for any claims and damages (handling inverse
condemnation) that may arise out of the Projects and this Agreement,including, but not limited to any
claims of damages arising from planning, design construction, maintenance and/of operation of levee
rehabilitation measures for this Project and any breach of this Agreement. Grantee shall require its
contractors or subcontractors to name the State, its officers, agents and employees as additional
insured on their liability insurance for activities undertaken pursuant to this Agreement,
D.24) INDEPENDENT CAPACITY; Grantee, and the agents and employees of Grantees, in the performance at
the Grant Agreement, shall act in an independent capacity and not as officers, employees, or agents
of the State
D.25) INSPECTION RR N REPORTS;* During regular office hours, each of the parties hereto
and their duly authorized representatives shall have the right to inspect and to make copies of any
books records, or reports of either party pertaining to this Grant Agreement or matters related hereto.
Each of the parties hereto sholl maintain and mail make available atoll times for such inspection
accurate records of all its costs, disbursements,and receipts with respect to its activities under this Grant
Agreement, Failure or refusal by Grantee to comply with this provision shall be considered a breach of
this Grant Agreement, and State may withhold disbursements to Grantee or take any other action it
deems necessary to protect its interests
D.26) INSPECTIONS P PROJECT_gY_STATE State shall have the right to inspect the work being performed at
any and all reasonable times during the term of the Grant Agreement.This right shall extend to any
subcontracts and Grantee shall include Provisions ensuring such access in all its contracts or
subcontracts entered into pursuant to its Grant Agreement with State

D.27) jRYQj In the event of an invoice dispute,payment will not be made until the dispute is
resolved and a Corrected Invoice Submitted,Failure to use the address exactly as provided may result in
return of the invoice to the Grantee.Payment shalt be deemed complete upon deposit of the
payment, properly addressed, postage prepaid, in the United States Mail.Any claim that Grantee may
have regarding The performance of this Grant Agreement including, but not limited to claims far
additional compensation or extension of time,mall be submitted to the DWR Project Manager within
thirty (30) calendar days of Grantee's knowledge of the claim.State and Grantee shall then attempt to
negotiate a resolution of such claim and process on amendment to the Grant Agreement to implement
the terms of any such resolution.
D28) jjkit�P IAN E:The Grantee will be required to keep informed of and take all measures
necessary to ensure compliance with applicable Labor Code requirements, including, but not limited
to, §1720 of seq. of the Labor Code regarding public works, limitations on use of volunteer labor (Labor
Code§1720.4) labor compliance programs (Labor Code §1771.5) and payment at prevailing wages for
work done and funded pursuant to these Guidelines including any payments to the Department of
industrial Relations under Labor Code it 1771.3.
D.29) NPNj[ljjLQAIMjNA1Il During the performance of this Giant Agreement, Grantee and its contractors or
subcontractors shall not unlawfully discriminate, harass, or allow harassment against any employee Of
applicant for employment because of sex (gender), sexual orientation. race, color, ancestry, religion
creed, national origin (including language use restriction), pregnancy, physical disability (including Has
and AIDS), mental disability, medical condition (cancer/genetic characteristics), age (over 40) Mentor
status, and denial of medial and family cone leave or pregnancy penalty leave. Grantee and its
contractors or subcontractors shall ensure that The evaluation and treatment of their employees and
applicants for employment are free from such discrimination and harassment. Grantee and its
contractors or subcontractors shall comply with the provisions of the fair Employment and Housing Act
(Government Code §12990 pi At Sea.) and the applicable regulations promulgated there under
(California Code of Regulations,fifle 2, §7285 et seq.) The applicable regulations of the Fair
Employment and Housing Commission implementing Government Code §12990 Tani), set forth in
Chapter 5 at Division 4 of Title 2 of the California Code of Regulations, are incorporated into this
Agreement by reference and made a part hereof as it set forth in full. Grantee and its contractors or
subcontractors shall give written notice of their obligations under this clause to labor organizations with
which They have a collective bargaining or other agreement.
Grantee shall include the nondiscrimination and compliance provisions of this clause in all subcontracts
to perform work under the Grant Agreement
D10) NO DISCRIMINATION AGAINST DOMESTIC PARTNERS: For contracts over$100,000 executed or amended
after January 1,2007, the Grantee certifies by signing this Grant Agreement, under penalty of penury
under the laws of State of California that Grantee is in compliance with Public Contract Code it 10295.3.
D.31) Where the terms of this Grant Agreement provide for action to be
based upon,judgment, approval, review, or determination of either party hereto, such terms are not
intended to be and shall never be construed as permitting such opinion,judgment, approval, review,or
determination to be arbitrary, coloricious, or unreasonable
D.32) tijjiij ANQ�ANp ASSURANCES: Grantee agrees to faithfully and expeditiously perform or cause to be
performed all Project work as described in Exhibit A (Work Plan) and to apply State funds received only
to Eligible Project Costs in accordance with applicable provisions of the low.
D13) PRIORITY HIRINO CONSIDERATIONS It this Grant Agreement includes services in excess of$200,000 the
Grantee shall give priscry consideration in filling vacancies in positions funded by the Grant Agreement
to qualified recipients of aid under Welfare and Institutions Code §11200 in accordance with Public
Contract Code §10353,
D.34) PROHIBITION AGAINST DISPOSAL OF±P!ROJ§ECTTWITHOUT STATE PERMISSION' The Grantee shall not sell
abandon, lease, transfer, exchange, mortgage Hypothecate, or encumber in any manner whatsoever
all or any portion of any real or other property necessarily connected or used in conjunction with the

Projects,or with Grantee's service of water,without prior permission of State Grantee shall not take any
action, including but not limited to actions relating to user fees, charges, and assessments that could
adversely affect the ability of Grantee to meet its obligations under This Grant Agreement,without prior
written permission of State.State may require that the proceeds from the disposition of any real or
personal property be remitted to State.
D.35) REMEDIES NOT EXCLUSIVE:The use by either party of any remedy specified herein for the enforcement of
this Grant Agreement is not exclusive and shall not deprive the party using such remedy of, or limit the
application of, any other remedy provided by law.
D.36) Ragi Notwithstanding any other provision of this Grant Agreement,Slate shall, for each project,
withhold five percent (5.0%) until January 1, 2018 and ten percent thereafter, of the funds
requested by Grantee for reimbursement of Eligible Costs,Each project in this Grant Agreement will be
eligible to release its respective retention when that project is completed and Grantee has met
requirements of Paragraph 19, "Submissions of Reports", except in the case of the lost project to be
completed under this Grant Agreement,n which case retention for such project will not be disbursed
until the "Grant Completion Report" is submitted to and approved by State. State shall disburse
retained funds to the Grantee,
Ensp') &q_N�T Grantee agrees that all data, plans,drawings,specifications, reports, computer
programs, operating manuals, notes and other written or graphic work produced in the performance of
this Grant Agreement shall be made available to the State and shall be in the public domain to the
extent to which release of such materials is required under the California Public Records Act_
Government Code §6250 At Sea. Grantee may disclose,disseminate and use in whole or in part, any
final form data and information received, collected and developed under this Grant Agreement,
subject to appropriate acknowledgement of credit to State for financial support. Grantee shall not
utilize the materials for any profit-making venture or sell or grant rights to a third party who intends to do
so, The State shall have the right to use any data described in this paragraph to,any public purpose.
D,38) UYIRAMI Should any portion of this Grant Agreement be determined to be void of unenforceable,
such shall be severed from the whole and the Grant Agreement shall continue as modified.
STATE REVIEWS: The parties agree that review or approval of projects applications, documents, permits,
plans,and specifications or other project information by the State is for administrative purposes only and
does not relieve the Grantee of their responsibility to properly plan, design, construct, operate, maintain,
implement or otherwise carry out the projects,
D,40) JMJtfNJjON_QF_EAJMJNl This Grant Agreement may be subject to suspension of payments or
termination, or both, and Grantee may be subject to debarment if the State determines that

11) SUCCESSORS AND ASSIGNS; This Grant Agreement and all of its provisions shall apply to and bind the
successors and assigns of the parties. No assignment or transfer of this Grant Agreement or any part
thereof, rights hereunder, or interest herein by the Grantee shall be valid unless and onfil it is approved
by State and made subject to such reasonable terms and conditions as State may impose,

BACKGROUND
In November 2013, the Board of Directors adopted a Five-Year Strategic Plan. Over the
past five years, the Orange County Sanitation District (Sanitation District) has conducted
annual updates to the Five-Year Strategic Plan. In 2018, the Sanitation District completed
an updated five-year plan.
This year, a more in-depth planning process is proposed in order to develop a new
Strategic Plan. The new Strategic Plan will look beyond the next five years and focus on
broad policy statements with focused policy goals associated with each policy statement.
RELEVANT STANDARDS
• Comply with OCSD Policy - Strategic Plan
PROBLEM
The Five-Year Strategic Plan followed a five-year development cycle with annual updates,
but the schedule did not align with the Sanitation District's two-year budgeting process.
With the Sanitation District entering a period of continuous maintenance and technology
improvements, a new Strategic Plan format is more appropriate.
PROPOSED SOLUTION
The proposed Strategic Planning Process will include Strategic Goals that are broad
policy statements with smaller, more achievable supporting initiatives that move toward
achieving the strategic goals. The new proposed strategic plan and strategic planning
process will follow a two-year development cycle to support the two-year budgeting
process and allow for the Strategic Plan to be updated and completed in the fall prior to
the development of the two-year budget.

RAMIFICATIONS OF NOT TAKING ACTION
There is a risk that the Sanitation District will not be proactively setting strategic direction
for the agency, and risk becoming more reactive and less effective in delivering the
agency's mission. Additionally, the Sanitation District risks not having clear strategic
direction and alignment from the Board of Directors to staff.

ADDITIONAL INFORMATION
The Strategic Plan development process will include interviews with the Board of
Directors, an employee workshop, and a Board of Directors workshop.
The Executive Management Team (EMT) completed a preliminary review of draft policy
statements and goals at its March 25 meeting. During the coming spring/summer months,
the 2019 Risk Register will be reviewed, policy statements and goals will be reviewed and
discussed with the Management Team, the Board interviews and employee workshop will
be scheduled, and issue papers will be prepared as needed.
The EMT will finalize the draft Strategic Plan at its annual retreat in August and present
the draft Strategic Plan to the Steering Committee for review in the fall.
CEQA
The Strategic Plan itself is not subject to CEQA; however, individual projects referred to
in the Plan may.
FINANCIAL CONSIDERATIONS
Each new Strategic Goal will be supported by an issue paper that will analyze financial
impacts. The intent is for the approved Strategic Goals to be budgeted in the
FY 2020-2022two-year budget.

GLOSSARY OF TERMS
ACTIVATED SLUDGE PROCESS—A secondary biological wastewater treatment process where bacteria reproduce at a high
rate with the introduction of excess air or oxygen and consume dissolved nutrients in the wastewater.
BENTHOS —The community of organisms, such as sea stars, worms, and shrimp, which live on, in, or near the seabed, also
known as the benthic zone.
BIOCHEMICAL OXYGEN DEMAND (BOD)—The amount of oxygen used when organic matter undergoes decomposition by
microorganisms.Testing for BOD is done to assess the amount of organic matter in water.
BIOGAS—A gas that is produced by the action of anaerobic bacteria on organic waste matter in a digester tank that can be used
as a fuel.
BIOSOLIDS—Biosolids are nutrient rich organic and highly treated solid materials produced by the wastewater treatment process.
This high-quality product can be recycled as a soil amendment on farmland or further processed as an earth-like product for
commercial and home gardens to improve and maintain fertile soil and stimulate plant growth.
CAPITAL IMPROVEMENT PROGRAM (CIP) — Projects for repair, rehabilitation, and replacement of assets. Also includes
treatment improvements,additional capacity, and projects for the support facilities.
COLIFORM BACTERIA—A group of bacteria found in the intestines of humans and other animals, but also occasionally found
elsewhere, used as indicators of sewage pollution. E. coli are the most common bacteria in wastewater.
COLLECTIONS SYSTEM — In wastewater, It is the system of typically underground pipes that receive and convey sanitary
wastewater or storm water.
CERTIFICATE OF PARTICIPATION (COP)—A type of financing where an investor purchases a share of the lease revenues of
a program rather than the bond being secured by those revenues.
CONTAMINANTS OF POTENTIAL CONCERN (CPC) — Pharmaceuticals, hormones, and other organic wastewater
contaminants.
DILUTION TO THRESHOLD (DIT)—The dilution at which the majority of people detect the odor becomes the D(f for that air
sample.
GREENHOUSE GASES (GHG)— In the order of relative abundance water vapor, carbon dioxide, methane, nitrous oxide, and
ozone gases that are considered the cause of global warming ("greenhouse effect").
GROUNDWATER REPLENISHMENT SYSTEM(GWRS)—Ajoint water reclamation project that proactively responds to Southern
California's current and future water needs.This joint project between the Orange County Water District and the Orange County
Sanitation District provides 70 million gallons per day of drinking quality water to replenish the local groundwater supply.
LEVEL OF SERVICE(LOS)—Goals to support environmental and public expectations for performance.
N-NITROSODIMETHYLAMINE (NDMA) — A N-nitrosamine suspected cancer causing agent. It has been found in the
Groundwater Replenishment System process and is eliminated using hydrogen peroxide with extra ultra-violet treatment.
NATIONAL BIOSOLIDS PARTNERSHIP (NBP) —An alliance of the National Association of Clean Water Agencies and Water
Environment Federation, with advisory support from the US Environmental Protection Agency. NBP is committed to developing
and advancing environmentally sound and sustainable biosolids management practices that go beyond regulatory compliance
and promote public participation to enhance the credibility of local agency biosolids programs and improved Communications that
lead to public acceptance.
PLUME—A visible or measurable concentration of discharge from a stationary source or fixed facility.
PUBLICLY OWNED TREATMENT WORKS (POTW)—A municipal wastewater treatment plant.
SANTA ANA RIVER INTERCEPTOR(SARI) LINE—A regional brine line designed to convey 30 million gallons per day of non-
reclaimable wastewater from the upper Santa Ana River basin to the ocean for disposal,after treatment.
SANITARY SEWER— Separate sewer systems specifically for the carrying of domestic and industrial wastewater. Combined
sewers carry bath wastewater and urban runoff.
SOUTH COAST AIR QUALITY MANAGEMENT DISTRICT (SCAQMD)—Regional regulatory agency that develops plans and
regulations designed to achieve public health standards by reducing emissions from business and industry.
SECONDARY TREATMENT— Biological wastewater treatment, particularly the activated sludge process, where bacteria and
other microorganisms consume dissolved nutrients in wastewater.
SLUDGE—Untreated solid material created by the treatment of wastewater.
TOTAL SUSPENDED SOLIDS(TSS)—The amount of solids floating and in suspension in wastewater.
TRICKLING FILTER—A biological secondary treatment process in which bacteria and other microorganisms,growing as slime
on the surface of rocks or plastic media,consume nutrients in wastewater as it trickles over them.
URBAN RUNOFF—Water from city streets and domestic properties that carry pollutants into the storm drains, rivers, lakes, and
oceans.
WASTEWATER—Any water that enters the sanitary sewer.
WATERSHED—A land area from which water drains to a particular water body.The Orange County Sanitation District's service
area is in the Santa Ana River Watershed.
