RESOLUTION NO. OCSD 09-09
AUTHORIZING CERTAIN DISTRICT OFFICERS TO EXECUTE
DOCUMENTS NECESSARY TO OBTAIN PURCHASING CARD
ACCOUNTS WITH COMMERCE BANK, N.A.
A RESOLUTION OF THE BOARD OF DIRECTORS OF THE ORANGE
COUNTY SANITATION DISTRICT AUTHORIZING CERTAIN DISTRICT
OFFICERS TO EXECUTE DOCUMENTS NECESSARY TO OBTAIN
PURCHASING CARD ACCOUNTS WITH COMMERCE BANK, N.A.
The Board of Directors of the Orange County Sanitation District does hereby find:
A. Commerce Bank, N.A. (Missouri) (“Commerce Bank”) proposes to
provide Visa or MasterCard purchasing cards for the use of Orange County Sanitation
District (“OCSD”) staff members, to be used under the direction of the delegee(s) of the
OCSD Board of Directors, and in conformity with OCSD’s existing purchasing resolution,
Resolution No. OCSD 07-04. The use of purchasing cards is a well-established
procedure for local government purchases.
B. For purchases made with the purchasing cards, Commerce Bank will
rebate OCSD the amount of 120 basis points, subject to the terms and conditions of the
proposed agreement between OCSD and Commerce Bank.
C. As part of its customary agreement process, Commerce Bank requires
that OCSD, as a new customer, authorize the Clerk of the Board to execute a resolution,
in a form provided by Commerce Bank, N.A., resolving, in effect, that one or more
specified individuals are authorized to establish purchasing card accounts with
Commerce Bank and that said delegees shall also have the authority to appoint an
administrator of the purchasing card program.
NOW, THEREFORE, the Board of Directors of Orange County Sanitation District,
DOES HEREBY RESOLVE, DETERMINE, AND ORDER:
Section 1: That any one of the following:
James Ruth, General Manager
Robert Ghirelli, Assistant General Manager
Lorenzo Tyner, Director of Finance
Mike White, Controller
Marc Dubois, Purchasing Manager
be and each hereby is authorized directed and empowered to establish credit card
accounts (“Accounts”) with Commerce and to execute all documents to effectuate this
purpose which he may deem necessary and proper, including without limitation any
application and agreement to open purchasing accounts with Commerce (“Accounts”).

Section 2: That any one of the foregoing named officers of the District may
from time to time request Commerce to issue bank cards to any person in connection
with any of the Accounts.
Section 3: That any one of the foregoing named officers of OCSD may from
time to time appoint an Administrator to assist Commerce in the administration of the
credit card program as provided in the Commerce Bank Commercial Card Agreement.
Section 4: Commerce is authorized to act upon these resolutions until written
notice of revocation is delivered to Commerce, and that the authority hereby granted
shall apply with equal force and effect to the successors in office of the officers named
herein.
Section 5: That the General Manager, or his designee, be, and is hereby
authorized and directed, to execute any necessary documents or agreements to effect
the orders set forth in Sections 1 through 5 herein.
