RESOLUTION NO. 77-166
POSITIONS AND SALARIES
A JOINT RESOLUTION OF THE BOARDS OF DIRECTORS OF
COUNTY SANITATION DISTRICTS NOS. 1, 2, 3, 5, 6,
7 AND 11 OF ORANGE COUNTY, CALIFORNIA RELATING
TO THE CLASSIFICATION, COMPENSATION AND TERMS OF
EMPLOYMENT OF DISTRICTS` EMPLOYEES, AND RESCIND-
ING ALL RESOLUTIONS PREVIOUSLY ADOPTED IN THIS
CONNECTION

WHEREAS, the Boards of Directors received a verbal report from its General
Manager at its regular meeting of November 9, 1977, indicating agreement in princi-
ple between management representatives and the Orange County Employees Association
(OCEA) on behalf of Districts' operations unit personnel; and,
WHEREAS, adoption of Resolutions 77-153 and 77-154 was based upon the under-
standing that the representatives of management and employees had reached an
agreement after several meet and confer sessions, which agreement was to be
memorialized in writing within a few days thereafter; and,
WHEREAS, the Boards of Directors approved and adopted Resolutions 77-153 and
77-154 pertaining to the classification, compensation and terms of employment for
the operations unit personnel, which said resolutions were subject to and contingent
upon execution of a written Memorandum of Understanding by representatives of
operations unit personnel; and,
WHEREAS, the Boards of Directors would not have adopted Resolutions 77-153
and 77-154 or otherwise approved adjustments in salaries, benefits and working
conditions if no Memorandum of Understanding was executed between the employees
and management; and,
WHEREAS, upon learning of the failure to agree to a Memorandum of Understanding
the management representatives and operations unit employees representatives
continued their meet and confer sessions up to and including December 6, 1977; and,
WHEREAS, upon yet further failure to agree, the parties declared an impasse
and obtained the services of a mediator from the State Conciliation Service, all
as specified by Resolution No. 75-127; and,
WHEREAS, the mediator met with representatives of both management and the
employees for approximately 11 hours on December 8, 1977, which resulted in an
agreement being reached re final settlement, subject to confirmation by vote of
the operations unit employees; and,
WHEREAS, the operations unit employees voted on December 13, 1977, to disapprove
the proposed agreement recommended by their representatives, the management
representatives and the mediator; and,
WHEREAS, the offers of settlement made by the Districts' management repre-
sentatives both prior to and during the course of mediation were done in an effort
to reach a mutually agreeable Memorandum of Understanding, which necessarily
• involved elements of compromise; and,
WHEREAS, the District's management representative has reached an agreement,
as evidenced by an executed Memorandum of Understanding with representatives of
both the supervisory unit employees and the administrative/clerical unit employees;
and,
WHEREAS, in accordance with their declared intent at the November 9, 1977
meeting of the Boards of Directors all increases and adjustments to salaries,
benefits and terms of employment for the supervisory unit and administrative/clerical
unit employees shall become effective December 2, 1977; and,
WHEREAS, in the absence of an executed Memorandum of Understanding with the
operations unit employees, the Directors have considered all the offers of the
management representative and all the demands/offers of the operations unit
employees and have determined that no further progress is likely in reaching a
• Memorandum of Understanding; therefore leaving the final determination of
appropriateness and reasonableness of any adjustments with these Boards of Directors.

NOW THEREFOR:
The Boards of Directors of County Sanitation Districts Nos. 1, 2, 3, 5, 6,
7 and 11 of Orange County, California, hereby resolve that:
BASIC SALARY RANGES
Section 1. There are hereby established in the Joint Administrative
Organization the Basic Salary Ranges set forth on Exhibit "A", attached hereto
and made a part of this resolution.
POSITION CLASSIFICATIONS AND SALARIES
Section 2. There are hereby established in the Joint Administrative
Organization the position classifications of employment and the respective
salary ranges or hourly rates therefor, as set forth on Exhibit "B", attached
hereto and made a part of this resolution, effective on the dates set forth thereon.
Section 3. Fred A. .Harper is hereby employed in the position of General
Manager at the salary set forth on Exhibit "B".
Section 4. The General Manager is hereby authorized to employ and assign
persons as needed to occupy the positions established in Section 2 herein and
to exercise supervision over all persons in accordance with the provisions of
this resolution and the current resolution Providing for Rules and Regulations
Re Terms and Conditions of Employment and to terminate, for cause, the employ-
ment of any person employed under the provisions of said resolutions.
Section S. J. Wayne Sylvester is hereby employed in the position of
Director of Finance. The person employed as Director of Finance shall also
be the Secretary of the Boards of Directors of County Sanitation Districts
Nos. 1, 2, 3, 5, 6, 7 and 11, and of the Joint Administrative Organization of
said Districts, and is hereby authorized to certify actions taken by the Boards
of Directors; to attest formal instruments; and to execute the necessary documents
as Secretary of the Boards of Directors.

The person employed as Director of Finance shall hold this position by
virtue of appointment thereto by resolution of each of the Boards of Directors
of County Sanitation Districts Nos. 1, 2, 3, 5, 6, 7 and 11 of Orange County,
and shall serve at the pleasure of said Boards.
Section 6. The General Manager, subject to approval of the Boards of
Directors, is hereby authorized to employ a person to occupy the position of
Chief Engineer.
Section 7. The current organizational chart of the County Sanitation
Districts of Orange County, Joint Administrative Organization, designated Exhibit
"C", and dated July, 1977, is attached hereto and made a part of this resolution.
A. Said Exhibit "C" sets forth the departments and/or divisions of the
Joint Administrative Organization and designates the maximum number of allowable
positions and personnel for the classifications in each organizational line as
heretofor established and from time to time amended by the Boards of Directors.
This number shall determine the maximum number of personnel allowable in each
classification, except as provided hereafter in Section 7B.
The term "positions", as used in this section, is defined as the
authorized maximum number of positions in each classification. The term "per-
sonnel", as used in this section, is defined as the maximum allowable personnel
assignable to fill the authorized positions.
B. If, in the determination of the General Manager, qualified applicants
and/or personnel are not available to fill an open position, the General Manager
shall have the authority to close said position and open an additional established
position in the organizational line that is assigned a lower salary range
until such time that qualified personnel are available. In no event shall
this section be construed as to authorize the opening of an additional position
that is assigned a higher salary range, unless it is the reopening of a position
previously closed pursuant to provisions of this section.

COMPENSATION
Section 8', Employees shall receive compensation at the hourly rate for
the range and step assigned to the position classification in which they are
employed as set forth in Exhibit "B".
OVERTIME PAY
Section 9. When overtime, as defined in Section 3 of the current resolution
Providing for Rules and Regulations Re Terms and Conditions of Employment, is
performed, payment therefor will be made at the rate of one and one-half times
the rate at which the employee was employed at the time the. overtime service.was
performed, except as hereafter provided in this section.
Any overtime pay shall be separately itemized and paid on the payroll for
the period in which the overtime service is performed.
Management and Supervisory personnel as defined in Exhibit "B" herein
shall not be compensated for overtime.
SHIFT DIFFERENTIAL PAY
Section 10. Personnel designated as shift employees by the General Manager
who are required to work on shifts other than the day time shift shall receive
shift differential pay in addition to the employees' regular or overtime pay as
follows:
P.M. Shift $.44 per hour worked
A.M. Shift .50 per hour worked
STAND-BY PAY
Section 11. The General Manager may designate employees who are required
to be immediately available for emergency maintenance and repair work during
normal off-duty hours. Such employees, when so designated, shall be continuously
available for a period of one week and shall be compensated for such additional
services, in addition to overtime compensation, at the rate of $45.00 per calendar
week for each week of such additional service performed. Insofar as practicable,
no employee will be assigned such emergency duty availability for more than

thirteen weeks in any one year.
CALL BACK PAY
Section 12. Any employee that is called back for emergency work shall receive
a minimum of two hours pay, provided, however, that said work does not commence
with the close of the employee's regular work day, nor conclude at the beginning
of the employees regular work day.
VACATION
Section 13. Every employee holding a duly established full time, permanent
position who has completed one full year of service shall be entitled to an
annual paid vacation leave of eighty (80) hours at the conclusion of the full
year of service dating from the date of commencement of service.
Section 14. Except as provided in Section 15 herein, every employee holding
a duly established full time, permanent position who has completed more than one
but less than four consecutive years of service shall, commencing with the first
day of the pay period, following the first year of full time service, accrue
vacation..leave at the rate of 3.08 hours (approximately eighty (80) hours per year)
for each complete biweekly pay period of service. For such employees a maximum
of eighty (80) hours of unused vacation time from prior periods may be carried
over, provided, however, that the maximum total accumulated vacation time for any
employee shall not exceed one hundred sixty (160) hours. Any unused accrued vacation
time in excess of one hundred sixty (160) hours shall be automatically - cancelled.
Section 1S. Every employee employed prior to January 1, 1974, and holding
a duly established full time, permanent position who has completed more than
three consecutive years of full time service shall, commencing with the first
day of the pay period following the third consecutive year of full time service,
accrue vacation leave at the rate of 4.62 hours (approximately one hundred twenty
(120) hours per year) for each complete biweekly pay period of service. For such
employees, a maximum of forty (40) hours of unused vacation time from prior periods'
accruals may be carried over, provided, however, that the maximum total accumu-

lated vacation time for any employee shall not exceed one hundred sixty (160)
hours. Any unused accrued vacation time in excess of one hundred sixty (160)
hours shall be automatically cancelled.
Section 16. . Every employee employed after December 31, 1973, and holding
a duly established full time, permanent position who has completed more than four
consecutive years of full time service shall, commencing with the first day of
the pay period following the fourth consecutive year of service, accrue vacation
leave at the rate of 4.62 hours (approximately one hundred twenty (120) hours
per year) for each complete biweekly pay period of service. For such employees,
a maximum of forty hours (40) of unused vacation time from prior periods' accumu-
lation may be carried over, provided, however, that the maximum total accumulated
vacation time for any employee shall not exceed one hundred sixty (160) hours.
Any unused accrued vacation time in excess of one hundred sixty (160) hours shall
be automatically cancelled.
Section 17. Every employee holding a duly established full time, permanent
position who has completed more than ten consecutive years of full time service
shall, commencing with the first day of the pay period following completion of
the required consecutive years of service, accrue vacation leave for each complete
biweekly pay period of service in accordance with the following schedule:

For such employees, unused vacation time for prior periods' accruals may be
carried over provided, however, that the maximum total accumulated vacation time
for any employee at any time shall not exceed one hundred sixty (160) hours. Any
unused vacation time in excess of one hundred sixty (160) hours shall be automatically
cancelled.

SICK LEAVE
Section 18. Every employee employed in a duly established full time, perma-
nent position shall accrue 3.70 hours (approximately ninety-six (96) hours per
year) sick leave with pay for each complete biweekly period of actual continuous
service. No such employee shall earn sick leave credit during a biweekly pay
period in which said employee is absent without pay for more than eleven working
hours.
Section 19. Upon the retirement or death of a full time, permanent employee,
the employee or the employee's estate shall be entitled to receive a cash payment equal
to the percent of the value of unused, accumulated sick leave as of the date of
retirement or death, as set forth below, or in the alternative, to have the said
value applied by the Districts to the payment of group medical insurance premiums
during retirement, for such period of time as the cash value at date of retirement
will purchase.
Operational Employees 35%
Administrative/Clerical Employees 40%
Supervisory Employees 40%
UNIFORMS
Section 20. Employees required to wear uniforms or protective garments
shall be provided with regular laundering thereof at the Districts' expense.
Uniforms will be provided in quantities according to the following schedule:

In addition to the uniforms supplied each employee, coveralls shall be made
available in the Mechanical Division and lab coats shall be made available in

the Laboratory Division on a pool basis to be used by employees as required.
HOLIDAYS
Section 21. The following paid holiday shall be granted to all employees
holding duly established permanent, full time positions: New Year's Day,
Lincoln's Birthday, Washington's Birthday, Memorial Day, Independence Day,
Labor Day, Veteran's Day, Thanksgiving Day, the day after Thanksgiving Day,
and Christmas Day.
When a holiday falls on Sunday, the following Monday will be observed as a
holiday. When a holiday falls on a regularly scheduled day off for an employee
who is eligible to receive paid holidays, the employee shall be entitled to
equivalent time off with pay, provided, however, that employees designated as
shift employees may be compensated therefor as provided in Section .!; , and
Section 10 of this resolution.
• SALARY ADJUSTMENTS
Section 22. Salary ranges as hereinabove set forth in Section 2 will be
adjusted in accordance with the following:
A. Operational Employees. Salary ranges for Operational Employees will
be increased one-quarter (1/4) salary range effective February 24, 1978.
B. Administrative/Clerical Employees. Salary ranges for Administrative/
Clerical Employees will be adjusted in accordance with the provisions of Exhibit
"D" attached hereto and made a part of this resolution.
C. Supervisory Employees. Salary ranges for Supervisory Employees will
be adjusted in accordance with the provisions of Exhibit "E" attached hereto and
made a part of this resolution.
D. Management Employees.- Not applicable.
INSURANCE PROGRAMS
• Section 23. Life Insurance On Employees. Districts shall provide life
insurance on the life of each full time, permanent employee and pay the full

premium. The face amount of said policy shall be:
Management employees $50,000.00
: Supervisory Employees, one and one
half times annual salary not to exceed $28,000.00
All other full time, permanent employees $ 5,000.00
Section 24. Disability Insurance. Districts shall provide a disability
insurance plan for each full time, permanent employee in accordance with the
following:
A. Operational Employees. Districts shall obtain and may pay the full
premium (in accordance with the contribution toward the premium presently in
effect) for a disability insurance plan, which plan shall provide a benefit
of at least one hundred twenty dollars ($120.00) per week for a period of
twenty-six (26) weeks at a cost to the employee of not to exceed three dollars
and sixty-six ($3.66) per month. Any increase in the premium over this amount
shall be paid by the Districts.
B. Administrative/Clerical, Supervisory and Management Employees. Districts
shall obtain and pay the full premium for a disability insurance plan which plan
shall provide a benefit of at least one hundred twenty dollars I($120.00)pper week
for a period of twenty-six (26) weeks.
Section 2.5. Medical Health Insurance. Districts shall provide a medical
health insurance program for the benefit of the full time, permanent employees
and their dependents in accordance with .the present program choices of prepaid
health care medical plan (HMO) or an indemnity type group health insurance plan
which are presently in force and effect. Districts shall contribute the amount
towards payment of medical insurance premiums as set forth below:
A. Employee. Districts will pay full premium for medical plan for each
employee.
B. Dependents. Districts will continue to pay the same amount toward the
premium cost for dependents as is presently paid for in the existing plans.

C. Contribution Limit. The Districts will keep their contribution to
existing plans equal, provided, however, that in no event will the financial
contribution by the Districts be greater than the actual full cost of ,the plan.
D. (a) Operational Employees. In the event of a premium increase the
Districts will assume 100% of said increase during the period December 16, 1977
through November 30, 1978.
(b) Administrative/Clerical, Supervisory and Management Employees.
In the event of a premium increase, the Districts will assume 100% of said increase
during the period of December 1, 1977 through November 30, 1978, and from
December 1, 1978 through November 27, 1980 the Districts will assume 75% of the
cost of any further increase and employee will assume 25% of the cost of said
increase, provided, however, that the employee's share of such increases shall
not exceed $10 per month.
E. Additional Optional Plans. In the event the Districts add additional
optional plans, the Districts' share of the premium will be the same as for
existing plans as set forth above.
F. Change of Underwriters. In the event the Districts change underwriters
for existing plans, the Districts' share of the premium will be the same as for
existing plans as set forth above.
All insurance coverages shall be effective from the first day of the month
following one full calendar month of employment.
Section 26. Dental Insurance. The Districts will provide a dental plan for
Administrative/Clerical and Management Employees effective January 1, 1978 and
contribute thirteen dollars and seventy-five cents ($13.75) toward the premium
cost of said plan. The Districts will further increase or reduce their contribution
toward the monthly total cost of the dental premium for said employees, as necessary,
to balance any increase or decrease in said total monthly premium resulting from
a change in the distribution of employees electing self-coverage and employees

• electing dependent coverage on the effective date of this agreement. In the event
of a premium increase, the Districts will assume the full cost of said increase.
MISCELLANEOUS PROVISIONS
Section 28. The General Manager may authorize special adjustments to avoid
or eliminate inconsistencies resulting from the strict application of any
provisions of this resolution.
Section 29. The General Manager is authorized to administer written personnel
rules designed to augment or clarify the provisions of this resolution.
Section 30. Resolution No. 77-153 is hereby rescinded.
Section 31. Any resolutions, motions or portions thereof that are in conflict
herewith are hereby rescinded and made of no further effect on the effective date
of the various provisions hereof.
Section 32. That, unless otherwise provided, this resolution shall become
• effective as follows:
Operational Employees December 16, 1977
Administrative/Clerical Employees December 2, 1977
Supervisory Employees December 2, 1977
Management Employees December 2, 1977

**On or before each of the above dates a Personnel Review will be made of each
Supervisory employee that has occupied the top step of said employees' assigned
salary range in accordance with established District procedures. Such employees
shall be eligible for up to a one-half (%) salary step .increase provided for by
this adjustment based upon a satisfactory evaluation of said employees' performance
as measured against a specified achievement program and established objectives
prescribed and outlined by the employee's Department Head.
