The Chairman called the meeting to order at 8:00 a.m.The roll was called,and the Secretary reported a quorum present. Authorizing staff to obtain proposals for \J security monitoring system Following a brief discussion regarding presently available alternatives to the existing contract for sludge disposal, it was moved,seconded,and duly carried: Moved,seconded,and duly carried: Rej ecting _al •Golden West Fertilizer Company re disposition of Districtst sludge That the proposal of Golden West Fertilizer Company dated September 19,l97~4,to amend the contract for disposItion of the Districts’centrifuge sludge,be received,ordered filed, and rejected. _____________________ Moved,seconded,and duly carried: ______________________ That the staff be authorized to obtain ______________________ proposals for providing a security monitorIng system ior the Districts’ offices,laboratory,warehouse and shops. #5 10/18/711 ~L~.L__L~ _______ Consideration of de1e~atjng Following a brief review of thelimitedauthoritytothestaffproposaltodelegatelimitedGeneralManagertoapp~ove authority to the General Manager tochangeordersapprovechangeorderstocontracts for unforeseen or unanticipatedconditionsencounteredin.connection with construction of sewerage facilities,the Board entered into a discussion concerning the propriety of the matter. The General Counsel had advised that the nature of constructionissuchthattherearetimeswhenchangeordersmustbeconsideredandnegotiatedrapidlyandonthespot.In suchsituations,the staff has nego~jated change orders with thecontractorandsubsequentlypresentedthemto.the Board for approval.In Mr.Nisson’s opinion,the Board,in such cases,is obligated to approve the change orders and they would be estopped from refusing to approver them by reason of the fact that the staff represents the Board and the contractor hasreliedonthatrepresentation.The General Counsel had also reported that Directors should consider that by not establishing any procedure or limitation with respect to staff authorizationtoapprove’change orders,.there would be no limit on the.staff,and accordingly,no limit on the Board’s liability. The Directors expressed their concern over the potentia].liability in these matters,however,in view of the actiontakenbytheJointBoardsonOctober.16th regarding this item,it was the concensus that this Board not take a position at this time on the proposal to delegate limited authority to theGenera~.Manager to approve change orders. report on Analysis of Edison Company’s Energy Charges Approving Change Order No.q to plans and ~pecificationj for Job That Change Order No.11 to the plansNo.P2—21 and specifications for Digesters “N” and “0”at Plant No.2,Job No.P2—21, granting an extension of time of 61 calendar days to the contract with Hemisphere Cbnstructors,be approved.Copy of this Change Order is attached hereto andmadeapartoftheseminutes.
