SPECIAL MEETING,ADJOURNED SESSION
BOARD OF DIRECTORS,COUNTY SANITATION DISTRICT NO.7
ORANGE COUNTY,CALIFORNIA
August 24,1953 at 5:00 p.m.

Pursuant to adjournment of the special meeting of the Board
of Directors on ~ugust 19,1953 at 7:30 p.m.,the Board of DirectoxE
of County Sanitation District No.7 met in adjourned session at
5:00 p.m.on August 24,1953,in Room 239,1104 West Eighth Street,
Santa Aria,California.
Chairman The Board of Directors
pro tern took the following action:
Moved by Director Courtney R.Chandler,seconded by
Director Willis H.Warner an&duly carried:
That Wintford L.Tadlock,alternate for Chairman
Vincent L.Humeston,be appointed Chairman pro tern in the
absence of Mr.Humeston.
The Chairman pro tern called the meeting to order at
5:15 p.m.
Secretary The Board of Directors
pro tern took the following action:
Moved by Director Willis H.Warner,seconded by Director
Courtney R.Chandler and duly carried:
That C.Arthur Niseon,Jr.be appointed Secretary pro tern.
The roll was called and the Secretary pro tern reported
all members present.

Approval of The Board of Directors
Minutes took the following action:
Moved by Director Courtney R.Chandler,seconded by
Director Willis H.Warner and duly carried:
That the minutes of the apecial meeting of August 19,
1953 be approved as read.
Correspondence The Board of Directors
took the following action:
Moved by Director Courtney FL Chandler,seconded by
Director Willis H.Warner arid duly carried:
That the letters of Harrison &Woolley and Headman,
Ferguson &Carollo and Boyle ~ngineeririg be received and
ordered f1~1ed with the Secretary.

Report of Mr.Nelson reported that he had
General Manager contacted three::engineering
firms,Sidney L.Lowry,Boyle
Eng~neering,and Harrison &
Woolley and Headman,Ferguson &~arol1o,and that upon this
invitation the firms of Boyle Engineering and Harrison &
Woolley and Headman,Ferguson &Carollo had submitted letters
outlining their fees and the time it would take to complete
a preliminary report.The General Manager’s complete report
is on file in the~office of the Secretary.The General
Manager recommended that the services of the firm of Harrison
&Woolley and Headman,Ferguson &Carollo be retained for
the proposed work in District No.7.
General Mr.Chandler asked the General
Discussion Manager to give a resume of
probable costs for the services
of the two engineering firms
based on a one-million dollar unit of work for comparative
purposes.There was other discussion relating to sums budgeted
for this work,and It was determined that adequate funds were
available to pay the preliminary engineering and engineering
bond services and election expenses.
Retaining of The Board of Directors
Consulting Engineers took the following action:
Moved by Director Courtney IL Chandler and seconded by
Director Willis H.Warner that the firm of Harrison &Woolley
and Headman,Ferguson &Carollo be retained for the engineers
on the proposed sewer improvement work of District No.7 in
accordance with the terms as outlined in their letter dated
August 2~4,1953,and that our legal counsel be Instructed to
prepare a contract embodying said terms and that the Chairman
be authorized to sign the same.
The vote was polled by roll call and the Secretary pro
tern reported the motion carried unanimously as follows:
AYES:Directors Courtney FL Chandler,Willis H.Warner
and Wlntford L.Tadlock.
NOES:None
Special Services C.Arthur Nisson,Jr.,general
pond Attorneys counsel for the Districts,
reported that he had been In
communication with the firm of
O’Melveny &Myers and he recom
mended the retaining of their services.In the general
discussion that followed,it was pointed out that It would
be advantageous to have bond service advice concurrent with
the engineering studies.
The Board of Directors
took the following action:

Moved by Director Willis H.Warner and seconded by
Director Courtney R.Chandler that the law firm of O’Melveny
&Myers be employed as special bond attorneys to assist in
the preparation of an engineer’s report for the purpose of
voting bonds for the construction of additional sewerage
disposal facilities in County Sanitation District No.7,and
for the Curther purpose of rendering a report as to the
validity of said bonds and bond proceedings,and to otherwise
generally assist insaid proposed bond issue and election.
That said attorneys be employed at the rate of one-fifth of
1%of the total amount of the bond issue up to the sum of
$i,ooo,ooo.oo,and thereafter at the rate of one-tenth of 1~
I or any bonds ~proposed to be voted in excess of $1,00O,O00.0~.
The vote was polled by roll call and the Secretary pro
tern reported the motion carried unanimously as follows:

Compensation and expenses
for ad~itionaI work on The Board of Directors
bond issue took the following action:
Moved by Director Willis H.Warner,seconded by Di.rector
Courtney R.Chandler and duly carried:
That C.Arthur Nisson,Jr.,general counsel for the
County Sanitation Districts of Orange County,California,
and of County Sanitation District No.7 of Orange County,
California,be paid the sum of $12.50 per hour for special
and additional work in connection with the proposed issue of
bonds for the construction of additional sewerage facilities
In said DistrIct,efrective September 1,1953.

Director Willis H.Werner and duly carried:
That this meeting be adjourned to 7:30 p.m.,August 31,
1953,at the offices of’the County Sanitation Districts of
Orange County,Room 239,110~4 West Eighth Street,Santa Ana,
California.
