The joint meeting of the district boards was called to order
by Chairman Virgil H.Reed at 8:0.5 p.m.

OFFICER’S REPORT reported:
1.That Resolution No.15,adopted on June 2~,1950,authoriz
ing a preliminary survey and establishing rates of pay should
be repealed and a new motion adopted which would meet the
union’s negotiated pay schedules,Mr.Launer read the
union’s pay schedules for survey crews and draftsmen.
2.Seven estimates had been obtained for printing the Purchase
and Sale Agreement and the Petition for Writ of Mandate.
These estimates were examined by the Executive Committee
who adopted a motion recommending that this printing be given
to the firm submitting the lowest bid and the best delivery
date.The Purchase and Sale Agreement was given to the
Western Printing Company of Whittier,in ac~.~ordance with the
lowest estimate and best delivery date.The Western Printing
Company were able to deliver the agreements within three
days;all of the other printing firms required from one
week to seventeen days to print this material,
EXECUTIVE COMMITTEE Director Rob~rt H.Boney,Cha1i~an of the
REPORT Executive Committee,reported:
1.The Executive Committee met on February 21,1951.
2.Each paragraph of the Agreement for Purchase and Sale was
read and reviewed by members of the Committee and the
attorneys,Messrs.Turner,Marks,Ashton,Nisson and Chaffee.
A motion was made and unanimously carried by members of the
Executive Committee recommending that the District Boards
approve and authorize the execution of the Purchase and
Sale Agreement,
3.A discussion was held upon employment of an engineer to
modify the Bacon reports and a Committee of three,Director
Willis H.Warner as Chairman,Director Virgil H.Reed and
Director Hugh W.Warden,was appointed to mak?preliminary
investigations and gather information’on the qualifications
H of engineering firms for modification of the Bacon reports
and design of the works,This Committee is to report
their findings to the Executive Committee for consideration
and action.
CORRESPONDENCE The Secretary read a letter from Director
Frank J.Schweitzer of the Board of Directors
of County Sanitation J)istrtct No.2,in
which he expressed the opinion that the City of Brea does not
want to participate in the signing of the Agreement for Purchase
and Sale as there is the possibility that the limited participation
districts might be required to assess a tax levy exceeding the
1O and 12 per $100 assessed valuations.
A motion was made,duly seconded and carried that Director
Frank J.Schweitzer’s letter be received and rile4 by the
Secretary.

A motion was made by Director Virgil H.Reed.,
duly seconded and oarried.by members of the
Board of Directors of County Sanitation Dis
trict No.7 that Resolution No.15,adopted
on June 28,1950,authorizing preliminary sur
veys and establishing classifications and rates of pay for survey
crews2 be and is hereby repealed.
~n~otion was made by Director Virgil H.Reed,duly seconded
and carried by members of the Board of Directors of County Sani—
tat ion District No,7 that the Temporary Engineer of the Joint
Administrative Organization be and.is hereby directed to have
made surveys to acquire rights of way through the Pacific Elec
tric Railway,State Highway,State Park and State Land Commission
arid.to secure necessary engineering data to tie into the existing
outfall structurea.
That said Temporary Engineer is authorized and directed to
employ surveying parties and.draftsmen to work under his direc
tion and,supervision to make said.surveys1 establish precise
bench marks and make permanent records thereof for the Joint Ad
ministration Organization of County Sanitation District Nos.1,
2,3,5,6,7,and 11 for t~ieir jqirit benefit;and

the following.Resolution was adopted:
WHEREAS,certain insurmountable difficulties and details connected
with the selling and issuing of the bonds of County Sanitation District
No.7 of Orange County have caused extended delays in their issuance
and the selling of said bonds;and
WHEREAS,the best interests of this District will be served by
repealing that certain Resolution bearing the date of September 19,
1950,calling for the issuance of said District Bonds:
NOW,THEREFORE,IT IS HEREBY FOUND,DETERMINED AND ORD~.ED,
by this Board of Directors of County Sanitation District No.7 of
Orange County,California,that that cert~iin Resolution of this Board,
bearing the date of September 19,1950,the subject matter of which
deals with the authorization and issuance by said District of bonds of
County Sanitation District No.7 of Orange County,in the sum of Four
Hundred and Eighty-eight Thousand ($4~,OOO.OO)Dollars,be and the
same hereby is repealed and made ineffective a~of the date of this

STATE OF CALIFORNIA,AUTHORIZING THE ISSUANCE OF

On motion of Director Willard Smith,duly seconded and carried,
the following Resolution was adopted:
WHEflEAS,in accordance with the provisions of the County Sanitation
District Act,now Chapter 3,Part 3,Division V of the Health and Safety
Code,Section 4700 to Section 4~56,both inclusive,the Board of Dir
ectors of County Sanitation District No.7 of Orange County,created
under said Act,did on the 26th day of January,1949,by resolution,
adopt the report required by Section 474~of said Act,of Vinton W.
Bacon,Sanitation iingineer,fil~d in the office of the Board of Dir
ectors on December 22,l94~and
WHEREAS,on the 26th day of January,1949,said Board of Directors
of said District did adopt a resolution calling and ordering a special
election to be held in said District on the 2~t~day of February,1949,
for the object and purpose of submitting to the qualified electors of
said District,the propøsition of incurring a bonded debt in the amount
of ~L~€~,OOO.OO for the purposes stated in the said report of Vinton
W.Bacon,which said resolution also stated the estimated cost of the
proposed work,the amount of the princip~1 of th~indebtedness to be
incurred therefor,and the proportional part of such indebtedness to be
paid each and every year,and the r~ite of interest to be paid on said
indebtedness and in said resolution prescribed the manner of holding
said election and the manner of voting for or against incurring such
indebtedness;and
WHEREAS,upon completion by the Board of Directors of said Dis
trict of the canvassing of the returns of said election,the said
Board of Directors did,by resolution adopted on the 7th day of March,
1949,find,determine and declare t}~t at said election more than two~
thirds of the total votes cast were in favor of incurring such bonded
indebtedness;and
WHEREAS,all steps necessary to be taken and acts necessary to be
performed in accordance with the provisions of said Act and all condi
tions precedent to the issuance by said District of bonds in the sum
of $4~,OQO.OO,which are prescribed by law and have been fully com
plied with,
NOW THEREFORE,IT IS HEREBY FOUND,DETERMINEP AND ORDERED,by
this Board of Directors of County Sani~ation District No.7 of Orange

1.That bonds of County Sanitation District No.7 of Orange
County in the sum of $4€~,OOO.0O shall be issued in accordance with
the provisions of said County Sanitation District Act,as amended,for
the objects and purposes set forth in ‘the said resolution calling said
special election.That said bonds shall be four hundred eighty eight

shall be designated and known as “County Sanitation District No,7 of

three percent (3%)per annum and shall after the first year be payable
semi-annually on the first day of September and the first day of March
of each year,and for the first year shall be payable in one metal

said bonds shall be payable in lawful money of the United States,at
the office of the Treasurer of the County of Orange in the City of
Santa Aria,State of California.

This bond is issued by the Board of Directors of County Sanitation

voters of said district voting at an election duly called and held on

IT IS HEREI3Y CERTIFIED,RECITED AND DECLARED,that said election
was duly called,duly held and duly conducted and the notice thereof
duly given and the returns thereof canvassed and declared in accord
ance with all the provisions of law relating thereto,and that all of
the proceedings of the Board of Directors of County Sanitation District
No.7 of Orange County in the matter of the issuance of this bond were
regular and in strict accordance with the provisions of said County
Sanitation District Act and of the Constitution of the State of Calif
ornia.It is further declared that the issue of bonds of which this
bond is one is the first issue of bonds of said County Sanitation
District Mo.7.
•This bond is in the form prescribed by resolution of the Board of
Directors of County Sanitation District No.7 of Orange County adopted
on February 2~,1951,and the money for the redemptiOn of this bond and
the payment of interest thereon shall be derived from an annual tax

in said district shall be and remain liable to be taxed for such pay
ments.

5.That the Chairman of the Board of Directors of said
County Sanitation District No.7 be,and he is hereby authorized and
directed to sign all said bonds and to affix thereto the seal of said
district,and the Auditor of said district be,and he is hereby author
ized and directed to countersign âaid bonds,and to sign by his engraved
or lithographed signature the interest coupons of said bonds,and that
said bonds when so signed and countersigned shall be delivered by said
Auditor of said district to the Treasurer of said County,and shall by

said Treasuer be delivered to such persons in such amounts and such
t~imes as the Board of Directors of County Sanitation District No.7
shall determine and direct.
6.That the proceeds of the sale of said bonds shall be
placed in the Treasury of the County of Orar~ge to the credit of
County Sanitation District No.7 of Orange County,and all premiums
and accrued interest received shall be paid into the fund to be used
for the payment of principal and interest on the bonds,and the re
mainder of the proceeds of the sale shall be paid into the construction
fund of the district and shall be applied exclusively to the objects
and purposes mentioned in the resolution of said ~oard of Directors of
County Sanitation District No,7,adopted on January 26,1949,calling
the special election at which said bonds were voted.
7.That the Board of Directors shall annually,at least
fifteen (15)days before the first day of the n~onth in WiijCh the Board
of Supervisors of Orange County is required,by law,to levy the amount
of taxes required by law for county purposes,furnish to said Board of
Supervisors,a written statement of the amount necessary to pay the
interest on said bonds for that year and such portion of the principal
thereof as is to become due before the time for making the next general
tax levy and the said Board of Supervisors,in accordance with the
duty imposedupon them by the provisions of said County Sanitation
District Act,shall annually at ttie time and in the manner of levying
other county taxes levy and cause to be collected,a tax upon the tax
able real property in said County Sanitation District No.7 of Orange
County,based upon the last equalized assessment roll of said County,
sufficient to pay the interest on said bonds for that year and such
portion of the principal thereof as is to become due before the time
for makirtg the next general tax levy.Said tax shall be collected at
the same time and in the same manner as the general tax levy for
county purposes and when collected,shall be paid into the Treasury of
said Orange County to the credit of said district and shall be used for
the payment of the principal and interest upon said bonds and £or rio
other purpose.The principal and interest on said bonds shall be paid
by the County Treasurer of Orange County in the manner now or hereafter
provided for by law for the payment of princIpal and interest on the
bonds of said county.

RESOLTJII ON CONCERNING EMPLOYMENT OF ATTORNEY
WHEREAS,Sanitation .DistrictNo.7,of~the County of Orange,has
employed C.Arthur Nisson,Jr.as an attorney on a temporary basis,to
represent the District in negotiating with certain other Sanitation
Districts,Sanitary Districts and Municipalities in connection with the
County-wide sanitation plan and in negotiating purchase agreements and
joint cQnstructlon and operation agreements;and other matters i~i
connection therewith that arise from time to time;and
WHEREAS,it is deemed reasonable to bring the hourly rate of pa~
of said attorney up to’the stand~irds prevailing in the County of Orange
to that of other attorneys doing similar work for other County Sanita
tion Districts.
NG~,THEREFORE,BE IT RESOLVED:
That Sanitation Distriöt No.7 continue the employment of C.
Arthur Nisson,Jr.,attorney at law,to represent said Sanitation Dist
rict in all matters in connection with its negotiation of purchase
agreements arid joint construction and operation agreements,and other
matters that may arise from time to time,at an hourly rate of ~12.5O
per hour for the time actually spent by said attorney in servibes to
said Sanitation ~District,and that this hourly rate of pay be made
effective as of the first day of March,1951.That
said temporary employment should be based on an S hour day,the max!
mum compensation for any one day not to exceed the sum of ~lOO.OO re
gardless of the number of hours worked.Such compensation to be paid
out of the funds of District No.7 upon demands presented by said attor
ney.
So much of Resolution No.17 concerning employment of C.Arthur
Nisson,Jr.as attorney for District 7 as may be in conflict herewith
is hereby ropealed.
