MINUTES OF MEETING OF
BOARD OF DIRECTORS
COUNTY SANITATION DISTRICT NO.11
OF ORANGE COUNTY,CALIFORNIA
August 23,1950 at ~:OO P.M.
Board of Supervisors’Room
The Board of Directors met in regular session.
There were present:Directors Willis H.Warner (Chairman),
Jack Greer and Vernon E.Langenbeck.
Absent:None.
The joint meeting of the district boards was called to order
by Chairman Virgil H.Reed at g:05 P.M.
A motion was made,duly seconded and carried,to approve the
Minutes of August 9,1950,as mailed out.
RE:APPROVAL OF A motion was made,duly seconded and
WARRANT REGISTER carried by board rnenibers present,
approving the Joint Administrative
Warrant Register,covering:

CORRESPONDENCE Director Willis H.Warner handed the
Secretary a letter from Daniel H.
Nelson,tendering his resignation,
effective immediately,as Secretary of the Board of Directors
of County Sanitation Districts Nos.5,~and 11.
The Administrative Officer discussed items covered in his report
to the Directors under date of August l~,1950,and asked Mr.E.J.
Marks to report on legal progress made since the last joint meeting
of the boards.Mr.Marks reported as follows:

1.Mr.Beebe telephoned that his report on the review
of contracts presented to him was not quite complete.
2.No answer had been received from the Attorney General
in answer to several cominuniciations requesting an
opinion on the sale of facilities built in part with
WPA funds.
3.He recommended the Agreements of Sale and Purchase,and
Construction and Operation be partially rewritten to
“Use”contracts with provisions for sale if and when
right of sale is established.Rewriting these agree
ments,giving the Districts right of use with the agree-.
ment to convey title when they have established legal
authority will be acceptable to Mr.Beebe.
4.Mr.Beebe has requested that Resolution be adopted by
the County Sanitation District Boards authorizing them
to file suit in the limited participation case.
RE:REWRITING A motion was made,duly seconded and
OF CONTRACTS carried,authorizing E.J.Marks to
rewrite the contracts with rights of
use,which will be acceptable to the bond attorneys O’Melveny
and Myers.

RE:FORMATION OF Mr.Warner led a general discussion of
AN EXECUTIVE the use and benefit of an Executive
COMMITTEE Committee.Judge Marks pointed out
that members of such a Committee would
have to serve without compensation as the Health and Safety
Code does not provide for compensation for Directors attend
ing meetings,except County Sanitation District Board meetings.
After a general discussion of the proposed Resolution
creating an Executive Committee,a motion was made,duly
seconded and carried that County Sanitation District No.~
be included in representation on the Executive Committee.

RE:RESOLUTION NO.21 On motion of Director Greer,duly
CREATING AN EXECUTIVE seconded and carried,the following
CONMITTEE Resolution No.21 was adopted:
A RESOLUTION OF THE BOARD OF DIRECTORS
OF COUNTY SANITATION DISTRICT NUMBER
ELEVEN,PROVIDING FOR THE CREATION OF
AN EXECUTIVE COMMITTEE.
The Board of Directors of County Sanitation District
Number Eleven does resolve as follows:
SECTION I.An Executive Committee for County Sani
tation Districts Numbers One,Two,Three,Five,Six,
Seven,Eight and Eleven of Orange County,California,is
hereby created,consisting of the chairman of each Board
of Directors of each district.
Provided that,if the chairman of the Board of
Directors of any district is unable to attend a meeting
of such Executive Committee,he may give his proxy to
another member of said Board of Directors,who may act
in his place and stead at such meeting.
SECTION II.Such Executive Committee shall elect
one of its members as chairman and shall meet on call
of the chairman,who shall call such meeting by depositing
a notice in writing thereof in the United States Mail,
postage prepaid,not less than 4~hours prior to the
time of holding such meeting,which notice shallbe
addressed to each member of said Executive Committee at
his place of business or residence.
SECTION III.It shall be the duty of said Executive
Committee to consider matters involving the policy to be
followed by said County Sanitation Districts that may
be submitted to it by any County Sanitation District or
by any of the executive officers of the Joint Adxninis
trative Organization,and to advise the Board of Directors
of County Sanitation Districts Numbers One,Two,Three,
Five,Six,Seven,Eight and Eleven of the conclusions and
recommendations made by said Executive Committee.
IV.If three regular members of said Executive
Committee desire a meeting to be called and its chairman
does not call said meeting,said three members may call a
meeting of said Executive Committee by depositing a
notice in writing,signed by each of them,in the United
States Mail,postage prepaid,not less than 4~hours
prior to the time of holding such meeting,which notice
must be addressed to each member of said Executive
Committee at his place of business or his residence,which
notice shall specify the time and place of holding said
meeting.

V.The Secretary of the Joint Adntinistrative
Organization shall be and act as secretary of the
Executive Committee,and a majority of the Executive
Committee shall constitute a quorum,and shall be
competent to transact all business coming before it.
A duly appointed proxy,acting for a regular member,
shall be included in counting a quorum,and shall
have one vote in the place and stead of the regular
member whom he represents.A quorum being counted,
a majority of the members or proxies present shall be
sufficient to make any recommendations as hereinbefore
specified.
AYES:Directors Jack Greer,Vernon E.Langenbeck and
Willis H.Warner.
NOES:None.
ABSENT:None.
RE:APPROVING TAX On motion of Director Langenbeck,
RATE FOR FISCAL YEAR duly seconded and carried,the
195 0-1951 following Resolution No.29 was
adopted:
A RESOLUTION OF THE BOARD OF DIRECTORS
OF COUNTY SANITATION DISTRICT NUMBER
ELEVEN APPROVING,CONFIPJ~flNG AND FIXING
THE TAX RATE THEREIN FOR THE FISCAL YEAR
1950-1951 UPON TAXABLE REAL PROPERTY
WITHIN SAID DISTRICT.
The Board of Directors of County Sanitation District
Number Eleven does resolve as follows:
SECTION I.That,as the budget of County Sanitation
District Number Eleven has been fixed,the tax rate neces
sary to raise money for said budget to be levied upon all
the taxable real property in said district is approved,
confirmed and fixed as follows:
Operating Fund .....No Tax Rate Required
Bond Fund ........03a
SECTION II.The Auditor of the County of Orange is
hereby requested and directed to compute the amount to be
collected under said rate upon all the taxable real property

within said County Sanitation District Number Eleven,
and the Tax Collector is requested and directed to
collect said taxes from said property owners.

APPOINTMENT OF A motion was made,duly seconded and

Directors of County Sanitation District No.11.

Administrative Officer Nelson M.Launer,in accordance with
recommendation made at a meeting of the Chairmen of County Sani
tation District Boards Nos.1,2,3,5,6,7 and 11 on August
l~,1950,presented the following proposed Resolutions to County
Sanitation District Board No.11:
RESOLUTION NO.32
The Board of Directors of County Sanitation District
Number Eleven does resolve as follows:
SECTION I.The office of temporary Secretary
of County Sanitation District Number Eleven and of
the Board of Directors thereof is hereby declared
to be vacant,and Daniel H.Nelson is hereby relieved
and discharged from such office.
SECTION II.Ora Mae Merritt is hereby appointed
temporary Secretary of County Sanitation District Number
Eleven and of its Board of Directors,without salary
therefor.She shall perform such duties as may be re
quired of her by said Board of Directors of said County
Sanitation District.
RESOLUTION NO.35
The Board of Directors of County Sanitation District
Number Eleven does resolve as follows:

SECTION I.That the office of Temporary Secretary-
Controller of the Joint Administrative Organization be
and the same is hereby declared to be vacant,and Daniel
H.Nelson is hereby relieved and discharged from such
off ±ce.
SECTION II.Ora Mae Merritt is hereby appointed
temporary Secretary of the Joint Administrative Organ
ization and her salary is fixed at ~25O.OO per month,
to be apportioned between the various County Sanitation
Districts in the percentages heretofore established.She
shall perform such duties as such temporary Secretary of
the Joint Administrative Organization as may be required
of her by the Boards of Directors of the County Sanitation
Districts members of said Joint Administrative Organization
and by the Administrative Officer thereof.
RESOLUTION NO.37
The Board of Directors of’County Sanitation District Number
Eleven does resolve as follows:
SECTION I.That the classifications of temporary
account clerk,temporary senior account clerk and principal
account clerk be and the same are hereby established;that
the temporary account clerk shall receive ~l.OO per hour
for each hour worked,or ~8.OO per day for each eight-hour
day worked;and that the temporary senior account clerk
shall receive 4i~l.25 per hour for each hour worked,or 4~iO.OO
per day for each eight-hour day worked;and that the principal
account clerk shall receive 4~l.5O per hour for each hour worked,
or ~l2.OO per day for each eight-hour day worked.The tempor
ary Administrative Officer is hereby authorized to employ
competent persons to fill such temporary classifications
when such employment is made necessary by the business in
the Joint’Administrative Office.
The Board of Directors of County Sanitation District No.11
took no action on the proposed Resolutions Nos.32,35 and 37.
