MINUTES OF MEETING OF
BOARD OF DIRECTORS
COUNTY SANITATION DISTRICT NO.7
OF ORANGE COUNTY,CALIFORNIA
December 28,19)~9,at 8:00 P.M.
Board of Supervisors Room
The Board of Directors met in regular session.
There were present:Directors Vincent L.Huineston (Chairman),
Virgil H.Reed and Willard Smith;Attorney George Dennison and the
Secretary.Absent:Director Irvin George Gordon.
The joint meeting of the district boards was called to order by
Chairman Virgil Reed at 8:10 P.M.
The Secretary presented a certificate from the City Clerk of
Santa Ana stating that Mr.Virgil H.Reed had been appointed to rep
resent the City of Santa Ana on the District No.7 Board of Direct
ors.
A motion was made,duly seconded and carried,to approve the
Minutes of the adjourned meeting of October 20,l9L~9,as written.
The Secretary reported that there waä no quorum present at the meet
ings to have been held on October 26,November 9,November 23,
November 30 and December itt,19)4.9,only the Secretary being present.
The Secretary announced that a communication had been received
from the Buena Park Sanitary District whereby they have agreed to
sell to the county sanitation districts their proportionate share of
Section I of the Joint Outfall Sewer.

RE:APPROVAL OF On motion of Director Smith,duly seconded
VOUCHER DEMANDS and unanimously carried by board members
present,Voucher Demand No.65 (purchase
of office supplies)and Voucher Demands Nos.io6 to 112,inclusive,
(director’s compensation up to and including the November 9th meet
ing)were approved f or signature and payment.

RE:EMPLOYMENT OF Director Willis H.Warner,Chairman of the
ADMINISTRATIVE OFFICER Executive Committee of the joint district
boards,presented the report and recommen
dation of the Committee that Mr.Nelson M.Launer be employed as
Administrative Officer to work out the agreements necessary to get
the sanitation district project started.

~On motion of Director Smith,duly seconded and carried,it was
ordered that Nelson M.Launer be employed as Administrative Officer
of County Sanitation District No.7 along with County Sanitation
Districts Nos.1,2,3,5,6,8 and 11,parties to the Joint Admin
istrative Agreement;said employment to become effective as of
January 3,1950,at a monthly salary of ~7OO.OO;and said employment
to be contingent upon Mr.Launer obtaining leave of absence from his
present position with the Orange County Joint Outfall Sewer and de
voting his full time as Administrative Officer of the sanitation
districts.

RE:PAYMENT A motion was made,duly seconded and unan

RE:LEGAL COUNSEL On motion of Director Smith,duly see-
FOR WRIT OF MANDATE onded and carried,the following Resolu
PROCEEDINGS tion was adopted:
WHEREAS,an action has been filed in the Superior Court of the
State of California in and for the County of Orange,by TifE PEOPLE
OF CALIFORNIA,as plaintiffs,against COUNTY SANITATION DISTRICT NO.
1 of Orange County,California,and others,Including County Sanita
tion District No.7 of Orange County,California,Vincent L.Humeston,
Irvin George Gordon and Willard Smith as members of the Board of
Directors of County Sanitation District No.7 of Orange County,
California,and wherein and whereby plaintiff seeks a writ of mandate
to compel said defendants to enter Into certain agreements and to do
other things;and
WHEREAS,the Board of Directors of County Sanitation District
No.7 of Orange County,California,deem it necessary and advisable
that said County Sanitation District No.7 and said members of the
Board,of Directors thereof obtain legal advice with respect thereto
and be represented by legal counsel in said proceedings;and
WHEREAS,County Sanitation Districts Nos.5 and 6 and the mem
bers of the Boards of Directors thereof are codefendants In said
action,
NOW THEREFORE,be it resolved that George S.Dennison,attorney
at law,of Newport Beach,California,be and he hereby is retained
as legal counsel for County Sanitation District No.7 of Orange
County,California,and for Vincent L.Humeston,Irvin George Gordon
and Willard Smith,as members of the Board of Directors of County
Sanitation District No.7 of Orange County,California,arid f or any
and all other members of said board who may hereafter,as such board
members,become a party to that certain action pending in the Supe
rior Court of the State of California In and for the County of Orange,
entitled THE PEOPLE OF CALIFORNIA;Plaintiff,vs COUNTY SANITATION
DISTRICT No.1 of Orange County,California,and others,and being
Case No.S2821t.on the records of said Court,and in all proceedings
on appeal therein and in all matters incidental to said cause of
action;
Be it further resolved,that County Sanitation District No.7
of Orange County,California,pay to said George S.Dennison,as and
for said legal services in said proceeding one-third of the compen
sation the~’efor and which compensation Is hereby fixed as follows:
The sum of ~1OO.OO as a retainer.
The further sum of ~lO.OO per hour for services in the prepara
tion for the defense of said action,and all other matters in connec
tion therewith,excepting for actual court appearances therein;
And the further sum of ~lOO.OO per day for court appearances in,
or In connection with,said proceedings.

RE:APPROVAL OF On motion of Director Smith,duly seconded

present,Voucher Demand No.118 (legal
services for November)was approved for signature arid payment.
The Chairman declared the District No.7 Board meeting adjourned
at 9:10 P.M.
