JOINT BOARDS OF DIRECTORS SPECIAL MEETING APRIL 12, 1995 Agenda Item (7): Consideration of Resolution No. 95-32 authorizing a short-term loan to the Garden Grove Sanitary District to prevent their loan default which could harm all borrowing entities In the County Summary: One of our member agencies, the Garden Grove Sanitary District, has a $5.4 million debt service payment due May 1, 1995. Director Swan proposed to the Finance and Personnel Committee that the Districts loan the Sanitary District the funds for a short tern to prevent a default which could harm all the borrowing entities in the County, including us. The short-term loan would be secured by first rights to any proceeds from the Orange County Investment Pool and a loan to the Sanitary Districts from Bank of America. A 77% withdrawal from the OCIP would provide approximately $4.2 million for the Sanitary District to repay a short-term loan. After a presentation to the Joint Boards on March 29, 1995 by Director George Brown, Finance and Personnel Committee Chairman, the Directors voted to approve a loan to the Sanitary District in concept. They directed staff to return to the April 12, 1995, Special Meeting with a resolution for consideration. Enclosed are the original staff report and General Counsel's memo considered at the March 29, 1995 meeting, and a draft Summary of Terms and Conditions for the proposed loan called "Refunding Obligations" by the Sanitary District. Staff Recommendation That the Joint Boards approve Resolution No. 95-32 authorizing a short-term loan to the Garden Grove Sanitary District to enable them to make a May 1, 1995 debt service payment. �/ r�awnu�wues Summary of Terms and Conditions of Refunding Obligations 1. Amount and $5,363,640.63 Dated Date: May 1, 1995 2. Due Date: (a) In whole on December 1, 1995, or (b) earlier in whole or in pan, upon GGSD receipt of repayment monies from the County or refinancing proceeds from the sale of additional refunding obligations. 3. Interest Rate: Payable on the 1st day of each month. Determined monthly at a rate equal to the published rate of return of the State's Local Agency Investment Fund ("LAIF") computed for actual days elapsed. Rate for partial month shall be based on most recent rate for which information is available. 4. Covenants: (A) GGSD to exercise best efforts to refinance shortfall between first substantial County payout and principal amount ("Shortfall") `.r as soon as possible upon receipt of first substantial County payout. (B) GGSD to apply all payments from County in respect of GGSD's deposits in County's lnvesanent Fund(s) to repayment of the Refunding Obligations until paid in full, with interest. (C) GGSD to maintain rates at a level sufficient to amortize anticipated County shortfall of $1,300,000 on a level debt service basis for a given term and the actual interest rate, after payment of all normal operating expenses of GGSD; and (D) GGSD to incur no other indebtedness, other than short term obligations entered into in the ordinary course of business, while Refunding Obligations remain outstanding without prior written consent of Districts. 5. Prepayment: (A) Optional: At any time, in whole or in part, upon 48 hours notice, at the option of GGSD, with accrued interest to prepayment date, without premium. The Committee directed staff to continue to evaluate the legality and feasibility of a short-term loan to Garden Grove Sanitary District and to return to the April 12 y� Committee meeting with a report. Timely final approval of a loan was expected to require a special Board meeting. In the meantime, a special Joint Board meeting has been called to review OCIP matters. Proposal General Counsel has reviewed the statutes and codes and has determined that it would be legal for one or more County Sanitation Districts to loan funds to the Garden Grove Sanitary District for its public purpose. Staff and General Counsel have agreed that it is significantly simpler and less costly for only one District to make the loan. The proposal discussed by the Finance and Personnel Committee would result in a $5.4 million loan to the Sanitary District until their OCIP distribution. There are two scenarios for this. The Sanitary District has filed with Judge Ryan a petition for an immediate release of 77% of their deposit, or approximately $4.2 million. The fallback position is that the Sanitary District would be paid out of the OCIP with the rest of the depositors, estimated to be in June 1995. This loan would earn interest in an amount similar to that which would have been earned if the District had invested the funds. Loan to Garden Grove Sanitary District Page 2 ..d March 29, 1995 The remainder of the Sanitation District loan to the Sanitary District, approximately $1.2 million, would be repaid to the District from proceeds of a new loan to the Sanitary District from the Bank of America. Thus, within three to six months, the Sanitation District would be completely repaid with interest. The Finance and Personnel Committee recommended that this proposal be considered. Alternative Between the Committee meeting and now, Director Sheldon Singer from the Sanitary District has proposed an alternative. This proposal eliminates the need for the Sanitary District to borrow from the Bank of America. Instead, the Sanitation District would carry a five-year loan for approximately $1.2 million due from the Sanitary District. The Sanitation Districts can legally execute a five-year note. We are attempting to get a legal opinion from Garden Grove Sanitary District that it can legally issue such a note. Several points would need to be clarified or established before entering such an agreement, including the ability of the Sanitary District to repay the loan, revenue coverage ratios, adequate sewer use rates, and status with LAFCO.
