MEMORANDUM
To: Board of Directors
County Sanitation District No. 8

Re: Proposed Dissolution
As you are aware, during the course of the past many
months, it has been proposed to you that District No. 8 be
dissolved for the reason that it no longer serves ~ny func-
tion and especially in recognition of the evolvement of
the Aliso Water Management Agency, the prospects of any
future need· for District 8 would appear to be nonexistent.
Additionally, the District presently has only a few hundred
dollars cash revenue remaining, and no business has been
transacted over the past few years. The Board of Directors
of South Coast County Water· District and the City Council
of the City of Laguna ~each have both now indicated their
concurrence with proceeding forward with the dissolution
proceedings, and this memorandum is designed to provide to
you a summary outline of the procedures that will be
necessary. It is anticipated that we should call a special
meeting of the District 8 Board of Directors at the earliest
possible moment in order to have the first resolution adopted
and to commence proceedings. While it is not probable that
this can be completed prior to June 30, that is still a
possibility if there are no major problems encountered at
LAFC.
. The following sequence will be the order of procedures
necessary to be complied with:
1. A Resolution of Application is approved by the District
8 Board of Directors. This Resolution sets forth the nature
of the proposed change--namely, dissolution and the reasons
therefor (Government Code Section 56195 and Section 56140).

2. Upon adoption of the Resolution of Application, a
Clerk will file that Resolution with the Executive Officer
at LAFC.
3. LAFC Executive Officer brings it to the Commission
for setting for hearing not more than 90 days thereafter
(G.C. §56262). (The LAFC may proceed without referring it
to a reorganization commission and may provide for a public
hearing, although we would urge that none be scheduled as
no interest has ever been expressed.)
4·. LAFC publishes Notice of Hearing 15 days in advance
(G.C. §§56264-56265).
5. LAFC adopts its Resolution making determinations,
approving or disapproving the request for dissolution
(G.C. §56270).
6. If approved by LAFC, it is submitted to the County
Board of Supervisors for initiation of proceedings within
35 days (G.C. §§56291-56292).
7. The Board of Supervisors must adopt the Resolution
Initiati~g Proceedings (G.C. §56360)·.
8. Within 30 days after the hearing by the Board of
Supervisors, they shall adopt their Resolution which either
approves or disapproves the proposed dissolution, and with
or without an·election (G.C. §56366).
9. If the Board orders the dissolution without election,
the Clerk of the Board sends to the Executive Officer of LAFC
a copy of said Resolution. The Executive Officer will review
it and determine whether the action of the Board complies with
the recommendation of LAFC. If so, he will issue a· certificate
of compliance, and immediately return it to the Clerk of the
Board.
10. The Clerk of the Board will file immediately thereafter
a Certificate of Completion with the Secretary of State, who in
turn, executes a Certificate of Filing. Upon its return, it is
sent to the County Recorder for recording and the dissolution
is complete ·and effective (G.C. §§56450-56451-56452).

Based upon all of the information, there is no doubt in
my mind that the conditions to order a dissolution without
election can be satisfied, in that the District has not
exercised its corporate powers in so many years, and has
only cash as an asset on hand. I would therefore anticipate
that both LAFC and the Board of Supervisors, will proceed
without noticed public hearings and elections, and ~he matter
can be expedited.
Mr. Sylvester, the Secretary to the District Board will
be contacting you within.the next few days to arrange for
the hearing of District 8 Board.

RESOLUTION OF APPLICATION OF THE BOARD OF·
DIRECTORS ON COUNTY SANITATION DISTRICT
No. 8 OF ORANGE COUNTY FOR THE DISSOLUTION
OF SAID DISTRICT
The Board of Directors of County Sanitation District No. 8
does resolve and find as follows:
WHEREAS, County Sanitation District No. 8 was formed by
the Orange County Board of Supervisors on January 3, 1948; and
WHEREAS, said District has been inactive and inoperative
since its formation; and
WHEREAS, the only monies ever expended by said District
were to pay for the Board of Directors per diem meetings compen-
sation, a small amount of legal fees and Six Hundred Dollars
per year to the Districts' Join Administrative organization; and
WHEREAS, the service area of District No. 8 is presently
served by the South Coast County Water District and the Aliso
l-~ater Management Agency, and is in no need, either now or in
the future, of the service of District ~o. 8; and
WHEREAS, District No. 8 is entirely within Oranqe County
and encompasses the City of Laguna Beach and includes some
unincorporated area of the county and is more fully described
by the resolution of the Board of Supervisors of January 31, 1948
forming County Sanitation District No. 8 and recorded in the
Official Records of Orange County by the County Recorder at Book
1628, Pages 200 and 201, a copy of which is attached hereto
as Exhibit "A" incorporated herein by this reference; and
WHEREAS, it has been found by the Board of Directors of
District No. 8 that dissolution of said district shall have no
environmental impacts; and
WHEREAS, the Board of Directors have aecided to dissolve
District No. 8 and proceed in the manner provided by the District
Reorganization Act as set out at Title 6, Division 1, Section
l 56000 et seq. of the California Government Code.
2 NOW, THEREFORE, it is ordered that:
3 1. The findings set forth hereinabove are true and
4 correct.
o 2. A Negative Declaration be filed with respect to this
6 action and inconforrnance with the requirements of CEQA.
7 3. T'his resolution be presented to the Local Agency
8 Formation Commission as a Resolution of Application pursuant
9 to California Government Code Section 56195 for Consideration
10 of the Local Agency Formation Commission at its June 14, 197B,
11 meeting.
12 4. This proposal is made pursuant to the District Reorgan-
13 ization Act as set out at Title 6, Division 1, Sections 56000
14 et seq. of the ~overnment Code for the dissolution of
15 District No. 8 and is made without condition.
16 PASSED AND ADOPTED at a special meeting of the Board of
17 Directors of County Sanitation District No. 8 held in the
18 City of , California on the 24th day of May,

County Sanitation Districts Nos. 1, 2, 3, 5, 6, 7 and 11 were formed in
the l ate 1940 's an d have been fully operative since the ear l y 1950 's. Th ey
per form t h e function of regional collection of sewage from the lo cal e nt ities
(citi es an d sanitary district s) and treating a nd disposing of the wastewater .
TI1e seven Districts h ave en t ered into a j oint powers agr ee me nt for construction
an d op e ration of the joi ntly-owned tre a tment and di s posal facilities l ocated
in Fountain Valley and Huntington Beach , serving a p opu l a tion of approxima tely
1.6 million in the northwes t ern me tropolitan area of the county .
Di s trict No. 8 was formed at the same time as th e Joint Districts to
s erve the City of Laguna Beach and the South Lagun a Sanit ary District (the
Sanitary Dist r ict h as since been superseded by t h e South Co as t County Wa ter
Di strict ). District No . 8, however, has n ever become operab l e in asmuch as
sew age treatment and dispo sal se rvi ces h ave been provided to thos e conunu ni ties
by the City an d Water District. In recent ye ars the Aliso Wast ewater Ma nageme nt
Ag ency (AWMA) h as bee n form e d to provide r egion al wa s t ewat e r tre a tment di spos al
in the Lagun a /Moulton Niguel vicinity and th e City and Water District a.re
membe rs of that joint p owers agency. Since AWMA will app arently provide those
services t h at migh t oth e rwise have been the respons ibility of District No. 8,
