Warrant lists are not attached to the agenda since they are made up immediately preceding the meeting, but will appear in the supplemental agenda available at the meeting .· Joint Boards No . 9-a -Approval of Plans and Specifications for Digester Cl eaning Equipment . At the present time , we have 23 digesters, with 2 more und e r construction. Since each digester is cleaned periodically ev e ry three to five years, our crews are continual ly seeking n e w methods to speed up digester cleaning and at the same time , reduce costs . For the past several months; we have been experimenting with a large hydroscreen (42 11 x 72") to remove the solids which are pumped f rom the digester s in the cleaning process . We have been pleased with the resul ts . The hydroscreen gives us an efficient dewatering method for easier handling of t h e solids . In addition, the screens have successfully handled the solids removal of the di gester over - flows (supernatant). The staff has prepared plans and specifica- tions for the purchase of four stainless ·steel hydroscreens (42 " x 72") for an estimated .cost of $86,000 . Bids will b e rec eived September 23, with equipment ·purchase award scheduled for the October 1st Board meeting. The funds are budgeted in the Capital Outlay Revolving Fund under sludge solids handling equipment . ·No. 9 -b -Engineering Services for Brookhurst Stree~ Improve- ments at Pl a nt No . 2 . Pursuant to the Boards ' instruction , the staff has solicited p r oposals from fo u r engineerin g firms for improv i n g Brookhurst Street to i ts ultimate widt h. The staff rec e iv ed four proposals, ranging from $5,500 plus surveying to $17 ,250 . The construction r costs have be e n estimat e d tQ be $2 00,000. Th e staff does not r e c o mmend accept ance of the propo sal of Shelton and Associates for $5 ,5 00 plus the surveying at the rate of $65 per hour, as it has been dete r mined that t h e fixed fee for the contract plans plu s the construction surveying wou l d exceed a proposal of not more ·than $7 ,500 submit ted by Clifford A . Forkert . Therefore, it is th e staff's recommendation that Mr. Forkert's p roposa l be accepted for the mi s ce llaneo us stree t improv ements at Treatment Plant No . 2 on a per d i em basis not to exceed $7 ,500 , as the lowe st and best bid . No . 9 -c -Engineering Ser vices for Foul Air Scrubber at Treatment Plant No . 2. The staff has discussed en gineering services for foul air treatment at Plant No . 2 with several engi neering firms in Orange County and Lo s Angeles who specialize in de signing systems for the t reatment of odors and foul air . .Four f irms were seriously considered: Jack L. Bryant Asso c iates, Long Beach; Ho l mes and Narver, Anaheim and Los Angeles ; Hugh Ca~ter Engineering Corporation , Garden Grove and La Jolla; and Creative Design , Anaheim . It was determined that Hugh Carter Engine~ring Corporation could best se~ve the Districts because of their fami li arity with similar odor p robl ems . The firm has recently comp l eted extensive design ·studies and ha s .prepared plans and specific ation s for the Fairview State Hospital air treatment system. In addition , Hugh Carter has successfully completed similar projects for the Veterans Hospital in Long Beach and the University of San Diego . The District has provided $150 ,000 in the current bu~get for the construction of a foul air scrubber for the treatment of odors and foul air emanating from th e Headworks "C" s tructure at Plant No . 2. 'l'herefore, the staff recommends ·that Hugh Carter Engineering Corporation be retained t o design a foul air treatment system for Headworks 11 c11 and to recommend modifications to the existing Headworks ducting system , in accordance with their proposal for a lump sum f i gu re of $7 ,50 0. No . 9 -d -Negotiations for Purchase o f Equipment fr om the Bird Machine Company. During t he ·past several months, we h ave conducted some experi- ments on one of the Pl ant No . 2 centrifuges hoping to obtain a · thicker centrifuge cake and better solids removal . Two different approaches were taken . Firs~, Digester overflow was thickened and fed to the centrifuge and second , hi gh feed rates were tried wi th new polymer feed points. The lowest polymer dose was reach ed by using an externa lly mounted weir (bowl h ead skimmer). This device was installed on a centrifuge for evalu ation purposes . The machine with the attached skimmer gave better r es u lts than the stand ard -2 - ' , machines by ~ to 1 pound of poiymef per ton . This means a potential savings of $34 to $82 per day per machine . Since the b owl -head skimmers cost $5,000 each , the staff is recommendin g p u rchase of three more skimmers . In additi o n, we would like authority to negotiate with the centrifuge manufacturer , Bird Machine Company, for the purchase of two complete rotating elements to fit the Di stric ts ' e xis ting four 36 11 x 96" Bird centrifuges. At the pres ent time, when the r otating elements are being reconditio ned , a machine is out of service for 45 -60 days . If we had complete rotating element re- plac eme nt units, the down time would be 2-4 days . It is therefore r ecommended that the Board authorize the staff to negotiate with the Bird Machine Company for the purchase of these elements and the bowl-head skimmers . When th e negotiations are completed , the terms and conditions of purchase will be submitted to the Boards for their consideration . No. 9 -e -Public Participation Workshop Meet in gs for Env i ron- menta l Impact Statement/Environmental Impact Report for Districts ' Facilities Plan . The Environmental Protection Agency is jointly preparing an Envirom1ental Impact Statement and Report under the National Environme ntal Policy Act of 1969 with our Dist ricts which will eva luate the primary and secondary impac ts of our agency's proposed Facilities Plan "($275-$300 million) to meet State and Federal waste discharge requirements. In conjunction with this e ffort, EPA is requiring that widely publicized workshops be held to obtain ma ximum input from local citi zen s . Re: EPA Memorandum of Understanding Received 4-28 -75 "At key points in preparation of th e draft Environmental Impact Statement (e special ly during the early stages), the grantee will b e re sponsible for organizing and conducting public workshops to foster public familiarity with and input to the Facilities Plan/Environ- mental Impac t Stat ement processes ." After two me etings with EP A and State representatives and n umerous telephone conversations , the Districts ' staff submitted the followin g plan to solicit the maximum public participat i o n for five proposed public workshop sessions to be held September 22-29: -3- ,. (1 ) Speaking engagements by staff personnel at service c l ub meetings. (2) Free public service announcements through r adio and television (3) Invitational brochures ma i led t o approximate l y 7 500 interested individuals, organizations and agencies des ~ribing the purpose of the workshop sessions ·and inviting participation (4) Adver ti sements in the Los Ange l es Times to run o n the morriing s of two of the f i ve workshop sessions (circulation 165,000) (5) An 8 -page Sunday supplement to be inserted in the Santa Ana Reg~s ter on September 21 (circula- tion 200 ,000) The Construction Grants Division of· the State Water Resources Control Board has authorized us to subcontract for the public he ar ing portion of the Environmental Impact Statement up to $25 ,0 00 , and EPA has approved the staff-submitted p~blic worksho p budget totaling $23,585 .25 . Scholl and Company was highly recommended by the Los Angeles .County Sanitation Districts ' personnel who successfully completed the .public workshop phase of their Environmental Impact Statement preparation during this past month. In the ca se of the Los Angeles County Sanit atio n Districts , their budget for this particular effort exce e ded $50 ,000 . Th e thinking in EPA is that because of t h e size of the construction projects ($275 -$30 0 mil l ion in our case), a great deal of time and effort must be expend ed to make the publi c aware and involved in the decision-making processes. It is the staf f 's recommendation that the services of Scholl and Company be a u thorized in connection wi th the public partici- pation wor~shops. · No. 9-f ,g ,h -Claims f or Alleged Injuri es . We h ave received three claims f or alleged injurie s to contractor employe es in connection with the cons t ruction of the 46 mgd activated sludge treatment plant at Plant No . 1 (Job No . Pl-16). The General Counsel recommends that the claims be denied and refe rr ed to the Districts ' contractor and ou r liabili ty insuran ce carrier for appropriate ac t ion . District No . 2 No . 9-i -Substitution of S ubcontractor, Contract No . 2-15 . Th e contractor for the Yorba Linda Pump Station, Contract No . 2-15 , has requested substitution of the landscape c ont ract or pursuant to the prov isions of Section 11107 of the Government Code . Th e subcontractor named in the or~ginal bid documents has declin ed to sign a contract with t he District 's contractor and has released our contractor . The action appearing on the agenda is recommended by the staff . No . 9-j -Approving Addendum No . 2 to Contract No . 2 -1 ~-4. Th is adde n dum was issued afte r the original plans and specifi - cations were released f or bidding purposes . The addendum included c ertain State and Federal requirements which were not received by the Di stricts unti l the p l ans were released and the add endum als J in cl u des clarifications of requirements by the County .and the Ci~y -5- of Anaheim as i t affects Yorba Regiona l Park, Featherly County Par k and interference s with the existing Metrop o litan Water District's line . The addendum also included ri g h t of way clarification s which, the stafr feel s , have resul ted in con- siderable saving s in the final bid proposals r ece ived . District No . 3 No . 9 -k,l No . 3-21-1 . Perm a ~e nt and Temporary Easements for Cont ract The actions appe a ring on the agenda authorize acce p tance of permanent a nd temporary g r ants of easements from the Fred H. Bixby Ra nc h Com pany in connection with construction of the West .Relief Intercep tor, Cont ract No. 3 -2 1-1. The staff recommends acceptanc e _of the easements at no cost to the District. No. 9-m -Temp orary Bypass ot Westminster Avenue Interceptor Sew er Siphon. In January , the Bo ard approv ed a Utility Relo c at ion Agreement with the Orange Cpunty Flood Control Dis tric t for the p urpose o f relocating the District's sewer siphon i n Westmin ster Avenue at the crossing of the Anaheim-Barber Flood Control Channel. The n ecessary plans and speci fic ations for the siphon relocati o n were includea in the Flood Co ntrol District ;s con tract for a maximum co s t to our Di strict of $60 ,500 . The Flood Control District con - tractor h as e ncounter ed s ome pr o b lems relative t o bypassing the existing f l ow i n the District 's sewer i n tha t the Distri ct 's e xist- i ng f aci l ities were n ot correctly shown i n the contractor's p lans . There for e , the Flood Contro l District c o ntrac tor h as asked for an addition a l $9 ,5 00 to accompl i sh the byp ass ing . Ou r District h as received a firm .b id from another contractor , F . T. Ziebarth and Company to ac complish the bypassing for $7 ,4 00 . The staff has estimat ed the District, using its own forces , could accomplish it for approximately $7,000 , but it wou l d be n ecessary fo r u s to pull off of some other important work; therefore , the General Manage r direct ed the fir m of F . T . Ziebarth and Company to inst all the t empor ary bypass t o avoid delayin g the Flood Contro l Distri ct contractor in the sewer siphon r~construction . We h ave been ad vi~ed by the Flood Control District that part o r a ll of our costs will be recov e r ed from . t heir contract or. The act ion appearing in the agenda r atif ies the action of the Gene ral Manager directing Zie b ar t h to proceed. No . 9-n,o -Chang e Orders Nos . 15 and 16 to Contract No. 3 -1 8 . . Change Order No. 15 makes the fin a l adjustme nt of the e n gin eer 's quantities based on· the actual quantities installed . This adds $5,300 t o the contract . Change Order No . 1 6 provides fo r addit~onal bedding grave l r eq uired at the int erse c tion of Edwards and Westminster -6- r I Avenues due to poor soil cond i tions. The price per cubic yard was established in the original contract documents. In addition, an extension of contract time of 83 days is recommended. This contract is essentially complete and we expect to close it out at the October 1st Joint Board meeting . District No. 5 • No. 9-p -Status Repor t on Coast Highway Bay Bridge Recon- struction. Included in the agenda material is a brief staff report relative to the proposed Coast Highway Bay Bridge Reconstruction. Dis t rict No .. 7 No. 9-q,r -Change Orders 1 and 2 to Contract No. 7-6-6. Change Order No . 1 in the amount of.$3,219.50 is recomm ended for the items described in the cha n ge order, which were not a part of the ori~inal contract specificat~ons. In addition, the change order authorizes an extension of contract time of 30 days for delays encountered by th~ District in obtaining the necessary right s of way . Chan ge Order No. 2 adjusts the engineer 's quantities to the actual measured units of install ed facilities. This project is essentially complete and we expect to s ubmit the necessary documents for final closeout at the Joint Board meeting October 1st. No . 9-s -Reque-st for Annexation . The District has received a request from the South Coast-Pacific Corporation and~~. Ra l ph Anderson to annex approxima tely 6.9 acr e s to the District in the vicinity of Sant iago Boulevard between Lomita Avenue and Hewes Street . It is r ·ecommended that the matter te re - ferred to the staff for study and recommendation. All Districts No. 11 -Commission Rep r esent ation on So uthern California Coastal Water Research Project (SCCWRP). The terms of the Districts ' SCCWRP Commission member and alternate have expired and it will be necessary for the Boards to take action con ce rnin g representation. REMINDER: Chairman Winn has asked that re sumes from Direc ';ors interes ted in serving on the SCCWRP Commission be sent to him p :·ior to Wednesday 's meeting. -7- No . 12 -Engineering Proposals for Evaluation· of District Sewer Systems. The State and Federal guidelines for the preparation of the Di stricts ' $3.5 million Facilities Plan must evaluate the individual Dist~ict trunk sewer facilities as well as the local sewer systems served by the Sanitation Districts ' facilities. Since the indi - v i dual Districts consulting engineers are completely familiar with these systems, we have requested engineering proposal s from them to complete the work oJtlined by the State and EPA. The fees that are set forth in these engineering proposals are eligible for State and Federal participation (87~%). The completed reports will be incorporated in the Districts' Facilities Plan. No. 13 -Proposed Ordinance Establishing Regulations for Use of District Sewerage Facilities . Enclosed with the agenda material is a new draft of the Districts ' proposed industri a l waste ordinance dated September 10, 1975, establishing a source control program for toxic materials and charges for use of the sewerage system. The yellow colored pages indicate the proposed changes within the ordinance from the May 29 draft which was the last ordinarrce document considered by the Boar~s . The changes are indicated in italics, with any deletions· struck out. The action appearing on the agenda establishes the dates for public comment . The first reading of the ordinance wil l be at an adjourned Joint Board meeting October 29th and the second reading has been established as November 12th . The staff wil l review the proposed changes as recommended by the special committee of Directors. I f the action appearing on the agenda is approved, we wi l l then mail t h e proposed ordinance and hearing notice to all interested persons fo r official comment . , -8- r No .· 14 -Executive Session. We have begun employer-employee meet -and -confer sessions with the Employees Association representatives rel ative to salaries and benefits. The staff wi l l report in execut ive session on the status of ~hes e matters. No . 1 6 -Revision of Guidelines for Employe e Rel at i ons . The General Counsel has prepared Resolution No . 75-127 ·to u pdate the Districts' employee r e lations guidelines . Most of the changes are minor and eliminate redundant verbage to mak.e the guidelines mo r e readable . The most signif icant revision· c l arifies the manner in which the Districts will recognize employee organizations. The General Counsel has reviewed this with the Employees Association representative and recommends adoption of the resolution . No . 17 -Adjournments for All Districts . As p r evious l y authorized , all Distric ts will adjourn to October 1st: This meeting will be in lieu of a regular meeting on October 8th . The Boards wil l then mee,t jointly on October 29th for public hearings on the Districts' proposed Indu strial Waste Ordinance. · ·· District No. 2 · No . 30 -Status Rep o rt on Right of Way Acquis ition for the Santa Ana River Interceptor from Imperial Highway to the County Line .· The General Counsel will report on the progress to date relative to right of way acquisition . No . 31 -Santa Ana River Interceptor Se wer , Contract No . 2-14-3. On August 13 ,.the Board adopted Resolution No . 7 5-112-2, awarding Contract No . 2-1 4 -3 to John A. Artukovich Sane, Inc ., subject to approval from the State Water Resources Contr o l Bo a rd . Yesterday , we were advised by telephone that because certain EPA and State re - quired conditions were not included in the plans and specification s prior to bidding, that the State Board staff will not approve the award of Contract No. 2-14-3, and that the project plans and speci- fications must be revised to include the specified conditions and the project rebid . The actions appearing in the agenda rec e ives . and fil es the forthcomin g lett e r disapproving award of the contract, r escinds the contract award to John A. Artukovich Sons, Inc., and adopts Resolution No . 75 -130-2 approving the revised plans and specifications and authorizing establishment of a bid d a te upon r eceipt cif approvals from the State Board . -9- District No. 2 No. 32 -Santa Ana River Interceptor, Contract No . 2 -1 4 -4 . With r egard t o the bid documents for Contract No . 2 -14 -4 , we have been advised by the State Board staff that two segments of Contract No . 2 -14 -4 relative to manhole cov ers and frames and manhole shafts to be supp l ied for the project must be rebid . The Distri ct specifications failed to name two or mo r e s up plier s or approved equals i n the bid documents . The two ac ti ons appearing on t he agenda approve plans and specifi cations for bidding of the manhole covers and frames and the manhole shafts to be supplied for Contract No . 2 -14-4. Upon rec eipt of the approval to bid by the State Board staff, we wil l establish a bid date , hopefu lly prior to October 1 st to enable the Board to award the material contracts in add itio n t o·the main constructi on contract. As described in the report done by w. H. Fox, the Districts' Operations Engineer, on thickened feed and alternate polymer feed points, the equipment needs are twofold. One requirement is to add externally adjustable bowl-head skimmers to three centrifuges, the use of which could have a potential of saving $34 to $82 per day in polymer costs, plus the benefit of a slightly dryer sludge cake. The other requirement is to procure two complete rotating elements (which will fit the existing four centrifuges) to facilitate· repairs while continu_ing the· program of sludge dewatering on a continuous basis. District forces would be available but with manpower problems. Therefore I recommend F. T. Ziebarth & Co. to perform the work. Part or all of our cost will be recovered after negotiations with the Flood Control District's contractor. It does appear at this time that the final alignment which may be adopted will not necessitate any, or·very little, modification to the District's force main, valve boxes or pumping station. The alignment should be finalized by mid-October, with the final Environmental Impact Statement being approved by the Federal Government in April or May. It is contem- plated at this time that the work will be advertised in September, 1977, with construction commencing shortly thereafter. The contract is proposed to extend for a period from twelve to fifteen months. The staff is hopeful at this time that the $100,000 which has been set forth in the District's five-year cash flow projections will not be required, but only the final review of the approved alignment will determine this .. Sub-drainage areas are to be delineated on the District's maps, and also an assessment presented of how the District's sewers should be operated to comply with the intent of the Master Plans. We already have a great deal of the basic information that will be needed for the Facilities Plan as the result of our work on the previous Master Plan studies. However, this in- formation will require updating to take into account the latest land use policies of the affected cities in the County of Orange. It will be necessary to meet and obtain the latest information from the engineering and planning staffs of the Cities of Fountain Valley, Garden Grove, Santa Ana, Orange, Villa Park, Anaheim, Brea, Placentia, La Habra, and Yorba Linda. The trunk sewer system as delineated in the 1971 Master Plan has been constructed basically in accordance with that plan with a few minor deviations. Drainage areas and flow patterns can be updated as required. One of the major pro- jects as presented in the District 1 s !1aster Plan and also the Basin Plan of the Regional Water Quality Control Board, Santa Ana Region, is a water reclamation plant in the Anaheim area, adjacent to .the Santa Ana River. It is pro- posed that a re-evaluation of this project as it relates to the needs of the District be made as part of this study. rt is proposed to accomplish this work for a fixed fee of $4,350.00. The disclosure of these violations has resulted in a more thorough field investigation of construction procedures of grant funded projects. Both the Environmental Protection Agency and State grant review teams have inspected our procedures on the $30 million 46-MGD Activated Sludge Additions at Plant No. 1. The "construction management concept" we have developed, integrating our staff, the staff of John Carollo Engineers along with Hoagland Engineering and Construction Company has brought their praise. Presently the staff is developing a procedure manual whereby this concept can be implemented by other agencies. This concept has defined the relationship between the owner and the consultant, and utilizes the expertise of a person (or firm) knowledgeable in construction practices. 'fhe basic elements are: 1. Job control by owner .. 2. R~view of procedures by consultant to insure conformance with plans and specifications. 3. Utilization. of trained personnel in construction practices. 4. Procedures for processing a. Change Orders b. Equal Employment Opportunity Form 66 c. Shop Drawings This concept does have good ''check and balance" procedures, assists the contractor in the execution of the work, as well as good bookkeeping procedures to process all the volumes of paperwork required on a grant funded project. It is interesting to note that in the last five years, the Districts have engaged in a very extensive building program for both trunk sewer extensions as well as treatment plant expansions. During oave-in cleanup operation~ a rented crane travelling to the site under the Garden Grove Freeway poked a hole in the freeway's false ceiling with its unlowered gantry~ Only minor damage resulted, and no injury to personnel or disruption of traffic on the freeway. Repairs will be completed by the time the Board meets. The 800' section of operating area on Goldenwest Street south of Garden Grove Blvd. will be completed and paved by the first week in September. Received and settled complaints from merchants in the shopping center that the contractor was blocking driveway access ways into the business parking lot. The pro'blem consisted of temporary ·parking of cement trucks in one driveway during pouring operations for a manhole. A second dri.veway was blocked by storing pipe lengths in its path, a move done purposely by the contractor to keep traffic from ~ntering hauling truck traffic flow approach- ing and leaving the backhoe. He was· instructed to use temporary barriers for this purpose so the merchants would not conclude the driveway was to be blocked for any length of time and to facilitate opening the way when the backhoe.was not in operation. As you are aware, this resolution is a revision of Resolution Nos. 69-99 and 71-4. · The purpose of the new resolu- tion is to update the provisions to more directly coincide with the existing law and case decisions which have been rendered to interpret the provisions of the Meyers-Milias-Brown Act. (C) EMPLOYEE, CONFIDENTIAL --means any employee who, in the regular course of his duties, has access to, -1- .. or possesses information re.lating to, decisions of the Districts' management, affecting employer- employee relations. (D) EMPLOYEE, MANAGEMENT means any employee who formulates, determines, or administers management policies and programs including, but not limited to, all employees listed in Exhibit A, attached hereto. (E) EMPLOYEE, PROFESSIONAL --means any employee engaged in work requiring scientific or specialized knowledge or skills attained through a recognized course of study and instruction. (F) EMPLOYEE, SUPERVISORY --means any employee having authority to hire, transfer, suspend, lay off, recall, promote, discharge, assign, reward, or discipline other employees, or responsihi_lity to direct them, or to adjust their grievances, or effectively to recommend such action, if in connection with the foregoing the exercise of such authority is not of a merely routine or clerical nature, but requires the use of independent judgment, including, but not limited to, all employees listed on Exhibit B, attached hereto. (G) EMPLOYEE ORGANIZATION means any organization which includes employees of the Districts and which has as otle of its primary purposes representing such employees in their employer-err.ployee relations. (H) EMPLOYER-EMPLOYEE RELATIONS --means the relation- ship between the Districts and its employees or their employee organizations concerning wages, hours, and other terms and conditions of employment. (I) IMPASSE --means a deadlock in the discussions between a recognized employee organization and the Districts over any matter concerning, which they are -2- ' . required to meet and confer in good faith, or over the scope of such subject matter.· (J) MEDIATION means the effort of an impartial third person functioning as an intermediary, to assist the parties in reaching a voluntary resolution to an impasse, through interpretation, suggestion and advice. (K) MEET AND CONFER IN GOOD FAITH --means the perfor- mance by Districts, or its duly authorized represen- tatives, and representatives of recognized employee organizations of their mutual obligation to meet and confer in order to exchange freely information, opinions, and proposals, and to endeavor to reach agreement on matters within the scope of represen- tation. This does not compel either party to agree to a proposal or to make a concession. (L) RECOGNITION --means acknowledgement by the Districts General Manager that an employee organization is the exclusive representative of all the employees in an appropriate unit, except employees in such unit who have elected to represent themselves. (M) RECOGNIZED EMPLOYEE ORGANIZATION --means an employee organization which has been granted recognition by the Districts General Manager and the employee or- ganization which has the right to meet and confer in good faith as the exclusive organizational represen- tative of all members of an appropriate unit except those members in such unit who elect to represent themselves. (N) SCOPE OF REPRESENTATION --means all matters relating to employment conditions and employer-employee re- lations, including, but not limited to, wages, hours and other terms and conditions of employment. Districts' rights, as defined in Section 5 herein, -3- are excluded from the scope of representation. SECTION 4. EMPLOYEE RIGHTS (A) Employees have the right to form, join and participate in the activities of employee organizations of their own choosing for the purpose of representation on all matters of employee relations. (B) Employees have the right to refrain from joining or participating in the activities of employee organi- zations. (C) Employees hav~ the right at any time to represent themselves individually in their employee relations. (D) Neither the Districts, nor any employee organization, nor any employee, shall inter.fere with, intimidate, restrain, coerce, or discriminate against any employee or employees because of the rights guaranteed here- under. ·(E) Managerial and confidential employees who are members of a recognized employee organization which represents employees who are not managerial or confidential employees shall not: (1). represent the employee organization on matters within the scope of representation, or (2) serve on committees of a recognized employee organization which represents ·employees who are not managerial or confidential employees at the times such committee considers matters under which this employee has managerial control or has knowledge about as a confidential employee. (F) supervisory employees who are members of a recognized employee organization which represents employees who are not supervisory employees shall not serve as representatives of such organizations in any stage of the grievance procedure. -4- (G) Professional employees have the right to be represented separately from non-professional employees by a pro- fessional employee organizat~on consisting of such professional employees. (H) Nothing he~ein shall be construed to give employees the right to strike, and any employee who encourages, causes or participates in any strike, walkout, stoppage or retarding of work, or any other interference with. \ the conduct of the Districts' operations, shall be subject to inunediate discharge or other disciplinary action in the sole discretion o·f. the District. SECTION 5. DISTRICTS' RIGHTS Except as otherwise specifically provided in this Resolu- tion, or.subseguent ones, the Districts ~ave and retain the sole and exclusive rights and functions of managements, including, but no~ .limited to, the following: (A) To determine the nature and extent of services to be performed, as well as the right to determine and implement its_public function and responsibility. (B) To manage all facilities and operations of the Districts, including the methods, means and personnel by which the Districts' operations are to be conduct- ed. (C) To schedule working hours, allot and assign work. (D) To esta~lish, modify or ·change work schedules or standards. (E) To direct the working forces, including the right to hire, promote, demote, or transfer any employee. (F) To determine.the location of all plants and facilities. (G) To determine the layout and the machinery, equipment or materials to be used. (H) To determine processes, techniques, methods and means of all operations, including changes or adjustments -5- .. of any machinery or equipment • . (I) To determine the size and composition of the working force. (J) To determine policy and procedures affecting the selection or training of new employees. (K) To establish, assess and implement employee perfor- mance standards, including, but not limited to, quality and quantity standards; the assessment of employe·e pe~formances ~ and the procedures for said assessment. (L) To control and determine the use and location of Districts' property, material, machinery or equipment. (M) To schedule the operation of and to determine the number and duration of shifts. (N) To determine safety, health and.property protection .. measures. (0) To transfer work from one job to another or from one plant or unit to another. (P) To introduce new, improved or different methods of operations, ·or to change existing methods • . (Q) To lay off employees from duty for lack of work or other reasons deemed legitimate by management. (R) To reprimand, suspend, discharge or otherwise discipline employees for cause. (S) To establish and determine job classifications. (T) To take such other and further action as may be nee- essary to organize and operate the Districts in the .. most efficient and economical manner and in the best interest of the public it serves. (U) To contract or subcontract construction, services, maintenance, distribution or any other work with -6- \ < (V) outside public or private entities. The. exercise of management rights-shall not preclude employees or recognized employee organizations from presenting grievances concerning the effect of said action upon the employees: provided, however, the basic right of management to act hereunder or make such decisions is unimpaired. SECTION 7. PETITION FOR RECOGNITION. THE RIGHT TO MEET AND CONFER IN GOOD FAITH. (A) An employee organization that seeks recognit~on for the purpose of meeting and conferring in good faith as the representative of all the e~ployees in an appropriate unit shall file ~ petition with the DistrictsGeneral Manager containing the following information and documentation: (1) Name and address of the employee organization. (2) Names and titles of its officers. (3) Names of employee organization representatives who are authorized to speak on behalf of its members. (4) A statement that the employee organization has, as one of its primary purposes, representing \ employees in their employment relations with the Districts. (5) A statement whether the employee organization is a chapter or local of, or affiliated directly or indirectly in any manner with, a regional, state, national or international organization and, if so, the name and address of each such regional, state, national or international or- ganization. (6) Certified copies of the employee organization's constitution and by-laws. ~ -7- .. (7) A designation of those persons, not exceeding two in number 1 and their addresses,· to whom notice by regular United States mail will be deemed sufficient notice on the employee or- ganization for any purpose. (8) A statement that the employee organization recognizes that the provisions of Section 923 • of the California Labor Code are not applicable to Districtsemployees, and that the organization does not and will not assert the right to call, engage in, encourage, assist or condone, in any manner, any strike, work stoppage, slow down, sick in, or other concerted refusal to work by employees of the Districts. (9) A statement that the employee organization has no rest~iction on membership based on race, color, creed, sex, age or national origin. (10) The job classifications or titles of employees in the unit claimed to be appropriate and the number of member employees therein. (11) A statement that the employee organization has in its possession written proof, dated within six months of the date upon which the petition is filed, to establish that a majority of the employees in the unit claimed to be appropriate, have designated the employee organization to represent all employees in such unit in their employment relations with the Districts. Such written proof shall be submitted for confirmation to the Districts General Manager. (12) A·request that the Districts General Manager recognize the employee organization as the representative of all of the employees in the unit claimed to be appropriate for the purpose -8-. '· -· .. of meeting and conferring in good faith on all matters within the scope of representation. {B) Upon the determination by the Districts General Manager that an employee organization has complied with the requ~rements of {A) above and {F) below, he may grant recognition for purposes of meeting and conferring in good faith after determining the majority status of the petitioner by either: (1) Having a secret ballot election conducted by the State of California conciliation service, or (2) By any other reasonable method based upon writte?'h proof executed within the preceding six months. (C) Only one employee organization shall be granted re-~ cognition as the recognized employee organizJtion, entitled to meet and confer in good faith within the scope of representation, for employees in an appro- priate unit with the exception of self-represented employeesp \ • {D) DURATION OF RECOGNITION. When an employee organization has been recognized, such recognition shall remain in effect until such time as the recognized employee organization is decertified or the appropriate unit represented by such recognized employee organization is modified, as provided in Section 8. (E) RESTRICTIO~ ON REPRESENTATION. No employee shall be represented by more than one recognized employfie _,jl organization. (F) APPROPRIATE!;.;"ESS OF UNITS. The Districts Gener:.~l Manager, after reviewing the petition filed by an employee organization seeking recognition, shall determine whether the proposed unit is an appropriate unit. The principal criterion in making this determin- ation is whether there is a community of interest -9- among such employees. The following factors among others, are to be considered in making such determin- ation: (1) Which unit will assure employees the fullest freedom in the exercise of rights set forth under this resolution. (2) The history of employee relations in the unit, among other employees of the Districts and in similar public employment. (3) The effect of the unit on the efficient operation of the Districts and sound employer-employee relations. (4) The extent to which employees have common skills, working conditions, job duties or similar educational requirements. · (5) The effect on the existing classification structure of dividing a single classification among two or more units. Provided, however, no unit shall be es- tablished solely on the basis of the extent to which employees in the proposed unit have organized. SECTION 8. DECERTIFICATION OF RECOGNIZED EMPLOYEE ORGANIZATIONS. (A) A petition for decertification alleging that a recog- Qized employee organization is no longer entitled to represent all of the employees in an appropriate unit may be filed with the Districts General Manager. The petition for decertification may be filed by an employee, a group of employees or their representatives, or an employee organization. The petition, including a·11 accompanying documents, shall be verified. It may be accompanied by a petition for recognition by a challenging organization. The petition for decer- tification shall contain the following information: -10- .... . . (1) The name, address and telephone number of the petitioner and a designated representative authorized to receive notice or requests for further information. (2) The name of the recognized employee organization. (3) An allegation that the recognized employee organization is no longer entitled to represent • all of the employees in the appropriate unit, and any other relevant and material facts. (4) Written proof that at least thirty percent of the employees in the unit do not desire to be represented by the .recognized .employee organi- zation. Such written proof shall be dated within six months of the date upon which the petition . is filed and shall be submitted for confirmation to the Districts General Manager or to a mutually agreed upon disinterested third party. (B) MODIFICATION OF ESTABLISHED UNIT. A petition for modification of an established unit may be filed by ·an employee organization with the Districts General Manager during the same period for f ~ling a petition for decertification, and petition for modification shall contain the following information: (1) The name, address and telephone number of the petitioner and a ~esignated representative author- ized to receive notices or requests for further information. (2) The name of the recognized employee organization that currently represents the employees in the established unit • . (3) An allegation that the established unit is no longer appropriate and all relevant facts in -11- . .. .. support of such allegations~ (4) Written proof that at least thirty percent of the employees within the proposed unit have designated the petitioning employee organization to repre~ent them in their employment relations with the Districts. The Districts General Manager shall determine the appropriate ·unit which may be the existing, the proposed-modified unit, or some other appropriate unit. \. < After the Districts General Manager determines the appropriate unit arising out of the operation of this sec·tion, he shall then follow the procedures set forth in Section 7 for determining recognition rights in such unit. (C) There shall be no more than one election in any one unit in any twelve month period. (D) In any election held pursuant to this resolution, the result thereof shall be determined by a majority of all employees in the unit eligible to vote in such election. SECTION 9. MEMORANDUM OF AGREEMENT (A) TERMS AND CONDITIONS. All matters of employer- employee relations within the scope ·of representation for all employees in any unit represented by a recognized employee organization, or any individual emp~oyee representing himself, shall remain the same from year to year unless on or before September 1 of the calendar year 1975, and September of each calendar year thereafter, proposals in writing identifying tpe areas within the scope of representation to be covered in negotiations are filed with the Districts General Manager by such recognized employee organization, or such individual employee. (B) APPROVAL OF. If agreement is reached by and between the Districts General Manager and the recognized -12- ,.-.~--4.--~· ~ . . employee organization, on matters within the scope of representation, they shall jointly prepare a written memorandum of agreement, which shall then be submitted to the Districts Boards of Directors. Said agreement shall not be binding, nor of. any force or effect, unless and until approved by the Districts Boards of Directors . • SECTION 10. IMPASSE (A) If, after a reasonable period of time, the Districts General Manager and the representatives of the re- cognized employee organization have exhausted all possible means of reach~ng agreement, either party may, by written communication to the other, request mediation. Within ten calendar days after receipt of the written request, the partie~ shall request the California State Conciliation Service to appoint a mediator. If the mediator is unable to resolve the impasse, all unresolved issues shall be submitted to the Districts Boards of Directors which retains the ·right and responsibility of final decisions regarding wages, fringe benefits, hours, and all other terms and conditions of employment. SECTION 11. NOTICE (A) Except in cases of emergency, the Districts shall give reasonable, writt~n notice to each recognized employee organization of any ordinance, rule, resolu- tion or regulation directly relating to matters within the scope of representation proposed to be adopted by the Districts, and shall provide such recognized employee organization the opportunity to meet with the Districts. SECTION 12. PEACEFUL PERFORMANCE (A) Any employee organization which, directly or indirectly -13-. .. by any means whatsoever, engages in, induces, condones or encourages any employee to engage in'a strike, sick in, walkout, stoppage, or retarding of work, or any other interference with the conduct of the Districts operations, shall lose all rights her~under, including but not limited to, suspension or revocation of recognition, cancellation ·of payroll deductions, pro- • hibition of access to work or duty stations and bulletin boards. SECTION 13. CONSTRUCTION (A) The Districts Boards of Directors may adopt such rules and regulations necessary or conve~ient to implement the provisions of this resolution and of Chapter 10, Division 4, Title 1 of the Government Code of the State of California. Nothing in this resolution shall be construed to deny any person or employee any rights granted by Federal or State laws. The rights, powers and authority of the Districts Boards of Directors in all matters, including the right to maintain any legal . action, shall not be modified or restricted by this resolution. (B) If any provision or portion thereof contained in this resolution, or the application thereof, to any person or circumstance is held to be unconstitutional, invalid, or unenforceable, the remainder of this resolution and the. application of such provision, or portion thereof, to other persons or circumstances shall be deemed severable, shall not be affected, and shall remain in full force and effect. (C) The provisions of this resolution shall supersede and take precedence over the provisions of any prior resolutions, minute orders or statements of policy -14- ... SECTION' 14. DISTRICT'S REPRESENTATIVE DESIGNATED (A) The Districts Boards of Directors hereby designates the Districts General Manager, or his duly authorized representative, as the District's principal repre- sentative in all matters of employer-employee re- lations, with authority to meet and confer in good f~ith on matters within the scope or representation. SECTION 15. Along these lines, we have approached the EPA on the possibility of building the JPL system and a portion of a modified conventional secondary treatment system which would commit $62.5 million. Mr. Harper will report more on this. We also hope to schedule a meeting here in Orange County with EPA and SWRCB people to review all phases of the above. Would like to invite the Chairman of each District to attend when the date is confirmed. Advised that at the last meeting the Joint Boards authorized formation of a Building CoIIDllittee to study possible enlargement of the Board Room and completion of the unfinished second floor for additional office space . Appointed Committee: Norm Culver, Chairman John Store Beth Graham Francis Glockner John Burton Asked Directors to report on attendance at 20th Annual Work Conference of CASA in Monterey: Wood said it was interesting and some parts disappointing. Had merit for managers but not as substantial for Directors as it should be. Program schedule could be improved. At one meeting question was asked how we could improve this, but no one agreed with me. Should have golf and tennis. at the end so people could go home if they wish. Gibbs agreed with Wood regarding rescheduling. Liked the Collective Bargaining Legislation session the best. Also enjoyed Paul Defalco with Wayne Sylvester as moderator, on water quality issues and all the anticipated changes. Got a good deal out of meeting re implications of Proposition 9. Callahan said he thought Henry Hardy's 1-hour lecture on what we are doing wrong and a few constructive comments, was good. Proposition 9 discussion also good, and enjoyed Frazier & Mike Dillon who discussed lobbyists. ¥ake Dillon is trying to set up workable ground rules. JWS advised that Jack Lambie is the incoming President of CASA. Winn stated that Wayne has done an excellent job this past year as President of CASA. Also thanked Tom Woodruff for attending Conference and remarked that he had received good comments regarding Woodruff. Winn then called a meeting of the Executive Committee for September 25, at 5:30 p.m. and invited McKnew & Ward to attend. #6 (b) Report of th e General Manager FAH reported that later on the agenda we are asking for authority to negotiate with Bird Machine Company because of experimental work that Districts' staff has done to improve removal of sludge from digester operation. Also re purchase of hydro screens, have done work that shows that economy can be obtained by purchase of these special screens. ' Advised that our laboratory has continued to work on chemical treatment process ~~~ searching for a way to .meet State and Federal requirements without the very expensive construction of facilities. Gave a brief demonstration of chemical process that the staff has worked on . Took three bottles of influent (raw sludge) collected that day at Plant 2 and added 20 drops of chemical to one bottle and 10 drops to another and shook and then let sit for 15 minutes to compare with untreated.bottle of influent. FAH reported that the lab has done benchwork on this. Have tested for over a month on seven different samples. We essentially meet the requirements for cadmium, copper, lead, nickel, silver and zinc & Grease requirement 10 millimeters per liter. Have surpassed requirement for suspended solids--50; we can meet 30. But we fall down on BOD. They want 30 and we are looking at 90-100, although this is considerably below influent coming into Plant. The excuse of EPA of going ahead with secondary treatment is that this process does reduce toxic heavy metals. Hope to meet with EPA in next couple weeks and hope to know more about the toxicity of the chemical we are using. After we talk to EPA and if they say they can back away from BOD, then we could go ahead and operate our 14 MGD at Plant 2 and see what happens to the sludge. This is something that we think has some possibility of coming to a better answer than some con- ventional methods that will cost millions to build. #6(c) Repo~t of the General Cotrrlsel Regarding agenda item pertaining to Resolution 75-127, the resolution had one change. Also there is .a typographical error on Section 6. the numberin g is wrong. Nothing has been deleted . OCEA accepted resofution with deletion of one sentence in Section 5(r). No other requested changes. Also reported that he is in the process of acquiring necessary rights of way for Santa Ana River Interceptor, 2-14-4 & 2-14-5 . Appraiser's market data is accumulated and should have report with 10 days . Should comm ence negotiations and acquire within 2-3 weeks. Should proceed in accordance with first schedule of construction. Re CASA meeting, attended but only stayed one day. The Attorneys meetings were quite good. Current legislation discussion beneficial. McKain asked re Resolution 75-127, if there was any change in Section 10 from previous resolution . Woodruff said yes, changed from original resolution. #9 CONSENT CALENDAR items removed (b) Questioned phrase "arnotrrlt not to exceed" in agenda wording. Asked if we were pinning them down to a maximum cost? REL answered yes, we were. #11 SCCWRP Commissioner & Alternate Winn advised he had received applications from Lindsley Parsons and Director Callahan. The Executive Committee reviewed these and their recommendation was an appointment of one year for both of them, with Parsons as Commissioner and Mr. Callahan as Alternate. It was so moved to do so. Motion was seconded and carried. -2- #12(a) Engineering propos a ls re Joint Works Facilities Plan Question was asked if we considered consolidating all of these studies for all Districts? Ray advised that the Facilities Plan was being prepared by JCE but they need some assistance by the respective District's consulting engineer familiar with our trtmk system and local system. This is most expeditious in gettting information to JCE and staff.as these engineers are familiar with local system. Most economical way. Others would have to go through learning process. Saltarelli asked if when we solicit proposals such as these, do we give engineer's estimate of what the project should cost? Do bidders have benefit of inside engineer's estimate? REL said on construction bids engineer's estimate is listed. On this we define the scope of work and then look at man hours associated with doing that in relation to Master Plans available. In each case they do vary. Saltarelli then said these are amotmt that we estimate it should be? REL, said yes, that is correct. Saltarelli stated that he objects to that . We should enumerate the scope and not tell them how much we are prepared to pay. Said they have had a change in his city and do not send out estimates and would be surprised at the results. Said he thought in the future we should do it this way. Ray indicated that we don't tell consultants how much we feel they will put in it. On construction projects, we are required to reveal engineer's estimate because of grant requirements. Public information. Winn then asked Mr . Saltarelli to see Mr . Lewis for further explanation regarding this sometime before the next meeting. Item (a) was then moved & seconded & carried. (b) thru (g) also moved, seconded & carried. #13 Industrial Waste Ordinance Winn reported that Director Duke & committee have reviewed this and if there are no further questions, would like motion . Svalstad asked if there has been any real problems with people on this. Mr. Harper said not at this time . Have discussed this with industries in great detail . Will be some substantial increases. Will hear from people at 29th hearing. Svalstad asked if reason for .increases was because of what the State is doing to us. FAH answered yes, because of requirements of State and Federal government. Staff believes that this is the proper approach to it. Are still competitive with LA area and feel this is a fair shake for business people. It was then moved & seconded to declare intent, etc. (#13) Motion carried. EXEClJfIVE SESSION 8 :18 -8:31 p .rn. #16 Resolution 72-127 Woodruff replied further to MacKain's question re Section 10. This section do es differ from old resolution quite dramatically. Didn't address it at all. Resolution was five years old. Not totally inadequate but there had been some changes, specifically, Meyers-Millias-Brown made provision that you must address it in some form. It states procedure same as we have here. That is all that is required under law. State code provides for conciliator. Can spend a great deal of time selecting mediator. State will appear within one day and cost in nominal . It was then moved & seconded to approve Resolution 75-127. Motion carried. -3- #17 ALL DISTRICTS Other Busines s __-:- Director Scott advised that -~tly been elected as President of ICC, and had called a special E cutive Board meeting and put together literature to go out to all 26 c· ·es. Are asking each and everyone to come September 24 at 7:30 p .m. F · tain Valley Recreational complex and tell them what they think of ICC. Do y want to keep ICC or don't they? #30 Status report re Santa Ana River Interceptor & 31 REL reported that bids were received for 2-14-3 on July 19 and for 2-14-4 in August. These contracts are going up the canyon where we have several parties involved--State, EPA, SAWPA and ourselves. SAWPA is recipient of grant. We inadvertently left out some of the federal requirements. On standard drawing for manhole frames and covers, should state "or equal". State will allow us to award providing we remove those items and bid separately. Market today is not as good and feel we will get an increase in our bid. Have discussed this with State and they said if we can convince EPA, they will go along with EPA. REL said in a telephone conversation that day, they said they will allow us to go along with this if we do the same on both contracts . Wage scales were higher than those published in Federal Register. Will allow us to award with the provision that both manhole frames and covers are removed from those contracts and contracts are reflected downward. This was confirmed that afternoon by Robert Rock, Contract Administrator in San Francisco . Bob Gillette said the letter they sent out would be corrected to reflect the new decision from EPA. Reached the mutual conclusion that is best for taxpayers. MacKain asked about contractor and if we anticipated any problems from him . REL said no, we have a letter from Artukovich consenting to removing these items from his bid. Has also consented to extension of 30 days on his bid tmtil we get this worked out. REL stated that we now do not want agenda items 3l(b) & (c) to be approved. Delete from agenda. But would like similar action as on 32(a) to reflect the #3l(d) Manhole Frames and Covers for that contract (2-14-3). It was then moved and seconded to approve Resolution No. 75-134-2, approving plans and specifications for Santa Ana River Interceptor Sewer, etc. Manhole Covers and Frames, Contract No . 2-14-3A, and authorizing the General Manager to establish the bid date upon receipt of approvals from the State Water Resources Control Board.
