Section 1. That the certain agreement between County
Sanitation Districts Nos. 1, 2, 3, 5, 6, 7, and 11, and PAUL A.
COOPER, Contractor, wherein the Districts agree to sell processed
digester sludge to said Contractor at the negotiated rate provided
for in Section 2 of subject contract, is hereby approved; and,
Section 2. That the Chairman and Secretary of County
Sanitation District No. 1, acting as a.gent for itself and County

We have proceeded with the subject Study ih accordance with our
Proposal) which basically was Lo accomplish a detailed Study and prepare
a Report on the Plant water system at Plant No. 2, and clevelope a schem.atic
and perforn~ a Hardy-Cross Analysis of the existing Plant water system at
Plant No. 1. During the cou1·se of the Study, it became apparent that the
Pb.nt No. 1 water systen1 needed as thorough a review and Study as the Plant
No. 2 system.. Also, it becan1e apparent that the City \".vater systcrn at eac~
plant needed a review and updating as well. Recognizing these facts and ,
after discussions with your Sta.ff, we proceeded with an analysis of the City .
water 'sys terns ·along with the Plant viater· system., and a inore detailed study
of the Plant v1ater syste1n at Plant No. l.
Follo'\ving is a detailed list of items which have been added to the
original scope of the work:

(including '\Vork on City water systen1) but we have exceeded the rnaximum fee
which your October 15, 1970 lettc·r authorized ($4000 maximmn ·without further
authori~ation).
At this tirnc we estimate the total cost to complete the Study and
Report v1ith the expanded scope to be five-thousand eight-hundred dollar~
($5, 800).
We request that your original authorization of $4, 000 be increased
to $"5, 800 to cover the increased scope of the Study.

In response to your Request for a Proposal (dated 9 September),
we are pleased to submit six (6) copies of a proposal to pre-
pare an Environmental Impact Statement for proposed sewerage
projects by the Districts.
Our group has had considerable experience in preparing Impact
Statements~ including the preparation of one of the first and
most comprehensive Environmental Impact reports ever submitted
to the Federal government. Our experience is outlined in the
proposal.
I believe that.it is irnportarit to point out that our function
is more than simply preparing an Environmental Impact State-
ment after a cursory examination of the proposed project. We
reco~nize that Impact Statements often result in undue hard-
ship, financial loss, and delays in the constructio11 of import-
ant .facilities. We candidly believe, therefore, that our funct-
ion should include a close interface with our clients: First in
recognizing potential environmental impact problems then,second-
ly, jointly attempting to eliminate or mitigate adverse problem
areaso In this way the Impact Statement submitted to the State
and Federal governments will be acted upon more quickly. This
technique also minimiz~s difficulties with the public. Few firms
engaged in preparing Impact Statements attempt to reconcile dif-
ficulties that ~rise as part of their efforts in preparing
Statements. We consider .this function of vital importance.

The schecule for preparing the EIS is shown on the following
page. The schedule allbws for unscheduled delays 1 therefore,
it is more probable that the Preliminary D~aft will be com-

It is the public policy of this state, as set
forth in the Civil Code, Section 1525, that undisputed
sums <lne should ·be paid \·1ithout regard to collateral
disputes.
In addition, the courts have held that a
contractor is entitled to interest on its retention
which is not paid because of a provision in the contract
providing tr.at an acceptance of the fin2.l payrn8l).t is a
waiver of claircs. Attached is a copy of the case of

237, on this point.

Gentlemen:
With reference to the request of Peter
Kiewit Sons made through their attorneys Montel~one
& McCrory to waive contract provisions regarding
a~ceptance of final payment (retentions) of contract
whereby the contractor would waive its rights to liti-
gate the claim heretofore made and denied by the District,
please be advised that it is my recommendation that the
Board grant the request.
'l;his recommendation· is based upon the fact
that there is no dispute of the amounts due the con-
tractor under the retention provisions of the contract.
The only dispute concerns a claim made for extra com-
pensation by the contractor. By refusing to w~ive the
contract provision requested we would incur for the
District interest at 7% per annum on the retention funds.
The situation would be different if we had a claim against
the contractor which would come out Qf the retained funds
should we eventually win~

thereby concluding Phase 1 of our study, which deternines
the economics and the feasibility of the project.

will recommend to the Board that CB~/D proceed with Phase 2,
which is a more detailed investigation as well as contract
negotiations with Orange County Sanitation Districts, and
that this matter be concluded in a minimal amount· of time.

1 day for the above work.
Due to construction and pumps out of service at Plant
No. 2, the Contractor experienced back-ups in this ·
trunk sewer as far upstream as manhole No. 6. This
has caused the· contractor to spend part of his·work-
day to clean and air the manholes which he 13 working
on pri"or to doing any work. ·
The Contractor was unable tc work for a period of 20
days due to inability of Ameron·corporation to pro-
vide him with "T-lock" during the month of .August.
The Contractor was unable to work in manhole No. 34
until afte~ July 15th due to work by the District.
The Contractor was unable to work in manhole No. ·16
and 22 when this work was scheduled due to other
contractors and the City o·r Huntington Beach doing
street work in ·these areas·.

(b) No streets, alleys nor roadways shall be
constructed upon, over, or along said ease-
ments and rights of way to a grade less
than four feet above the top of any pipe
or pipes located within the lines of said
easements or rights of "way;
(c) No fill shall be placed or maj_ntained over
the surface of the ground as it shall exist

of way up~n the completion of the improvements

Section 4. That the permanent easements and rights of way
to be acquired shall include:
(a)· The right to construct manholes, air valves,

Section 5. That the Board of Directors of County Sanitation
District No. 3, of Orange County, California, hereby declares its
intention to acquire the property described in Section 2 hereof

Nisson and Kogler, 2014 North Broadway, Santa Ana, California,
be and it is hereby authorized and directed to commence an action
in the Superior Court of the State of California in and for the
County of Orange in the name arro on behalf of County Sani.tation
District No. 3, of Orange County, California, against all owners
and claimants of the above-described properties for the purpose of
condemning and acquiring said properties for the use of sai.P County
Sanitation District; that said condemnation action shall be
prosecuted in accordance with the px·ovisions of law applicable
thereto, That said attorneys are authorized and instructed to make
application to said Court for an order fixing the amount of security
by way of money deposits as said Court may direct and for an order
permitting County Sanitation District No.3, of Orange County,
California, to take immediate possession and use of said real property
for the uses and purposes herein described.
Section 6. That the Auditor of the .District is authorized
upon receipt of a Court order and demand from C. Arthur Nisson, General
Counsel of the District, to pay to the Csunty Clerk of the County
of Orange such sum or sums of money from District funds as may be

Contract No. 3-17
Pursuant to a request from Boyle Engineering, the Design
Engineers for District No. 3 on this project, I have taken the
opportunity to intervie\·l and appraise the qualifications of three
soil engineering consultants to ~erforrn the soils investigations
and report required for this project. The firms, as suggested by
Boyle Engineering, were Converse and Davis, Moore and Taber, and
Geotechnical Consultants, Inc., all Orange County based firm~.
After review of their qualifications and past experien9e, it
is my opinion that the firm of Converse and Davis should be retained
to ·perform the necessary soils investigations and report .as required
for this project.
Attached herewith is a proposal from Converse and Davis to
perfonn the necessary services for this project for the lump sum
fee of $6500.
I concur in the above recom.~endation.

Gentlemen:
In accordance with our discussion of October 5, 1971, we ar.e writing
·to express Converse, Davis and Associates interest in providing soil
and foundation engineering services on the proposed Knott Interceptor
sewer project. As shown on the plans prepared by Boyle Engineering,
the sewer pipe will consist of a 96-inch concrete pipe placed at an
approximate depth of 20 feet below existing grade.
It is proposed to drill 18 to 20 exploratory borings to a depth of about
25 feet {five feet below invert elevation) for a total footage of 450 to
5.00 feet. Unforeseen subsurface conditions may dictate minor changes
in the fotal number and depth of the borings. A continuous log of the
·soils encountered in the borings· will be recorded by our field personnel.
Undisturbed san1ples will be obtained for laborat~:Hy testing, and the
engineering properties of the subsoil materials will be detern1ined.
An engineering analysis of the results will be made and reco1nmenda-
tions will be developed for excavation and installation of the planned
96-inch interceptor pipe. A complete report presenting our findings
and recom1nendations will include:
1. A description of the field investigation, boring logs and
classifications of the subsoils encountered.

Gentlemen:
As stated in our letter of September 16, 1971, wo are potential
subdividers and developers of the property of tho ~.\arion· E.
Jones Estate. We have been advised by our representative,
Evans & Associates, Inc., that the Board refused annexation
of toe property at their meeting of. September· 30. The action
of the Board was very disappointing to u·s, however we hope
that favorable consideration wil I be given to the appeal and
petition which was filed by representatives of the estate on
October I • ·
Although there appears to. have been considerable discussion
concerning the previous petition for annexation, we feel that
certain pe~tinent points of information were neither presented
or were not given adequate consideration at your meetings of
September 8 and 30. Also, the· fol lowing sequence of events
w i I I c I ear I y· indicate that we and our representatives have
had continuous communication with representatives of the
District and h~ve cooperated fui ly in meeting al I reasonable
requests set forth.
The order of events concerning the development of the property
began when the petition for change of zone was f J led with.the
Orange County Planning Commission on Septomb~r 25,. 1970, Thi$

petition requested a chan.gc of zone to R4-PJ, Legal notices
were pub I ishcd and posted that a hear!ng would be held before
the Commission on December 16th, A public hearing was held on
that date and subsequent·! y he !.d over to meetings of Occcmber
30, 1970, and January I~, 1971, at which time the Planning
Commission recommended to the Board of Supervisors that the
property be rezoned to R4 (8000)-PD (1;000). The P.>0ard of
Supervisors ho Id a headng on the matter on February 17, 1971 ,
and adopted tho change of zono as recommended,
Although not a condition of zoning. the Planning Commission
required that we obtain another means of access to tho property
from Chapman Avonue prior to making any requests for develop-
ment o.f the property, As a resu It· of this cond it· ion 1de became ·

option to buy the land necessary for access, This strip of land
is shown on our ·maps as the northerly extension of Crawford
Canyon Road,
During this period of negotl~tlon to obtain the required access,
we and our representatives had two meetings with staff represent-
atives of the Clty of Orange, exploring the possibi.I ity of annexation
to and development within the City. We were f in~I ly advised that
although the City was in the process of developing PUD ordinance
permitting the type of development we proposed, there was no poss-
ible way at that time that the City could al low a Plonnod Unit
Development. ·(It is our understanding the City of Orange has
not yet adopted a PUO ordinance.) for this reason, we instructed
our planning team, Evans & Associates, Inc., and Anthony & L~ngford,
to prepare plans for submission to the County of Orange under
Its PUD ordinance.
Maps and plans were prepared and an appl rcation for a Conditional
Use Permit and Tentative Tract No, 7389 were filed with the
Planning Commission on Apri I 26, 1971. The area covered in the.
application and in the tenta1ive tract was tho first pha~e of the
Master Plan of Development consisting of the approximate south-
easterly 10 acres of the estate, This area was selected because
it was adjacent to the principal access of Crawford Canyon Road,
The proposed development was reviewed anj recommended by County
staff and Conditional Use Permit No, C-1425 together with Tent-
ative Tract ~o. 7389 were approved by the Planning Commission
on June 8, 1971. The Co~ditional Use Permit was approved by the
Board of Supervisors on July 14, 1971.
Concurrently with our filing of the tentati~e map with the Planning
Commission on Apri I 26, 1971, Evans & Associates, tnc,, sent prints
of the map to the County Sanitation District .office, copy ·at trans-
. mit.ta·t enclosed, with a r:-equest for· review and comments, A reply
·was received from your off ice dated Apr·i I 29, 1971, tentatively
approving the ·1ayout and-enclosfng instructions for annexation,

(Copy enclosed.) It was necessarily our assumption upon receipt
of District's tentative approva·I that there would be no delays
or questions regarding annexation and provisions for sewage_
di sposa I.
This assumption was conf irmod on July 20, 1971, shortly after
approval of the tentative map and Conditiorial Use Permit, when
Mr. Gary •iincs. of Evans & Associates, contacted Mr. Paul Hogan
to request a copy of spectf ica1ions which he needed to prepare·
final pfans and design of the sewer system.
On August 3, fol lowing the normal order. of _events in a develop-
ment of this type, Mrs. Maridayle Peay, Executrix of·the Estate,
filed a petition for annexation fo·r Tract l·~o. 7389, consisting
of 10 acres, which is Unit No, I of this projec+, Fol lowing
the f i I Ing of this petition on Au~ust 3, Evans & Associates
were advised, on August 10, that the petition and method of
sewerage trwre not accept ab I e because (I ) the connecting sewer
that we proposeJ to bui Id between Uni1 No. I and the existing sewers
in Ryals Lane and Avenida Palmar would not be in the Disttict and
could not be accepted or maintained by the District unless the
who! c property v:ere annexed and ( 2) there ·was a poss i bi I i ty that
the existing 10" main in Santiago Boulevard might become overloaded
at some future datq because the 10 acres of our development in the
southerly corner was not originally planned to be served in that
direction.
On August 13, 1/1r·. Evans met \vith Mr. Paul Hogan and Dr. John Sig-ler
to resolve these problems. It is our understanding that it was
agreed at th~t ~eating to annex the entire property and pro~ide
sew8r ease~ients for the se\'>'ers 1o be constructed outside the first
unit. A copy of Mr, Evans letter dated August 16, setting forth
this understanding is attached. Further it was agreed that the
effluent from the southeasterly 10 acres although not planned to
be served by the Santiago sewer. was such a smal I amount that as
a practical matter it could be carried by that se~er I ine.
On August 20, Mr. Evans was informed that the apparent solution
reached at his meeting of August 13, was not now acceptable and
that the southeasterly 10 acres must be drained to a sewer I ine
in Chapman Avenue to be constructed by the City of Orange, and
that the \'/ho I e rnatter was to be referred to your adjourned meet-
ing held August 24th. As no action was taken at that meeting,
Mr~ Evans addressed a letter to the Board dated August 26, 1971,
copy attached,
On September 8, the Board again considered this matter and did
not render a decision, but suggested that Unit No. I be served
by connecting to the proposed City of Orange sewer line in
Chapm~n·Avenuo. Not knowing the schedule of construction of th1s
pr·oposed smver, and further that annexation to the City of Orange

might be required in order to connect, we, in our letter of
September 16th, offered to construct a portion of· this sub-
trunk in Chapman Avenue under a rei~burse~ent agreement. This
offer, although an agenda iteM, was completely ignored at your
last meeting of September 30th., when the annexation was refused.
The above su~mary of events, contrary to certain remarks made
at the last meeting, clearly indicates that we were and have
been advised on tl1is matter by our representatives, but it is
also apparent that our representatives may not have been fully
advised as to the real probler'l concerning annexation.
At the meeting there was nothing mcntio~ed regarding the increased
connection charges and tho increased tax b~se which this type of
develop~ent wi I I create over and above a stahdard R-1 subdivision,
We feel this should be considered by the Board in ·making a
decision.
A comparision of the costs and revenues frcm the development of
this property based upon 8,000 square foot lot siz~ as suggested
by the City of Orange, is as fol lows:

Gentlemen:
Reference fs made to our letter of August 16, transmitting
an amended pet.I fl on for the anncxat ion· of subject property and
further reference is made to a telephone conversation with
Mr, Ray Lewis on August 2~, 1971.
Mr. Le\'ti s has i nformcd us that the Boa rd, at. a spec i a I meeting
on the 24th. did not take formal action, but requested the
staff to prepare a report on thfs. matter, He also informed
us that the Board favored a method of serving unit #I of the
developmont by requiring the construction of a main I ine sewer
tn Crawford Canyon Road to connect to a trunk s~wer in Chapman
Avenue to be constructed by the City of Orange, and with the
remainder of the property being served by an extension of
the existing I inc in ~venida Plamar.
Thts matter would be sat;sfactory to our client if it were not
for the uncertainty of the time the trunk sewer would actually
be constructed by the city and further, the possibi I ity that the
_City might require annexation of the property in order to connect,

use -authorized master plan to meet projected flows based on
land use of City master plans -Engineers figures that R-1 density '""

Applicant has now come in and wants to annex areas rezoned from
R-1 to R-4 . Should this area be annexed since District No . 7
said that tax rates would stay stable -they can not stay stable
if we annex areas that have a higher aensity then we figured on .

Larry graduated from Santiago K5.gh School in Garden Grove in 1968.
He entered the Districts' Apprentice I program in January 1970.and
completed the requirements in September of this yea~o
Read the Certificate of Completion to be. presented to Larry.
Larry will continue with the Districts in the Collection Facilities
Division.

Kelly completed the Apprentice I Program in 1969 and has now
completed his training as an Apprentice II in the Mechanical
Department. He is the first Apprentice to complete both phases
of the programo

Kelly will now remain in the Mechanical Department and.has a very
bright future there.·
